        "text": "Energy ServCo, LLC, (collectively, \"LUMA\") agreed to take over",
        "paragraph_id": "para_48"
      },

        "text": "operation and maintenance of Puerto Rico's electric power",
        "paragraph_id": "para_49"

        "text": "transmission and distribution system from Title III debtor the",
        "paragraph_id": "para_50"
      },
      {
        "text": "Puerto Rico Electric Power Authority (PREPA). When Puerto Rico's",
        "paragraph_id": "para_51"
      },
      {
        "text": "consumer protection agency sued LUMA and PREPA in a Puerto Rico",
        "paragraph_id": "para_52"
      },
      {
        "text": "court challenging an important term of that agreement, LUMA -- but",
        "paragraph_id": "para_53"
      },
      {
        "text": "not PREPA -- sought an order from the Title III court staying that",
        "paragraph_id": "para_54"
      },
      {
        "text": "action. After the Title III court denied LUMA's request, LUMA",
        "paragraph_id": "para_55"
      },
      {
        "text": "appealed. For the following reasons, we find that LUMA has no",
        "paragraph_id": "para_56"
      },
      {
        "text": "statutory standing to pursue this appeal.",
        "paragraph_id": "para_57"
      },
      {
        "text": "I.",
        "paragraph_id": "para_58"
      },
      {
        "text": "A.",
        "paragraph_id": "para_59"
      },
      {
        "text": "We have elsewhere chronicled the fiscal emergency in the",
        "paragraph_id": "para_60"
      },
      {
        "text": "Commonwealth of Puerto Rico (the \"Commonwealth\") and Congress's",
        "paragraph_id": "para_61"
      },
      {
        "text": "2016 enactment of PROMESA (short for the Puerto Rico Oversight,",
        "paragraph_id": "para_62"
      },
      {
        "text": "Management, and Economic Stability Act, 48 U.S.C. §§ 2101–2241) to",
        "paragraph_id": "para_63"
      },
      {
        "text": "address that emergency. See, e.g., Pierluisi v. Fin. Oversight &",
        "paragraph_id": "para_64"
      },
      {
        "text": "Mgmt. Bd. for P.R. (In re Fin. Oversight & Mgmt. Bd. for P.R.), 37",
        "paragraph_id": "para_65"
      },
      {
        "text": "F.4th 746, 750 n.1 (1st Cir. 2022) (collecting cases). For present",
        "paragraph_id": "para_66"
      },
      {
        "text": "purposes, suffice it to say that PROMESA created a \"modified",
        "paragraph_id": "para_67"
      },
      {
        "text": "version of the municipal bankruptcy code\" and authorized the",
        "paragraph_id": "para_68"
      },
      {
        "text": "Financial Oversight and Management Board (the \"Board\") to place",
        "paragraph_id": "para_69"
      },
      {
        "text": "the Commonwealth and its instrumentalities into bankruptcy",
        "paragraph_id": "para_70"
      },
      {
        "text": "- 4 -",
        "paragraph_id": "para_71"
      },
      {
        "text": "proceedings known as Title III proceedings.1 Fin. Oversight &",
        "paragraph_id": "para_72"
      },
      {
        "text": "Mgmt. Bd. for P.R. v. Federacion de Maestros de P.R., Inc. (In re",
        "paragraph_id": "para_73"
      },
      {
        "text": "Fin. Oversight & Mgmt. Bd. for P.R.), 32 F.4th 67, 75 (1st Cir.",
        "paragraph_id": "para_74"
      },
      {
        "text": "2022); see 48 U.S.C. §§ 2121(a), (b)(1), (c)(1), 2161–2178. In",
        "paragraph_id": "para_75"
      },
      {
        "text": "such proceedings the Board \"is the representative of the debtor.\"",
        "paragraph_id": "para_76"
      },
      {
        "text": "48 U.S.C. § 2175(b).",
        "paragraph_id": "para_77"
      },
      {
        "text": "PREPA is a public corporation and instrumentality of the",
        "paragraph_id": "para_78"
      },
      {
        "text": "Commonwealth that was created by statute in 1941 to provide",
        "paragraph_id": "para_79"
      },
      {
        "text": "electric power to Puerto Rico. See P.R. Laws Ann. tit. 22,",
        "paragraph_id": "para_80"
      },
      {
        "text": "§ 193(a) (2025); Union de Trabajadores de la Industria Eléctrica",
        "paragraph_id": "para_81"
      },
      {
        "text": "y Riego v. Fin. Oversight & Mgmt. Bd. (In re Fin. Oversight & Mgmt.",
        "paragraph_id": "para_82"
      },
      {
        "text": "Bd. for P.R.), 7 F.4th 31, 34 (1st Cir. 2021). To that end, PREPA",
        "paragraph_id": "para_83"
      },
      {
        "text": "owns and has operated an extensive electric power transmission and",
        "paragraph_id": "para_84"
      },
      {
        "text": "distribution system (the \"T&D System\").",
        "paragraph_id": "para_85"
      },
      {
        "text": "In an effort to restructure PREPA's daunting debt, the",
        "paragraph_id": "para_86"
      },
      {
        "text": "Board initiated Title III proceedings on behalf of the company in",
        "paragraph_id": "para_87"
      },
      {
        "text": "2017. Those proceedings triggered an automatic stay of many claims",
        "paragraph_id": "para_88"
      },
      {
        "text": "against PREPA, including \"any act to obtain possession of\" or",
        "paragraph_id": "para_89"
      },
      {
        "text": "\"exercise control over property of the estate.\" 11 U.S.C.",
        "paragraph_id": "para_90"
      },
      {
        "text": "1 \"Title III\" refers to the subchapter of PROMESA that",
        "paragraph_id": "para_91"
      },
      {
        "text": "authorizes and details these bankruptcy proceedings. See 48 U.S.C.",
        "paragraph_id": "para_92"
      },
      {
        "text": "§§ 2161–2178. When overseeing Title III cases, the district court",
        "paragraph_id": "para_93"
      },
      {
        "text": "is commonly referred to as the \"Title III court.\" See, e.g., Fin.",
        "paragraph_id": "para_94"
      },
      {
        "text": "Oversight & Mgmt. Bd. for P.R. v. Ad Hoc Grp. of PREPA Bondholders",
        "paragraph_id": "para_95"
      },
      {
        "text": "(In re Fin. Oversight & Mgmt. Bd. for P.R.), 899 F.3d 13, 18 (1st",
        "paragraph_id": "para_96"
      },
      {

      {

        "text": "B.",
        "paragraph_id": "para_101"
      },
      {
        "text": "In 2018, while PREPA's restructuring case was underway",
        "paragraph_id": "para_102"
      },
      {
        "text": "in the Title III court, the Legislative Assembly of Puerto Rico",
        "paragraph_id": "para_103"
      },
      {
        "text": "passed the Puerto Rico Electric Power System Transformation Act.",
        "paragraph_id": "para_104"
      },
      {
        "text": "See P.R. Laws Ann. tit. 22, §§ 1111–1125 (2025); Union de",
        "paragraph_id": "para_105"
      },
      {
        "text": "Trabajadores, 7 F.4th at 35. That Act authorized the partial",
        "paragraph_id": "para_106"
      },
      {
        "text": "privatization of PREPA and facilitated a competitive bidding",
        "paragraph_id": "para_107"
      },
      {
        "text": "process to select a private partner who would assume operation and",
        "paragraph_id": "para_108"
      },
      {
        "text": "maintenance of the T&D system. See Union de Trabajadores, 7 F.4th",
        "paragraph_id": "para_109"
      },
      {
        "text": "at 35. The Puerto Rico Public-Private Partnerships Authority",
        "paragraph_id": "para_110"
      },
      {

        "text": "bidding process. LUMA, a private corporation, was ultimately",
        "paragraph_id": "para_112"
      },
      {
        "text": "selected as the winning bidder. See id.",
        "paragraph_id": "para_113"
      },
      {
        "text": "In June 2020, P3A, PREPA, and LUMA entered into a long-",
        "paragraph_id": "para_114"
      },
      {
        "text": "term contract, the Operation and Maintenance Agreement (OMA), in",
        "paragraph_id": "para_115"
      },
      {
        "text": "which LUMA agreed to take over operation and maintenance of the",
        "paragraph_id": "para_116"
      },
      {
        "text": "T&D System, with PREPA retaining ownership of that system. The",
        "paragraph_id": "para_117"
      },
      {
        "text": "OMA also called for the parties to apply to the Puerto Rico Energy",
        "paragraph_id": "para_118"
      },
      {
        "text": "Bureau (PREB), an independent regulator of Puerto Rico's public",
        "paragraph_id": "para_119"
      },
      {
        "text": "energy policy, for a waiver of LUMA's liability to consumers in",
        "paragraph_id": "para_120"
      },
      {
        "text": "connection with its management of the T&D system:",
        "paragraph_id": "para_121"
      },
      {
        "text": "- 6 -",
        "paragraph_id": "para_122"
      },
      {
        "text": "Liability Waiver. In connection with the",
        "paragraph_id": "para_123"
      },
      {
        "text": "submission of the Initial Budgets to PREB, the",
        "paragraph_id": "para_124"
      },
      {
        "text": "Parties agree to apply for inclusion in the",
        "paragraph_id": "para_125"
      },
      {
        "text": "Rate Order that the . . . terms of service",
        "paragraph_id": "para_126"
      },
      {
        "text": "include: (i) a waiver of [PREPA]'s, [LUMA",
        "paragraph_id": "para_127"
      },
      {
        "text": "Energy]'s and [LUMA Energy ServCo]'s2",
        "paragraph_id": "para_128"
      },
      {
        "text": "liability to customers or any Person receiving",
        "paragraph_id": "para_129"
      },
      {
        "text": "Power and Electricity for any Losses arising",
        "paragraph_id": "para_130"
      },
      {
        "text": "in any way out of or in connection with the",
        "paragraph_id": "para_131"
      },
      {
        "text": "operation of the T&D System and the provision",
        "paragraph_id": "para_132"
      },
      {
        "text": "of Power and Electricity including any events",
        "paragraph_id": "para_133"
      },
      {
        "text": "of interrupted, irregular or defective",
        "paragraph_id": "para_134"
      },
      {
        "text": "electric service due to Force Majeure Events,",
        "paragraph_id": "para_135"
      },
      {
        "text": "other causes beyond [PREPA]'s, [LUMA Energy]'s",
        "paragraph_id": "para_136"
      },
      {
        "text": "or [LUMA Energy ServCo]'s control or ordinary",
        "paragraph_id": "para_137"
      },
      {
        "text": "negligence, gross negligence or willful",
        "paragraph_id": "para_138"
      },
      {
        "text": "misconduct of [PREPA], [LUMA Energy] or [LUMA",
        "paragraph_id": "para_139"
      },
      {
        "text": "Energy ServCo], or their respective employees,",
        "paragraph_id": "para_140"
      },
      {
        "text": "agents or contractors; and (ii) a waiver in",
        "paragraph_id": "para_141"
      },
      {
        "text": "all cases of responsibility for any loss of",
        "paragraph_id": "para_142"
      },
      {
        "text": "profits or revenues, special, exemplary,",
        "paragraph_id": "para_143"
      },
      {
        "text": "punitive, indirect, incidental or",
        "paragraph_id": "para_144"
      },
      {
        "text": "consequential damages, including loss of",
        "paragraph_id": "para_145"
      },
      {
        "text": "revenue, loss of use of equipment, cost of",
        "paragraph_id": "para_146"
      },
      {
        "text": "capital, cost of temporary equipment,",
        "paragraph_id": "para_147"
      },
      {
        "text": "overtime, business interruption, spoilage of",
        "paragraph_id": "para_148"
      },
      {
        "text": "goods, claims of customers of electric",
        "paragraph_id": "para_149"
      },
      {
        "text": "customers or other economic harms, in each",
        "paragraph_id": "para_150"
      },
      {
        "text": "case howsoever and whensoever arising,",
        "paragraph_id": "para_151"
      },
      {
        "text": "including where caused by any of [PREPA]'s,",
        "paragraph_id": "para_152"
      },
      {
        "text": "[LUMA Energy]'s or [LUMA Energy ServCo]'s",
        "paragraph_id": "para_153"
      },
      {
        "text": "ordinary negligence, gross negligence or",
        "paragraph_id": "para_154"
      },
      {
        "text": "willful misconduct (collectively the",
        "paragraph_id": "para_155"
      },
      {
        "text": "\"Liability Waiver\").",
        "paragraph_id": "para_156"
      },
      {
        "text": "Under the OMA, PREB's approval of a liability waiver \"generally",
        "paragraph_id": "para_157"
      },
      {
        "text": "consistent\" with this provision and that waiver being \"in full",
        "paragraph_id": "para_158"
      },
      {
        "text": "force and effect\" are conditions precedent to LUMA's obligation to",
        "paragraph_id": "para_159"
      },
      {
        "text": "2 Throughout the OMA, PREPA is referred to as \"Owner,\" LUMA",
        "paragraph_id": "para_160"
      },
      {
        "text": "Energy is referred to as \"ManagementCo,\" and LUMA Energy ServCo is",
        "paragraph_id": "para_161"
      },
      {
        "text": "referred to as \"ServCo.\" For clarity, when quoting from the OMA",
        "paragraph_id": "para_162"
      },
      {
        "text": "we replace these terms with the names of the entities to which",
        "paragraph_id": "para_163"
      },
      {
        "text": "they refer.",
        "paragraph_id": "para_164"
      },
      {
        "text": "- 7 -",
        "paragraph_id": "para_165"
      },
      {
        "text": "commence providing services under the OMA.3 The OMA also requires",
        "paragraph_id": "para_166"
      },
      {
        "text": "PREPA to indemnify LUMA against certain claims by customers and",
        "paragraph_id": "para_167"
      },
      {
        "text": "non-parties to the OMA in connection with the T&D system.4",
        "paragraph_id": "para_168"
      },
      {
        "text": "On May 31, 2021, PREB issued a Resolution and Order",
        "paragraph_id": "para_169"
      },
      {
        "text": "approving the liability waiver, with some modifications.5 LUMA",
        "paragraph_id": "para_170"
      },
      {
        "text": "has since operated the T&D System under an extended supplemental",
        "paragraph_id": "para_171"
      },
      {
        "text": "agreement, the details of which do not bear on the jurisdictional",
        "paragraph_id": "para_172"
      },
      {
        "text": "issue addressed in this opinion.",
        "paragraph_id": "para_173"
      },
      {
        "text": "C.",
        "paragraph_id": "para_174"
      },
      {
        "text": "After LUMA invoked the liability waiver to deny over",
        "paragraph_id": "para_175"
      },
      {
        "text": "1,800 consumer claims, the Puerto Rico Department of Consumer",
        "paragraph_id": "para_176"
      },
      {
        "text": "Affairs (DACO) filed suit in a Commonwealth court on July 22, 2025,",
        "paragraph_id": "para_177"
      },
      {
        "text": "naming as defendants LUMA, PREPA, and PREB (the \"DACO action\").",
        "paragraph_id": "para_178"
      },
      {
        "text": "DACO sought a declaration that the OMA's liability waiver and",
        "paragraph_id": "para_179"
      },
      {
        "text": "PREB's Resolution and Order largely approving that waiver were",
        "paragraph_id": "para_180"
      },
      {
        "text": "unconstitutional under the Puerto Rico Constitution. After",
        "paragraph_id": "para_181"
      },
      {
        "text": "3 PREPA's exit from Title III proceedings under terms",
        "paragraph_id": "para_182"
      },
      {
        "text": "\"reasonably acceptable\" to LUMA is also a condition precedent to",
        "paragraph_id": "para_183"
      },
      {
        "text": "the OMA's service commencement date.",
        "paragraph_id": "para_184"
      },
      {
        "text": "4 The parties disagree about the scope of these",
        "paragraph_id": "para_185"
      },
      {
        "text": "indemnification agreements. But we need not resolve this dispute,",
        "paragraph_id": "para_186"
      },
      {
        "text": "as it has no bearing on the jurisdictional question before us.",
        "paragraph_id": "para_187"
      },
      {
        "text": "5 PREB rejected the proposed waiver's inclusion of gross",
        "paragraph_id": "para_188"
      },
      {
        "text": "negligence and willful misconduct but approved a waiver of LUMA's",
        "paragraph_id": "para_189"
      },
      {
        "text": "liability for ordinary negligence. And even where LUMA can face",
        "paragraph_id": "para_190"
      },
      {
        "text": "liability -- i.e., in cases of gross negligence or willful",
        "paragraph_id": "para_191"
      },
      {
        "text": "misconduct -- the waiver curtails the damages consumers can recover",
        "paragraph_id": "para_192"
      },
      {
        "text": "to \"direct damages\" only.",
        "paragraph_id": "para_193"
      },
      {
        "text": "- 8 -",
        "paragraph_id": "para_194"
      },
      {
        "text": "originally filing in the Commonwealth Court of First Instance,",
        "paragraph_id": "para_195"
      },
      {
        "text": "DACO requested that the Supreme Court of Puerto Rico hear and",
        "paragraph_id": "para_196"
      },
      {
        "text": "decide the case through intrajurisdictional certification. See",
        "paragraph_id": "para_197"
      },
      {
        "text": "P.R. Laws Ann. tit. 4, § 24s(f) (2025) (permitting the Supreme",
        "paragraph_id": "para_198"
      },
      {
        "text": "Court of Puerto Rico to, through certification, \"immediately . . .",
        "paragraph_id": "para_199"
      },
      {
        "text": "consider and . . . resolve[] any matter pending in the Court of",
        "paragraph_id": "para_200"
      },
      {
        "text": "First Instance\" if \"there is a question of imperative public",
        "paragraph_id": "para_201"
      },
      {
        "text": "importance that includes any substantial constitutional matter",
        "paragraph_id": "para_202"
      },
      {
        "text": "under the Constitution of Puerto Rico\"). The Supreme Court of",
        "paragraph_id": "para_203"
      },
      {
        "text": "Puerto Rico granted DACO's request on August 22, 2025, and took up",
        "paragraph_id": "para_204"
      },
      {
        "text": "the case.",
        "paragraph_id": "para_205"
      },
      {
        "text": "II.",
        "paragraph_id": "para_206"
      },
      {
        "text": "A.",
        "paragraph_id": "para_207"
      },
      {
        "text": "With that background in place, we turn to the court order",
        "paragraph_id": "para_208"
      },
      {
        "text": "that gives rise to this appeal. On September 18, 2025, in an",
        "paragraph_id": "para_209"
      },
      {
        "text": "effort to pause the Supreme Court of Puerto Rico's consideration",
        "paragraph_id": "para_210"
      },
      {
        "text": "of the DACO action, LUMA -- but not its codefendants PREPA or",
        "paragraph_id": "para_211"
      },
      {
        "text": "PREB -- filed a motion in the Title III court to enforce PROMESA's",
        "paragraph_id": "para_212"
      },
      {
        "text": "automatic stay. LUMA sought an order finding that the DACO action",
        "paragraph_id": "para_213"
      },
      {
        "text": "violated the stay and directing DACO to withdraw its complaint.",
        "paragraph_id": "para_214"
      },
      {
        "text": "The Board, PREPA's representative in Title III proceedings, did",
        "paragraph_id": "para_215"
      },
      {
        "text": "not make an appearance or file any pleadings in that matter, nor",
        "paragraph_id": "para_216"
      },
      {
        "text": "otherwise seek to invoke the stay on PREPA's behalf. The Board",
        "paragraph_id": "para_217"
      },
      {
        "text": "did, however, \"permit[] LUMA to report\" to the Title III court",
        "paragraph_id": "para_218"
      },
      {
        "text": "- 9 -",
        "paragraph_id": "para_219"
      },
      {
        "text": "that the Board believed the automatic stay applied to the DACO",
        "paragraph_id": "para_220"
      },
      {
        "text": "action.6",
        "paragraph_id": "para_221"
      },
      {
        "text": "The Title III court was not convinced. The court held",
        "paragraph_id": "para_222"
      },
      {
        "text": "that, even assuming the DACO action qualified as an act to",
        "paragraph_id": "para_223"
      },
      {
        "text": "\"exercise control over\" the OMA as property of PREPA, see 11 U.S.C.",
        "paragraph_id": "para_224"
      },
      {
        "text": "§ 362(a)(3), it was nevertheless exempted from the stay by the",
        "paragraph_id": "para_225"
      },
      {
        "text": "police power exception. In re Fin. Oversight & Mgmt. Bd. for P.R.,",
        "paragraph_id": "para_226"
      },
      {
        "text": "808 F. Supp. 3d 267, 273–74, 274 n.6 (D.P.R. 2025). That exception",
        "paragraph_id": "para_227"
      },
      {
        "text": "excludes from the automatic stay's reach \"the commencement or",
        "paragraph_id": "para_228"
      },
      {
        "text": "continuation of an action or proceeding by a governmental",
        "paragraph_id": "para_229"
      },
      {
        "text": "unit . . . to enforce such governmental unit's . . . police and",
        "paragraph_id": "para_230"
      },
      {
        "text": "regulatory power.\" 11 U.S.C. § 362(b)(4). The Title III court",
        "paragraph_id": "para_231"
      },
      {
        "text": "concluded that the DACO action fell within this exception as a",
        "paragraph_id": "para_232"
      },
      {
        "text": "suit by Puerto Rico's consumer protection agency to enforce its",
        "paragraph_id": "para_233"
      },
      {
        "text": "power to protect consumers through litigation. In re Fin.",
        "paragraph_id": "para_234"
      },
      {
        "text": "6 At this court's request, the Board submitted a brief",
        "paragraph_id": "para_235"
      },
      {
        "text": "detailing its position on the automatic stay's applicability to",
        "paragraph_id": "para_236"
      },
      {
        "text": "the DACO action. In that brief, the Board agrees with LUMA,",
        "paragraph_id": "para_237"
      },
      {
        "text": "asserting that the DACO action violates the automatic stay \"for",
        "paragraph_id": "para_238"
      },
      {
        "text": "the reasons identified in LUMA's\" briefing. The Board also argues",
        "paragraph_id": "para_239"
      },
      {
        "text": "that the outcome of this case could affect PREPA's restructuring.",
        "paragraph_id": "para_240"
      },
      {
        "text": "But those arguments are of no moment here, where the Board did not",
        "paragraph_id": "para_241"
      },
      {
        "text": "seek to enforce the stay on PREPA's behalf below nor seek to appeal",
        "paragraph_id": "para_242"
      },
      {
        "text": "the Title III court's order, and where we conclude that the party",
        "paragraph_id": "para_243"
      },
      {
        "text": "that is invoking our appellate jurisdiction, LUMA, lacks standing",
        "paragraph_id": "para_244"
      },
      {
        "text": "to do so. See Microsystems Software, Inc. v. Scandinavia Online",
        "paragraph_id": "para_245"
      },
      {
        "text": "AB, 226 F.3d 35, 39 (1st Cir. 2000) (\"[I]f the putative appellants",
        "paragraph_id": "para_246"
      },
      {
        "text": "lack standing to appeal, the only role for the appellate court is",
        "paragraph_id": "para_247"
      },
      {
        "text": "to memorialize that fact and simultaneously terminate the",
        "paragraph_id": "para_248"
      },
      {
        "text": "proceeding.\").",
        "paragraph_id": "para_249"
      },
      {
        "text": "- 10 -",
        "paragraph_id": "para_250"
      },
      {
        "text": "Oversight & Mgmt. Bd., 808 F. Supp. 3d at 274–75. Accordingly, on",
        "paragraph_id": "para_251"
      },
      {
        "text": "October 27, 2025, the Title III court issued a Memorandum Order",
        "paragraph_id": "para_252"
      },
      {
        "text": "denying LUMA's motion to enforce the automatic stay, thereby",
        "paragraph_id": "para_253"
      },
      {
        "text": "leaving the DACO action free to proceed in the Commonwealth courts.",
        "paragraph_id": "para_254"
      },
      {
        "text": "Id. at 279. LUMA timely appealed the Title III court's order.",
        "paragraph_id": "para_255"
      },
      {
        "text": "B.",
        "paragraph_id": "para_256"
      },
      {
        "text": "On December 1, 2025, before any briefing to this court",
        "paragraph_id": "para_257"
      },
      {
        "text": "was due, the Supreme Court of Puerto Rico, in a unanimous opinion,",
        "paragraph_id": "para_258"
      },
      {
        "text": "held the liability waiver unconstitutional under the Puerto Rico",
        "paragraph_id": "para_259"
      },
      {
        "text": "Constitution. See generally Departamento de Asuntos del",
        "paragraph_id": "para_260"
      },
      {
        "text": "Consumidor v. Luma Energy, LLC, 2025 TSPR 126, 2025 WL 3533919",
        "paragraph_id": "para_261"
      },
      {
        "text": "(P.R. Dec. 1, 2025).7 The court reasoned that \"the authority to",
        "paragraph_id": "para_262"
      },
      {
        "text": "grant immunity to a private entity is a public policy decision",
        "paragraph_id": "para_263"
      },
      {
        "text": "that can be made only by the Legislative Assembly,\" id. at *29,",
        "paragraph_id": "para_264"
      },
      {
        "text": "and found that the Legislative Assembly had not delegated that",
        "paragraph_id": "para_265"
      },
      {
        "text": "power to PREB, id. at *1 (referring to PREB by its Spanish-language",
        "paragraph_id": "para_266"
      },
      {
        "text": "abbreviation, NEPR). The court concluded that PREB's conduct in",
        "paragraph_id": "para_267"
      },
      {
        "text": "approving the liability waiver therefore ran afoul of the",
        "paragraph_id": "para_268"
      },
      {
        "text": "separation of powers, id., rendering the waiver unconstitutional,",
        "paragraph_id": "para_269"
      },
      {
        "text": "id. at *28.",
        "paragraph_id": "para_270"
      },
      {
        "text": "7 The court rendered its decision in Spanish. We rely on",
        "paragraph_id": "para_271"
      },
      {
        "text": "the English translation provided to us by the parties, while citing",
        "paragraph_id": "para_272"
      },
      {
        "text": "to the corresponding portions of the publicly available Spanish-",
        "paragraph_id": "para_273"
      },
      {
        "text": "language version.",
        "paragraph_id": "para_274"
      },
      {
        "text": "- 11 -",
        "paragraph_id": "para_275"
      },
      {
        "text": "That decision did not moot this appeal. Should LUMA",
        "paragraph_id": "para_276"
      },
      {
        "text": "prevail before this court, the Puerto Rico Supreme Court's decision",
        "paragraph_id": "para_277"
      },
      {
        "text": "in the DACO action would be void unless the Title III court on",
        "paragraph_id": "para_278"
      },
      {
        "text": "remand were to \"lift the automatic stay retroactively and thereby",
        "paragraph_id": "para_279"
      },
      {
        "text": "validate actions which otherwise would be void.\" Soares v.",
        "paragraph_id": "para_280"
      },
      {
        "text": "Brockton Credit Union (In re Soares), 107 F.3d 969, 976 (1st Cir.",
        "paragraph_id": "para_281"
      },
      {
        "text": "1997) (adopting the majority rule that actions taken in violation",
        "paragraph_id": "para_282"
      },
      {
        "text": "of an automatic bankruptcy stay are subject to being deemed void,",
        "paragraph_id": "para_283"
      },
      {
        "text": "while also affirming the availability of retroactive relief from",
        "paragraph_id": "para_284"
      },
      {
        "text": "the stay under 11 U.S.C. § 362(d)).",
        "paragraph_id": "para_285"
      },
      {
        "text": "III.",
        "paragraph_id": "para_286"
      },
      {
        "text": "On appeal, LUMA asserts that the Title III court erred",
        "paragraph_id": "para_287"
      },
      {
        "text": "in finding that the police power exception applies to the DACO",
        "paragraph_id": "para_288"
      },
      {
        "text": "action and thus declining to enforce the automatic stay. In",
        "paragraph_id": "para_289"
      },
      {
        "text": "response, DACO and its co-appellee ICSE8 defend the Title III",
        "paragraph_id": "para_290"
      },
      {
        "text": "court's decision on the merits. DACO also argues that, as a",
        "paragraph_id": "para_291"
      },
      {
        "text": "threshold matter, LUMA lacks standing to appeal the Title III",
        "paragraph_id": "para_292"
      },
      {
        "text": "8 ICSE, the Instituto de Competitividad y Sostenibilidad",
        "paragraph_id": "para_293"
      },
      {
        "text": "Económica, intervened as amicus curiae in the DACO action in",
        "paragraph_id": "para_294"
      },
      {
        "text": "support of DACO. When LUMA sought a stay of the DACO action in",
        "paragraph_id": "para_295"
      },
      {
        "text": "the Title III court, ICSE -- which had appeared in prior Title III",
        "paragraph_id": "para_296"
      },
      {
        "text": "proceedings related to PREPA -- filed a response brief and a",
        "paragraph_id": "para_297"
      },
      {
        "text": "surreply, and the Title III court considered ICSE's arguments in",
        "paragraph_id": "para_298"
      },
      {
        "text": "its order denying LUMA's requested stay. In re Fin. Oversight &",
        "paragraph_id": "para_299"
      },
      {
        "text": "Mgmt. Bd., 808 F. Supp. 3d at 270 n.3, 272–73. As a result, ICSE",
        "paragraph_id": "para_300"
      },
      {
        "text": "is a named respondent and appellee in this appeal of the Title III",
        "paragraph_id": "para_301"
      },
      {
        "text": "court's order.",
        "paragraph_id": "para_302"
      },
      {
        "text": "- 12 -",
        "paragraph_id": "para_303"
      },
      {
        "text": "court's order.9 We begin and end with the question of LUMA's",
        "paragraph_id": "para_304"
      },
      {
        "text": "standing to appeal.",
        "paragraph_id": "para_305"
      },
      {
        "text": "A.",
        "paragraph_id": "para_306"
      },
      {
        "text": "As the party invoking our appellate jurisdiction, LUMA",
        "paragraph_id": "para_307"
      },
      {
        "text": "bears the burden of proving it has standing to do so. Neira Rivera",
        "paragraph_id": "para_308"
      },
      {
        "text": "v. Scotiabank de P.R. (In re Neira Rivera), 14 F.4th 60, 67 (1st",
        "paragraph_id": "para_309"
      },
      {
        "text": "Cir. 2021). To carry that burden on appeal from a final order of",
        "paragraph_id": "para_310"
      },
      {
        "text": "a bankruptcy court, an appellant must establish that it is a",
        "paragraph_id": "para_311"
      },
      {
        "text": "\"person aggrieved\" by the court's order. Id. at 66; see In re El",
        "paragraph_id": "para_312"
      },
      {
        "text": "San Juan Hotel, 809 F.2d 151, 154 (1st Cir. 1987) (noting the",
        "paragraph_id": "para_313"
      },
      {
        "text": "\"person aggrieved\" standard is a \"prerequisite for appellate",
        "paragraph_id": "para_314"
      },
      {
        "text": "review\" in proceedings under the Bankruptcy Code). This is a \"more",
        "paragraph_id": "para_315"
      },
      {
        "text": "stringent\" standard than that required for Article III standing.",
        "paragraph_id": "para_316"
      },
      {
        "text": "Neira Rivera, 14 F.4th at 66.",
        "paragraph_id": "para_317"
      },
      {
        "text": "In theory, it might be possible that a different",
        "paragraph_id": "para_318"
      },
      {
        "text": "appellate standing requirement applies in Title III proceedings",
        "paragraph_id": "para_319"
      },
      {
        "text": "than in those under the Bankruptcy Code, since \"while PROMESA",
        "paragraph_id": "para_320"
      },
      {
        "text": "incorporates many provisions of that Code, it also has many",
        "paragraph_id": "para_321"
      },
      {
        "text": "9 ICSE contends that LUMA lacked standing to enforce the stay",
        "paragraph_id": "para_322"
      },
      {
        "text": "in the first place. It is unclear whether ICSE, like DACO, also",
        "paragraph_id": "para_323"
      },
      {
        "text": "contends that LUMA lacks standing to appeal the Title III court's",
        "paragraph_id": "para_324"
      },
      {
        "text": "order. In any event, because we conclude that this case is not",
        "paragraph_id": "para_325"
      },
      {
        "text": "properly before us due to LUMA's lack of standing to appeal, we do",
        "paragraph_id": "para_326"

        "text": "To qualify as a \"person aggrieved,\" LUMA must show that",

        "text": "the order declining to stay the DACO action \"'directly and",
        "paragraph_id": "para_340"
      },
      {
        "text": "adversely' affects [LUMA's] pecuniary interests.\" Neira Rivera,",
        "paragraph_id": "para_341"
      },
      {
        "text": "14 F.4th at 66 (quoting Spenlinhauer v. O'Donnell, 261 F.3d 113,",
        "paragraph_id": "para_342"
      },
      {
        "text": "117 (1st Cir. 2001)). This standard is stringent by design: \"The",
        "paragraph_id": "para_343"
      },
      {
        "text": "nature of bankruptcy litigation, with its myriad of parties,",
        "paragraph_id": "para_344"
      },
      {
        "text": "directly and indirectly involved or affected by each order and",
        "paragraph_id": "para_345"
      },
      {
        "text": "decision of the bankruptcy court, mandates that the right of",
        "paragraph_id": "para_346"
      },
      {
        "text": "appellate review be limited to those persons whose interests are",

      },
      {

      {
        "text": "B.",
        "paragraph_id": "para_349"
      },
      {
        "text": "LUMA does not purport to represent PREPA's interests,",
        "paragraph_id": "para_350"
      },
      {
        "text": "conceding that the Board is PREPA's \"sole Title III representative",
        "paragraph_id": "para_351"
      },
      {
        "text": "under PROMESA.\" LUMA instead roots its standing argument in its",
        "paragraph_id": "para_352"
      },
      {
        "text": "asserted status as a post-petition creditor of PREPA under the",
        "paragraph_id": "para_353"
      },
      {
        "text": "10 Nor is there any independent reason for us to look beyond",
        "paragraph_id": "para_354"
      },
      {
        "text": "this plain waiver given that the standard LUMA invokes does not",
        "paragraph_id": "para_355"
      },
      {
        "text": "call for the assertion of jurisdiction broader than that which",
        "paragraph_id": "para_356"
      },
      {
        "text": "would otherwise apply.",
        "paragraph_id": "para_357"
      },
      {
        "text": "- 14 -",
        "paragraph_id": "para_358"
      },
      {
        "text": "OMA's indemnification scheme.11 As creditor, LUMA argues it will",
        "paragraph_id": "para_359"
      },
      {
        "text": "be directly and adversely affected by the failure to stay the DACO",
        "paragraph_id": "para_360"
      },
      {
        "text": "action because without the liability waiver, it will be left to",
        "paragraph_id": "para_361"
      },
      {
        "text": "seek indemnification for consumer claims from PREPA -- an entity",
        "paragraph_id": "para_362"
      },
      {
        "text": "with limited resources by virtue of its status as a Title III",
        "paragraph_id": "para_363"
      },
      {
        "text": "debtor.",
        "paragraph_id": "para_364"
      },
      {
        "text": "As a threshold matter, there is a fair amount of case",
        "paragraph_id": "para_365"
      },
      {
        "text": "law suggesting the protection of the automatic stay in the first",
        "paragraph_id": "para_366"
      },
      {
        "text": "instance is solely for the benefit of the debtor's estate. See",
        "paragraph_id": "para_367"
      },
      {
        "text": "Lee v. McCardle (In re Peeples), 880 F.3d 1207, 1213–16 (10th Cir.",
        "paragraph_id": "para_368"
      },
      {
        "text": "2018) (\"[T]he automatic stay is for the sole benefit of the",
        "paragraph_id": "para_369"
      },
      {
        "text": "debtors' estate and it could subvert the bankruptcy trustee's",
        "paragraph_id": "para_370"
      },
      {
        "text": "powers to allow a creditor to appeal if the trustee chooses not",
        "paragraph_id": "para_371"
      },
      {
        "text": "to.\"12 (citation modified)). And while creditors do have standing",
        "paragraph_id": "para_372"
      },
      {
        "text": "to appeal some types of bankruptcy court orders,13 we have referred,",
        "paragraph_id": "para_373"
      },
      {

        "text": "challenge an alleged violation of the automatic stay\" as",

      },
      {
        "text": "\"problematic.\" FDIC v. Shearson-American Express, Inc., 996 F.2d",
        "paragraph_id": "para_392"
      },
      {
        "text": "493, 497 (1st Cir. 1993). At the same time, there are other cases",
        "paragraph_id": "para_393"
      },
      {
        "text": "that recognize that one of the purposes of the stay is to protect",
        "paragraph_id": "para_394"
      },
      {
        "text": "creditors. See Spookyworld, Inc. v. Town of Berlin (In re",
        "paragraph_id": "para_395"
      },
      {
        "text": "Spookyworld, Inc.), 346 F.3d 1, 10 (1st Cir. 2003).",
        "paragraph_id": "para_396"
      },
      {
        "text": "We need not resolve this tension here because -- as LUMA",
        "paragraph_id": "para_397"
      },
      {
        "text": "itself acknowledges -- even in these latter cases, creditors can",
        "paragraph_id": "para_398"
      },
      {
        "text": "find haven in the stay only to the extent they are threatened with",
        "paragraph_id": "para_399"
      },
      {
        "text": "the type of harm the stay was designed to prevent.14 See Peeples,",
        "paragraph_id": "para_400"
      },
      {
        "text": "880 F.3d at 1214 (holding that, although a creditor \"arguably\" met",
        "paragraph_id": "para_401"
      },
      {
        "text": "Hollow Mgmt. Co. (In re Perry Hollow Mgmt. Co.), 297 F.3d 34, 36–",
        "paragraph_id": "para_402"
      },
      {
        "text": "37, 39 (1st Cir. 2002).",
        "paragraph_id": "para_403"
      },
      {

      },
      {
        "text": "subsection, 11 U.S.C. § 362(k), allows \"an individual injured by",
        "paragraph_id": "para_409"
      },
      {
        "text": "any willful violation of a stay\" to recover damages. See St. Paul",
        "paragraph_id": "para_410"
      },
      {
        "text": "Fire, 579 F.3d at 539, 543. As the Tenth Circuit has recognized,",
        "paragraph_id": "para_411"
      },
      {
        "text": "the use of \"an individual\" in that damages-authorizing subsection",
        "paragraph_id": "para_412"
      },
      {
        "text": "suggests that it \"is meant for some party or parties other than",
        "paragraph_id": "para_413"
      },
      {
        "text": "the bankruptcy trustee\" and thus has a \"broader reach\" than the",
        "paragraph_id": "para_414"
      },
      {
        "text": "provision at issue here. Peeples, 880 F.3d at 1215–16; see id. at",
        "paragraph_id": "para_415"
      },
      {
        "text": "1213–16 (distinguishing the analysis under § 362(a), the provision",
        "paragraph_id": "para_416"
      },
      {
        "text": "LUMA seeks to enforce, from that under § 362(k), the damages-",
        "paragraph_id": "para_417"
      },
      {
        "text": "authorizing subsection). Cases construing § 362(k) are thus",
        "paragraph_id": "para_418"
      },
      {
        "text": "largely inapposite here, where the question is LUMA's standing to",
        "paragraph_id": "para_419"
      },
      {
        "text": "appeal the district court's determination under § 362(a), except",
        "paragraph_id": "para_420"
      },
      {
        "text": "insofar as those cases shed light on the type of creditor harm",
        "paragraph_id": "para_421"
      },
      {
        "text": "with which the stay is concerned.",
        "paragraph_id": "para_422"
      },
      {
        "text": "- 16 -",
        "paragraph_id": "para_423"
      },
      {
        "text": "the general standard to appeal a bankruptcy court order, he could",
        "paragraph_id": "para_424"
      },
      {
        "text": "not do so because \"he hasn't alleged that he's been harmed in his",
        "paragraph_id": "para_425"
      },
      {
        "text": "capacity as a creditor\"); Magnoni v. Globe Inv. & Loan Co. (In re",
        "paragraph_id": "para_426"
      },
      {
        "text": "Globe Inv. & Loan Co.), 867 F.2d 556, 559–60 (9th Cir. 1989)",
        "paragraph_id": "para_427"
      },
      {
        "text": "(holding appellants lacked standing to invoke the automatic stay",
        "paragraph_id": "para_428"
      },
      {
        "text": "because, although creditors, they were not proceeding as such, and",
        "paragraph_id": "para_429"
      },
      {
        "text": "instead the \"true nature of their claim . . . shows them to be",
        "paragraph_id": "para_430"
      },
      {
        "text": "aggrieved property owners\").",
        "paragraph_id": "para_431"
      },
      {
        "text": "Case law from across circuits recognizes that, insofar",
        "paragraph_id": "para_432"
      },
      {
        "text": "as the automatic stay seeks to benefit creditors, it does so by",
        "paragraph_id": "para_433"
      },
      {
        "text": "protecting them from inequitable treatment as compared to other",
        "paragraph_id": "para_434"
      },
      {
        "text": "creditors. See Spookyworld, 346 F.3d at 10 (noting the automatic",
        "paragraph_id": "para_435"
      },
      {
        "text": "stay's \"purpose is to prevent some private creditors from gaining",
        "paragraph_id": "para_436"
      },
      {
        "text": "priority on other creditors\"); St. Paul Fire & Marine Ins. Co. v.",
        "paragraph_id": "para_437"
      },
      {
        "text": "Labuzan, 579 F.3d 533, 540 (5th Cir. 2009) (\"The purpose of the",
        "paragraph_id": "para_438"
      },
      {
        "text": "automatic stay is to protect creditors in a manner consistent with",
        "paragraph_id": "para_439"
      },
      {
        "text": "the bankruptcy goal of equal treatment.\" (citation omitted));",
        "paragraph_id": "para_440"
      },
      {
        "text": "Peeples, 880 F.3d at 1216 (\"[T]he automatic stay's specific",
        "paragraph_id": "para_441"
      },
      {
        "text": "purposes are to protect the debtor from collection efforts and to",
        "paragraph_id": "para_442"
      },
      {
        "text": "protect creditors from inequitable treatment.\").",
        "paragraph_id": "para_443"
      },
      {
        "text": "LUMA fails to identify any way in which the Title III",
        "paragraph_id": "para_444"
      },
      {
        "text": "court's order places it on unequal footing with any other creditor",
        "paragraph_id": "para_445"
      },
      {
        "text": "of PREPA. The only injury LUMA links to its status as a creditor",
        "paragraph_id": "para_446"
      },
      {
        "text": "at all is that, without the liability waiver, it \"will hold claims",
        "paragraph_id": "para_447"
      },
      {
        "text": "- 17 -",
        "paragraph_id": "para_448"
      },
      {
        "text": "against an estate in Title III proceedings with limited",
        "paragraph_id": "para_449"
      },
      {
        "text": "resources.\" But this harm is not one that places LUMA in an",
        "paragraph_id": "para_450"
      },
      {
        "text": "unequal position compared to any other creditor of PREPA. To the",
        "paragraph_id": "para_451"
      },
      {
        "text": "contrary, it places LUMA in the same position as PREPA's other",
        "paragraph_id": "para_452"
      },
      {
        "text": "creditors, each of whom, by definition, holds a claim against an",
        "paragraph_id": "para_453"
      },
      {
        "text": "estate in Title III proceedings with limited resources. See 11",
        "paragraph_id": "para_454"
      },
      {
        "text": "U.S.C. § 101(10)(A) (defining \"creditor\" as an \"entity that has a",
        "paragraph_id": "para_455"
      },
      {
        "text": "claim against the debtor\");15 48 U.S.C. § 2161(a), (c)",
        "paragraph_id": "para_456"
      },
      {
        "text": "(incorporating the definitions in 11 U.S.C. § 101 into PROMESA",
        "paragraph_id": "para_457"
      },
      {
        "text": "except as otherwise provided therein and declining to vary the",
        "paragraph_id": "para_458"
      },
      {
        "text": "Bankruptcy Code's definition of \"creditor\").",
        "paragraph_id": "para_459"
      },
      {
        "text": "LUMA argues both that its injury does not depend on",
        "paragraph_id": "para_460"
      },
      {
        "text": "future \"failed indemnification\" and that PREPA's status as a debtor",
        "paragraph_id": "para_461"
      },
      {
        "text": "renders its resources limited, thereby threatening its ability to",
        "paragraph_id": "para_462"
      },
      {
        "text": "fully indemnify LUMA. Insofar as LUMA seeks to claim the potential",
        "paragraph_id": "para_463"
      },
      {
        "text": "harm posed to PREPA by \"cascading tort liability\" as its own",
        "paragraph_id": "para_464"
      },
      {
        "text": "injury, it is the Board, not LUMA, that has the authority to claim",
        "paragraph_id": "para_465"
      },
      {
        "text": "that harm for purposes of standing. And insofar as LUMA identifies",
        "paragraph_id": "para_466"
      },
      {
        "text": "the harm posed to it by potential future failed indemnification as",
        "paragraph_id": "para_467"
      },
      {
        "text": "an injury relevant to its standing, the only rationale LUMA",
        "paragraph_id": "para_468"
      },
      {
        "text": "provides for the risk of failed indemnification is the fact that",
        "paragraph_id": "para_469"
      },
      {
        "text": "15 The Bankruptcy Code also recognizes entities holding",
        "paragraph_id": "para_470"
      },
      {
        "text": "certain kinds of \"claim[s] against the estate\" or \"community",
        "paragraph_id": "para_471"
      },
      {
        "text": "claim[s]\" as creditors. 11 U.S.C. § 101(10)(B)–(C).",
        "paragraph_id": "para_472"
      },
      {
        "text": "- 18 -",
        "paragraph_id": "para_473"
      },
      {
        "text": "PREPA is a Title III debtor. As we have explained, the risk of",
        "paragraph_id": "para_474"
      },
      {
        "text": "harm inherent in holding a claim against a Title III debtor places",
        "paragraph_id": "para_475"
      },
      {
        "text": "LUMA on equal, not unequal, footing with PREPA's other creditors.",
        "paragraph_id": "para_476"
      },
      {
        "text": "C.",
        "paragraph_id": "para_477"
      },
      {
        "text": "LUMA nevertheless lays a litany of harms at the Title III",
        "paragraph_id": "para_478"
      },
      {
        "text": "court's feet and claims that those injuries satisfy the \"person",
        "paragraph_id": "para_479"
      },
      {
        "text": "aggrieved\" standard. LUMA asserts that the court's order",
        "paragraph_id": "para_480"
      },
      {
        "text": "\"impair[s] its rights\" under the OMA by extinguishing the liability",
        "paragraph_id": "para_481"
      },
      {
        "text": "waiver; \"diminishe[s] [its] property\" by stripping away a material",
        "paragraph_id": "para_482"
      },
      {
        "text": "term of the OMA, namely, the liability waiver; and \"increase[s]",
        "paragraph_id": "para_483"
      },
      {
        "text": "its burdens\" by exposing LUMA to consumer tort litigation, again",
        "paragraph_id": "para_484"
      },
      {
        "text": "by virtue of the loss of the liability waiver. See San Juan Hotel,",
        "paragraph_id": "para_485"
      },
      {
        "text": "809 F.2d at 154 (noting an appellant qualifies as a \"person",
        "paragraph_id": "para_486"
      },
      {
        "text": "aggrieved\" when the appellant's \"rights or interests are 'directly",
        "paragraph_id": "para_487"
      },
      {
        "text": "and adversely affected pecuniarily'\" by an order that \"diminishes",
        "paragraph_id": "para_488"
      },
      {
        "text": "his property, increases his burdens, or impairs his rights\"",
        "paragraph_id": "para_489"
      },
      {
        "text": "(citation omitted)). But none of the harms identified by LUMA",
        "paragraph_id": "para_490"
      },
      {
        "text": "flows \"directly\" from the Title III court's order. See Neira",
        "paragraph_id": "para_491"
      },
      {
        "text": "Rivera, 14 F.4th at 66 (citation omitted). Nor, for that matter,",
        "paragraph_id": "para_492"
      },
      {
        "text": "do they relate to LUMA's status as a creditor of PREPA. See supra",
        "paragraph_id": "para_493"
      },
      {
        "text": "Section III.B.",
        "paragraph_id": "para_494"
      },
      {
        "text": "The Title III court's decision did not invalidate the",
        "paragraph_id": "para_495"
      },
      {
        "text": "liability waiver; it simply permitted the Supreme Court of Puerto",
        "paragraph_id": "para_496"
      },
      {
        "text": "Rico to render a decision regarding the waiver's constitutionality",
        "paragraph_id": "para_497"
      },
      {
        "text": "- 19 -",
        "paragraph_id": "para_498"
      },
      {
        "text": "while PREPA's restructuring is still underway. Indeed, the",
        "paragraph_id": "para_499"
      },
      {
        "text": "Title III court's order left equally open the possibilities that",
        "paragraph_id": "para_500"
      },
      {
        "text": "the Supreme Court of Puerto Rico would uphold or invalidate LUMA's",
        "paragraph_id": "para_501"
      },
      {
        "text": "waiver of liability. Each injury LUMA identifies is thus the",
        "paragraph_id": "para_502"
      },
      {
        "text": "direct result of the Supreme Court of Puerto Rico's ultimate",
        "paragraph_id": "para_503"
      },
      {
        "text": "decision in the DACO action -- not the Title III court's order",
        "paragraph_id": "para_504"
      },
      {
        "text": "permitting that action to proceed sooner rather than later. While",
        "paragraph_id": "para_505"
      },
      {
        "text": "LUMA argues that, but for the Title III court's order, the DACO",
        "paragraph_id": "para_506"
      },
      {
        "text": "action could not (yet) have proceeded and LUMA therefore would",
        "paragraph_id": "para_507"
      },
      {
        "text": "have retained its liability waiver (at least for now), LUMA cites",
        "paragraph_id": "para_508"
      },
      {
        "text": "no support for the proposition that bankruptcy's \"stringent\"",
        "paragraph_id": "para_509"
      },
      {
        "text": "standing requirement that the appealed order \"directly and",
        "paragraph_id": "para_510"
      },
      {
        "text": "adversely affect[]\" the appellee's pecuniary interests is",
        "paragraph_id": "para_511"
      },
      {
        "text": "satisfied whenever but-for causation is established. See Neira",
        "paragraph_id": "para_512"
      },
      {
        "text": "Rivera, 14 F.4th at 66 (citation modified). Nor is such an",
        "paragraph_id": "para_513"
      },
      {
        "text": "interpretation consistent with the \"limited\" nature of appellate",
        "paragraph_id": "para_514"
      },
      {
        "text": "bankruptcy standing. See San Juan Hotel, 809 F.2d at 154; see",
        "paragraph_id": "para_515"
      },
      {
        "text": "also Bostock v. Clayton Cnty., 590 U.S. 644, 656 (2020) (observing",
        "paragraph_id": "para_516"
      },
      {
        "text": "that but-for causation \"can be a sweeping standard\").",
        "paragraph_id": "para_517"
      },
      {
        "text": "The only injury that does directly flow from the",
        "paragraph_id": "para_518"
      },
      {
        "text": "Title III court's order concerns the timing of the DACO action,",
        "paragraph_id": "para_519"
      },
      {
        "text": "which implicates both LUMA's need to defend itself in that case",
        "paragraph_id": "para_520"
      },
      {
        "text": "and its receipt of the Supreme Court of Puerto Rico's ultimate",
        "paragraph_id": "para_521"
      },
      {
        "text": "decision before, rather than after, PREPA's restructuring is",
        "paragraph_id": "para_522"
      },
      {
        "text": "- 20 -",
        "paragraph_id": "para_523"
      },
      {
        "text": "complete. LUMA does not attempt to argue that the burden of",
        "paragraph_id": "para_524"
      },
      {
        "text": "defending itself in the DACO action during PREPA's restructuring",
        "paragraph_id": "para_525"
      },
      {
        "text": "confers it with standing, preferring to hang its hopes on the",
        "paragraph_id": "para_526"
      },
      {
        "text": "burden posed by consumer lawsuits in the absence of the waiver.",
        "paragraph_id": "para_527"
      },
      {
        "text": "But that burden, like all the others identified by LUMA, neither",
        "paragraph_id": "para_528"
      },
      {
        "text": "flows directly from the Title III court's order nor exposes LUMA,",
        "paragraph_id": "para_529"
      },
      {
        "text": "as an asserted post-petition creditor, to the type of harm the",
        "paragraph_id": "para_530"
      },
      {
        "text": "stay was designed to prevent.",
        "paragraph_id": "para_531"
      },
      {
        "text": "D.",
