        "text": "We again consider constitutional challenges to the Horseracing",
        "paragraph_id": "para_55"
      },
      {
        "text": "Integrity and Safety Act of 2020 (“HISA”). In HISA, Congress",
        "paragraph_id": "para_56"
      },
      {
        "text": "empowered a private corporation—the Horseracing Integrity and Safety",
        "paragraph_id": "para_57"
      },
      {
        "text": "Authority (“Authority”)—to create and enforce nationwide rules for",
        "paragraph_id": "para_58"
      },
      {
        "text": "thoroughbred horseracing. Last time, we held HISA facially",
        "paragraph_id": "para_59"
      },
      {
        "text": "unconstitutional under the private nondelegation doctrine because the",
        "paragraph_id": "para_60"
      },
      {
        "text": "Authority’s rulemaking was not subordinate to the Federal Trade",
        "paragraph_id": "para_61"
      },
      {
        "text": "Commission (“FTC”). See Nat’l Horsemen’s Benevolent & Protective Ass’n",
        "paragraph_id": "para_62"
      },
      {
        "text": "v. Black (Horsemen’s I), 53 F.4th 869 (5th Cir. 2022). At the time, we did not",
        "paragraph_id": "para_63"
      },
      {
        "text": "consider a separate nondelegation challenge to the Authority’s enforcement",
        "paragraph_id": "para_64"
      },
      {
        "text": "power. Congress responded to our decision by amending HISA, giving the",
        "paragraph_id": "para_65"
      },
      {
        "text": "FTC power to abrogate, add to, or modify the Authority’s rules.",
        "paragraph_id": "para_66"
      },
      {
        "text": "On remand, the district court held the amendment cured HISA’s",
        "paragraph_id": "para_67"
      },
      {
        "text": "constitutional deficiencies because the FTC now has general rulemaking",
        "paragraph_id": "para_68"
      },
      {
        "text": "power over the Authority’s activities. It also rejected claims raised by a new",
        "paragraph_id": "para_69"
      },
      {

        "text": "Constitution’s Appointments Clause because the Authority wields",
        "paragraph_id": "para_74"
      },
      {
        "text": "significant governmental authority. The plaintiffs all appealed, arguing",
        "paragraph_id": "para_75"
      },
      {
        "text": "HISA is still constitutionally deficient under the private nondelegation",
        "paragraph_id": "para_76"
      },
      {
        "text": "doctrine, the Due Process Clause, the Appointments Clause, and the Tenth",
        "paragraph_id": "para_77"
      },
      {
        "text": "Amendment.",
        "paragraph_id": "para_78"
      },
      {
        "text": "We agree with nearly all of the district court’s well-crafted opinion.",
        "paragraph_id": "para_79"
      },
      {
        "text": "Specifically, we agree that the FTC’s new rulemaking oversight means the",
        "paragraph_id": "para_80"
      },
      {
        "text": "agency is no longer bound by the Authority’s policy choices. In other words,",
        "paragraph_id": "para_81"
      },
      {
        "text": "the amendment solved the nondelegation problem with the Authority’s",
        "paragraph_id": "para_82"
      },
      {
        "text": "rulemaking power. We also agree that HISA does not violate the Due",
        "paragraph_id": "para_83"
      },
      {
        "text": "Process Clause by putting financially interested private individuals in charge",
        "paragraph_id": "para_84"
      },
      {
        "text": "of competitors. Further, we agree that, under current Supreme Court",
        "paragraph_id": "para_85"
      },
      {
        "text": "precedent, see Lebron v. Nat’l R.R. Passenger Corp., 513 U.S. 374 (1995), the",
        "paragraph_id": "para_86"
      },
      {
        "text": "Authority does not qualify as a government entity subject to the",
        "paragraph_id": "para_87"
      },
      {
        "text": "Appointments Clause. Finally, we agree that plaintiff Gulf Coast lacks",
        "paragraph_id": "para_88"
      },
      {
        "text": "standing to bring its Tenth Amendment challenge.",
        "paragraph_id": "para_89"
      },
      {
        "text": "We disagree with the district court in one important respect, however:",
        "paragraph_id": "para_90"
      },
      {
        "text": "HISA’s enforcement provisions violate the private nondelegation doctrine.",
        "paragraph_id": "para_91"
      },
      {
        "text": "The statute empowers the Authority to investigate, issue subpoenas, conduct",
        "paragraph_id": "para_92"
      },
      {
        "text": "searches, levy fines, and seek injunctions—all without the FTC’s say-so.",
        "paragraph_id": "para_93"
      },
      {
        "text": "That is forbidden by the Constitution. We therefore DECLARE that",
        "paragraph_id": "para_94"
      },
      {
        "text": "HISA’s enforcement provisions are facially unconstitutional on that ground.",
        "paragraph_id": "para_95"
      },
      {
        "text": "In doing so, we part ways with our esteemed colleagues on the Sixth Circuit.",
        "paragraph_id": "para_96"
      },
      {
        "text": "See Oklahoma v. United States, 62 F.4th 221 (6th Cir. 2023) (rejecting",
        "paragraph_id": "para_97"
      },
      {
        "text": "nondelegation challenge to HISA’s enforcement provisions).",

        "paragraph_id": "para_104",

        "text": "A. HISA Framework",
        "paragraph_id": "para_105"
      },
      {
        "text": "In 2020, HISA created a framework for enacting and enforcing",
        "paragraph_id": "para_106"
      },
      {
        "text": "nationwide rules governing doping, medication control, and racetrack safety",
        "paragraph_id": "para_107"
      },
      {
        "text": "in the thoroughbred horseracing industry. See 15 U.S.C. § 3054(a). See",
        "paragraph_id": "para_108"
      },
      {
        "text": "generally Horsemen’s I, 53 F.4th at 873–75. To “develop[] and implement[]”",
        "paragraph_id": "para_109"
      },
      {
        "text": "these rules, HISA empowers a “private, independent, self-regulatory,",
        "paragraph_id": "para_110"
      },
      {
        "text": "nonprofit corporation, to be known as the ‘Horseracing Integrity and Safety",
        "paragraph_id": "para_111"
      },
      {
        "text": "Authority,’” subject to the “oversight” of the FTC. §§ 3052(a), 3053.",
        "paragraph_id": "para_112"
      },
      {
        "text": "Under HISA, the Authority writes all the rules—that is, rules",
        "paragraph_id": "para_113"
      },
      {
        "text": "fleshing out the substantive areas covered by HISA, as well as rules",
        "paragraph_id": "para_114"
      },
      {
        "text": "governing investigation, adjudication, and sanctions.1 The Authority submits",
        "paragraph_id": "para_115"
      },
      {
        "text": "proposed rules to the FTC, which publishes them for public comment.",
        "paragraph_id": "para_116"
      },
      {
        "text": "§ 3053(b)(1), (c)(1). Rules take effect only after FTC approval, which must",
        "paragraph_id": "para_117"
      },
      {
        "text": "occur within 60 days of publication. The FTC “shall approve” a proposed",
        "paragraph_id": "para_118"
      },
      {
        "text": "rule if it finds the rule “consistent” with the Act and with “applicable rules",
        "paragraph_id": "para_119"
      },
      {
        "text": "approved by the [FTC].” § 3053(c)(2). Originally, this “consistency",
        "paragraph_id": "para_120"
      },
      {
        "text": "review” did not allow the FTC to reject a proposed rule based on its",
        "paragraph_id": "para_121"
      },
      {
        "text": "disagreement with the Authority’s policy choices. Horsemen’s I, 53 F.4th at",
        "paragraph_id": "para_122"
      },
      {
        "text": "884–87. In Horsemen’s I, we held that this arrangement violated the private",
        "paragraph_id": "para_123"
      },
      {
        "text": "nondelegation doctrine by making a private entity superior to a government",
        "paragraph_id": "para_124"
      },
      {

        "text": "agency. Ibid. In response, Congress amended HISA to give the FTC power",
        "paragraph_id": "para_134",
        "court_paragraph": 5
      },
      {
        "text": "to “abrogate, add to, and modify” the Authority’s rules. § 3053(e).",
        "paragraph_id": "para_135"
      },
      {
        "text": "The Authority also has the power to enforce HISA. It does so by",
        "paragraph_id": "para_136"
      },
      {
        "text": "(1) exercising “subpoena and investigatory authority,” § 3054(h);",
        "paragraph_id": "para_137"
      },
      {
        "text": "(2) imposing civil sanctions, §§ 3054(i), 3057; and (3) filing civil actions",
        "paragraph_id": "para_138"
      },
      {
        "text": "seeking injunctions or enforcement of sanctions, § 3054(j). The actual work",
        "paragraph_id": "para_139"
      },
      {
        "text": "of enforcing HISA involves a further delegation to other entities, however.",
        "paragraph_id": "para_140"
      },
      {
        "text": "For instance, HISA directs the Authority to contract enforcement of doping",
        "paragraph_id": "para_141"
      },
      {
        "text": "and medication rules to a private non-profit, the U.S. Anti-Doping Agency",
        "paragraph_id": "para_142"
      },
      {
        "text": "(“USADA”), or other comparable entity. § 3054(e)(1)(A), (B).2 USADA",
        "paragraph_id": "para_143"
      },
      {
        "text": "then acts as “the independent . . . enforcement organization” for those rules,",
        "paragraph_id": "para_144"
      },
      {
        "text": "“implement[s]” HISA’s anti-doping programs, and exercises related",
        "paragraph_id": "para_145"
      },
      {
        "text": "powers “including independent investigations, charging and adjudication of",
        "paragraph_id": "para_146"
      },
      {
        "text": "potential medication control rule violations, and the enforcement of any civil",
        "paragraph_id": "para_147"
      },
      {
        "text": "sanctions for such violations.” § 3054(e)(1)(E)(i), (iii), (iv);",
        "paragraph_id": "para_148"
      },
      {
        "text": "§ 3055(c)(4)(B).3 USADA’s decisions on such matters “shall be the final",
        "paragraph_id": "para_149"
      },
      {
        "text": "decision or civil sanction of the Authority,” subject to de novo review by an",
        "paragraph_id": "para_150"
      },
      {
        "text": "administrative law judge (“ALJ”) and the FTC. § 3055(c)(4)(B); § 3058.",
        "paragraph_id": "para_151"
      },
      {
        "text": "B. Procedural History",
        "paragraph_id": "para_152"
      },
      {
        "text": "Horsemen’s I concluded that HISA’s delegation of rulemaking power",
        "paragraph_id": "para_153"
      },
      {
        "text": "was facially unconstitutional. HISA delegated rulemaking power to a private",
        "paragraph_id": "para_154"
      },
      {

        "text": "guessed by the agency (FTC). The Authority’s rulemaking powers were",
        "paragraph_id": "para_167"
      },
      {
        "text": "therefore not subordinate to the FTC, meaning HISA facially violated the",
        "paragraph_id": "para_168"
      },
      {
        "text": "private nondelegation doctrine. Horsemen’s I, 53 F.4th at 872. We did not",
        "paragraph_id": "para_169"
      },
      {
        "text": "consider the plaintiffs’ distinct nondelegation challenges to the Authority’s",
        "paragraph_id": "para_170"
      },
      {
        "text": "investigative and enforcement powers nor their due process claims. Id. at 890",
        "paragraph_id": "para_171"
      },
      {
        "text": "n.37. Finally, as noted, Congress responded to Horsemen’s I by empowering",
        "paragraph_id": "para_172"
      },
      {
        "text": "the FTC to “abrogate, add to, and modify” the Authority’s rules. § 3053(e).",
        "paragraph_id": "para_173"
      },
      {
        "text": "On remand, the National Horsemen’s Association (“Horsemen”)",
        "paragraph_id": "para_174"
      },
      {
        "text": "and Texas continued to press their private nondelegation claims, arguing",
        "paragraph_id": "para_175"
      },
      {
        "text": "Congress’s amendment did not actually subordinate Authority rulemaking to",
        "paragraph_id": "para_176"
      },
      {
        "text": "the FTC. They also continued to press their nondelegation challenge to the",
        "paragraph_id": "para_177"
      },
      {
        "text": "Authority’s enforcement powers (as well as their due process claims). In",
        "paragraph_id": "para_178"
      },
      {
        "text": "addition, a new plaintiff, Gulf Coast Racing (“Gulf Coast”), raised separate",
        "paragraph_id": "para_179"
      },
      {
        "text": "challenges to HISA in a different division of the same district. See Nat’l",
        "paragraph_id": "para_180"
      },
      {
        "text": "Horsemen’s Benevolent & Protective Ass’n v. Black (Black), 672 F. Supp. 3d",
        "paragraph_id": "para_181"
      },
      {
        "text": "220, 224 (N.D. Tex. 2023). Gulf Coast claimed (1) HISA’s directors qualify",
        "paragraph_id": "para_182"
      },
      {
        "text": "as “officers of the United States” and are therefore subject to Article II’s",
        "paragraph_id": "para_183"
      },
      {
        "text": "appointment and removal requirements; and (2) HISA commandeers Texas",
        "paragraph_id": "para_184"
      },
      {
        "text": "in violation of the Tenth Amendment. Gulf Coast’s suit was consolidated",
        "paragraph_id": "para_185"
      },
      {
        "text": "with the remanded Horsemen’s I case. Id. at 230–31. Following a one-day",
        "paragraph_id": "para_186"
      },
      {
        "text": "bench trial, the district court rejected all the plaintiffs’ claims.",
        "paragraph_id": "para_187"
      },
      {
        "text": "As to private nondelegation, the district court followed the Sixth",
        "paragraph_id": "para_188"
      },
      {
        "text": "Circuit’s decision in Oklahoma, 62 F.4th 221. That court reasoned that",
        "paragraph_id": "para_189"
      },
      {
        "text": "Congress’s amendment empowering the FTC to “abrogate, add to, and",
        "paragraph_id": "para_190"
      },
      {
        "text": "modify” proposed rules “cured the constitutional issues identified by",
        "paragraph_id": "para_191"
      },
      {
        "text": "[Horsemen’s I]” by making the Authority’s rulemaking power “subordinate”",
        "paragraph_id": "para_192"
      },
      {
        "text": "to the FTC. Black, 672 F. Supp. 3d at 241, 243 (citing Oklahoma, 62 F.4th at",
        "paragraph_id": "para_193"
      },
      {
        "text": "230, 232). As to the separate challenge to the Authority’s enforcement",
        "paragraph_id": "para_194"
      },
      {

        "text": "powers, the district court largely relied on its previous order rejecting the",
        "paragraph_id": "para_198",
        "court_paragraph": 7
      },
      {
        "text": "claim because those powers “comport with due process.” See id. at 248. The",
        "paragraph_id": "para_199"
      },
      {
        "text": "court also relied on the fact that the FTC could review civil sanctions and",
        "paragraph_id": "para_200"
      },
      {
        "text": "control enforcement through rulemaking. Id. at 248–49; see also Oklahoma,",
        "paragraph_id": "para_201"
      },
      {
        "text": "62 F.4th at 231. Finally, the court rejected the due process claims because the",
        "paragraph_id": "para_202"
      },
      {
        "text": "Horsemen failed to show the Authority’s directors have financial interests in",
        "paragraph_id": "para_203"
      },
      {
        "text": "regulating competitors. Black, 672 F. Supp. 3d at 252.",
        "paragraph_id": "para_204"
      },
      {
        "text": "As to Gulf Coast’s claims, the district court concluded that our",
        "paragraph_id": "para_205"
      },
      {
        "text": "Horsemen’s I decision required it to reject them. Specifically, the court",
        "paragraph_id": "para_206"
      },
      {
        "text": "reasoned that Horsemen’s I necessarily decided the Authority was a private",
        "paragraph_id": "para_207"
      },
      {
        "text": "entity, and so its directors were not subject to the Appointments Clause. Id.",
        "paragraph_id": "para_208"
      },
      {
        "text": "at 234–37. Alternatively, the court reasoned that the Authority is private",
        "paragraph_id": "para_209"
      },
      {
        "text": "because “it is not government created, and its directors are not government",
        "paragraph_id": "para_210"
      },
      {
        "text": "appointed.” Id. at 234 (citing Lebron, 513 U.S. 374). Finally, the court",
        "paragraph_id": "para_211"
      },
      {
        "text": "rejected the Tenth Amendment commandeering argument for lack of",
        "paragraph_id": "para_212"
      },
      {
        "text": "standing. Id. at 250.",

      {

        "text": "II. Standard of Review",
        "paragraph_id": "para_216"
      },
      {
        "text": "We review the district court’s legal conclusions following a bench trial",
        "paragraph_id": "para_217"
      },
      {
        "text": "de novo. Deloach Marine Servs., L.L.C. v. Marquette Transp. Co., 974 F.3d 601,",
        "paragraph_id": "para_218"
      },
      {
        "text": "606 (5th Cir. 2020). To prevail on their facial challenge, the plaintiffs “must",
        "paragraph_id": "para_219"
      },
      {
        "text": "show that no set of circumstances exists under which [HISA] would be",
        "paragraph_id": "para_220"
      },
      {
        "text": "valid.” Horsemen’s I, 53 F.4th at 878 (cleaned up) (citations omitted).",
        "paragraph_id": "para_221"
      },
      {
        "text": "III. Discussion",

        "text": "We consider each issue in turn.",
        "paragraph_id": "para_237"
      },
      {
        "text": "A. Private Nondelegation Challenge to Authority’s Rulemaking.",
        "paragraph_id": "para_238"
      },
      {
        "text": "We previously discussed the origins of the private nondelegation",
        "paragraph_id": "para_239"
      },
      {
        "text": "doctrine in Horsemen’s I. See id. at 880–81. In essence, the doctrine teaches",
        "paragraph_id": "para_240"
      },
      {
        "text": "that “a private entity may wield government power only if it ‘functions",
        "paragraph_id": "para_241"
      },
      {
        "text": "subordinately’ to an agency with ‘authority and surveillance’ over it.” Id. at",
        "paragraph_id": "para_242"
      },
      {
        "text": "881 & n.21 (citing Texas v. Rettig, 987 F.3d 518, 532 (5th Cir. 2021)); Pittston",
        "paragraph_id": "para_243"
      },
      {
        "text": "Co. v. United States, 368 F.3d 385, 394 (4th Cir. 2004); United States v. Frame,",
        "paragraph_id": "para_244"
      },
      {

        "text": "In Horsemen’s I, we ruled the Authority’s rulemaking power was an",
        "paragraph_id": "para_259"
      },
      {
        "text": "unconstitutional private delegation. Our analysis focused on the fact that the",
        "paragraph_id": "para_260"
      },
      {
        "text": "Authority’s proposed rules were subject only to the FTC’s limited",
        "paragraph_id": "para_261"
      },
      {
        "text": "“consistency review,” which did not permit the agency to second-guess the",
        "paragraph_id": "para_262"
      },
      {
        "text": "Authority’s policy choices. See Horsemen’s I, 53 F.4th at 882–87. In response,",
        "paragraph_id": "para_263"
      },
      {
        "text": "Congress amended HISA to provide that:",
        "paragraph_id": "para_264"
      },
      {
        "text": "[the FTC], by rule in accordance with section 553 of title 5,",
        "paragraph_id": "para_265"
      },
      {
        "text": "may abrogate, add to, and modify the rules of the Authority",
        "paragraph_id": "para_266"
      },
      {
        "text": "promulgated in accordance with this chapter as the",
        "paragraph_id": "para_267"
      },
      {
        "text": "Commission finds necessary or appropriate to ensure the fair",
        "paragraph_id": "para_268"
      },
      {
        "text": "administration of the Authority, to conform the rules of the",
        "paragraph_id": "para_269"
      },
      {
        "text": "Authority to requirements of this chapter and applicable rules",
        "paragraph_id": "para_270"
      },
      {
        "text": "approved by the Commission, or otherwise in furtherance of",
        "paragraph_id": "para_271"
      },
      {
        "text": "the purposes of this chapter.",
        "paragraph_id": "para_272"
      },
      {
        "text": "15 U.S.C. § 3053(e). This new provision was borrowed from the Maloney",
        "paragraph_id": "para_273"
      },
      {
        "text": "Act, which allocates authority between the SEC and private, self-regulatory",
        "paragraph_id": "para_274"
      },
      {
        "text": "organizations (such as the Financial Industry Regulatory Authority",
        "paragraph_id": "para_275"
      },
      {
        "text": "(“FINRA”)). See Oklahoma, 62 F.4th at 231–32. Although HISA was",
        "paragraph_id": "para_276"
      },
      {
        "text": "originally modeled on the Maloney Act, it lacked this provision until the",
        "paragraph_id": "para_277"
      },
      {
        "text": "recent amendment. See Consolidated Appropriations Act, 2023, Pub. L. 117-",
        "paragraph_id": "para_278"
      },
      {
        "text": "328, div. O, tit. VII, § 701, 136 Stat. 4459, 5231–32. As noted, the district",
        "paragraph_id": "para_279"
      },
      {
        "text": "court followed the Sixth Circuit in ruling that the amendment cured the",
        "paragraph_id": "para_280"
      },
      {
        "text": "nondelegation problem with the Authority’s rulemaking power. See Black,",
        "paragraph_id": "para_281"
      },
      {
        "text": "672 F. Supp. 3d at 241 (citing Oklahoma, 62 F.4th at 230, 232).",
        "paragraph_id": "para_282"
      },
      {
        "text": "We agree with the district court and the Sixth Circuit that the",
        "paragraph_id": "para_283"
      },
      {
        "text": "amendment cured the nondelegation defect identified in Horsemen’s I. That",
        "paragraph_id": "para_284"
      },
      {
        "text": "defect lay in the agency’s being at the mercy of the Authority’s policy",
        "paragraph_id": "para_285"
      },
      {
        "text": "choices. See Horsemen’s I, 53 F.4th at 872 (“[T]he FTC concedes it cannot",
        "paragraph_id": "para_286"
      },
      {

        "text": "review the Authority’s policy choices.”). For instance, when the Authority",
        "paragraph_id": "para_290",
        "court_paragraph": 10
      },
      {
        "text": "issued rules on the kinds of horseshoes permitted during races, the FTC told",
        "paragraph_id": "para_291"
      },
      {
        "text": "objecting commenters it lacked the power to question the Authority’s views.",
        "paragraph_id": "para_292"
      },
      {
        "text": "See id. at 885 (discussing Order Approving the Enforcement Rule Proposed by the",
        "paragraph_id": "para_293"
      },
      {
        "text": "Horseracing Integrity and Safety Authority, 26, Fed. Trade Comm’n",
        "paragraph_id": "para_294"
      },
      {
        "text": "(Mar. 25, 2022)). The amendment has corrected that imbalance. Now, the",
        "paragraph_id": "para_295"
      },
      {
        "text": "FTC may “abrogate, add to, and modify” the Authority’s rules. § 3053(e).",
        "paragraph_id": "para_296"
      },
      {
        "text": "So, unlike before, if the FTC now disagrees with the policies reflected in the",
        "paragraph_id": "para_297"
      },
      {
        "text": "Authority’s rules, it may change them. See Oklahoma, 62 F.4th at 230 (noting",
        "paragraph_id": "para_298"
      },
      {
        "text": "recent rule explaining that FTC’s “new ‘rulemaking power’ allows it to",
        "paragraph_id": "para_299"
      },
      {
        "text": "‘exercise its own policy choices’” (quoting Order Ratifying Previous",
        "paragraph_id": "para_300"
      },
      {
        "text": "Commission Orders 3, Fed. Trade Comm’n (Jan. 3, 2023))). As the Sixth",
        "paragraph_id": "para_301"
      },
      {
        "text": "Circuit correctly observed, “§ 3053(e)’s amended text gives the FTC",
        "paragraph_id": "para_302"
      },
      {
        "text": "ultimate discretion over the content of the rules,” which “makes the FTC",
        "paragraph_id": "para_303"
      },
      {
        "text": "the primary rule-maker, and leaves the Authority as the secondary, the",
        "paragraph_id": "para_304"
      },
      {
        "text": "inferior, the subordinate one.” Ibid. (citing Adkins, 310 U.S. at 388).",
        "paragraph_id": "para_305"
      },
      {
        "text": "Appellants’ arguments to the contrary do not persuade us.",
        "paragraph_id": "para_306"
      },
      {
        "text": "First, the Horsemen argue the Authority remains superior because it",
        "paragraph_id": "para_307"
      },
      {
        "text": "continues to write the rules in the first place and the agency must approve",
        "paragraph_id": "para_308"
      },
      {
        "text": "them if they hurdle the low bar of consistency review. We disagree. The",
        "paragraph_id": "para_309"
      },
      {
        "text": "problem was never that the private entity proposed the rules; the problem",
        "paragraph_id": "para_310"
      },
      {
        "text": "was that the agency lacked power to second-guess them once they were",
        "paragraph_id": "para_311"
      },
      {
        "text": "proposed. See Horsemen’s I, 53 F.4th at 884 (“The FTC’s oversight is too",
        "paragraph_id": "para_312"
      },
      {
        "text": "limited to ensure the Authority functions subordinately to the agency.”",
        "paragraph_id": "para_313"
      },
      {
        "text": "(cleaned up) (quoting Adkins, 310 U.S. at 399)). Now the FTC has been",
        "paragraph_id": "para_314"
      },
      {
        "text": "given that power: it can “abrogate” or “modify” Authority rules it disagrees",
        "paragraph_id": "para_315"
      },
      {
        "text": "with. § 3053(e). And that new power gives consistency review new bite.",
        "paragraph_id": "para_316"
      },
      {
        "text": "Previously, consistency review “exclude[d] . . . the Authority’s policy choices",
        "paragraph_id": "para_317"
      },
      {
        "text": "in formulating rules.” Id. at 885. Now it implicitly includes review of those",
        "paragraph_id": "para_318"
      },
      {

        "text": "choices. The FTC must approve only those rules “consistent",
        "paragraph_id": "para_322",
        "court_paragraph": 11
      },
      {
        "text": "with . . . applicable rules approved by the [FTC],” and, thanks to the",
        "paragraph_id": "para_323"
      },
      {
        "text": "amendment, it is the FTC that has final word over what those rules are.",
        "paragraph_id": "para_324"
      },
      {
        "text": "§ 3053(c)(2); see also Oklahoma, 62 F.4th at 231 (explaining that “the FTC’s",
        "paragraph_id": "para_325"
      },
      {
        "text": "later authority to modify any rules for any reason at all, including policy",
        "paragraph_id": "para_326"
      },
      {
        "text": "disagreements, ensures that the FTC retains ultimate[] authority over the",
        "paragraph_id": "para_327"
      },
      {
        "text": "implementation of the Horseracing Act”).5",
        "paragraph_id": "para_328"
      },
      {
        "text": "Next, the Horsemen argue the FTC’s new review power creates a",
        "paragraph_id": "para_329"
      },
      {
        "text": "timing problem. Because the FTC may alter only rules “promulgated” by",
        "paragraph_id": "para_330"
      },
      {
        "text": "the Authority, § 3053(e), regulated entities may end up being subject to the",
        "paragraph_id": "para_331"
      },
      {
        "text": "Authority’s rules until the FTC can intervene and fix them. We disagree.",
        "paragraph_id": "para_332"
      },
      {
        "text": "The FTC has 60 days to approve or disapprove a proposed rule.",
        "paragraph_id": "para_333"
      },
      {
        "text": "§ 3053(c)(1). If the FTC is concerned about a proposed rule going into effect,",
        "paragraph_id": "para_334"
      },
      {
        "text": "then it can intervene and create safeguards to prevent that from happening.",
        "paragraph_id": "para_335"
      },
      {
        "text": "See § 3053(a) (requiring Authority to submit proposed rules to FTC “in",
        "paragraph_id": "para_336"
      },
      {
        "text": "accordance with such rules as the [FTC] may prescribe”). For instance, the",
        "paragraph_id": "para_337"
      },
      {
        "text": "agency could adopt a rule postponing the effective date of a newly enacted",
        "paragraph_id": "para_338"
      },
      {
        "text": "rule. See Oklahoma, 62 F.4th at 232 (suggesting this). Or the agency could",
        "paragraph_id": "para_339"
      },
      {
        "text": "engage in emergency rulemaking to delay the effective date of a rule. In any",
        "paragraph_id": "para_340"
      },
      {
        "text": "event, these are hypothetical problems that, if they arise, can be addressed in",
        "paragraph_id": "para_341"
      },
      {
        "text": "as-applied challenges. See Hersh v. United States ex rel. Mukasey, 553 F.3d 743,",
        "paragraph_id": "para_342"
      },
      {
        "text": "_____________________",
        "paragraph_id": "para_343"
      },
      {
        "text": "5 Texas contends § 3053(e) does not solve the nondelegation problem because it",
        "paragraph_id": "para_344"
      },
      {
        "text": "gives the FTC only limited rulemaking authority—i.e., “to ensure the fair administration",
        "paragraph_id": "para_345"
      },
      {
        "text": "of the Authority.” Because the FTC lacks plenary rulemaking authority, Texas argues, the",
        "paragraph_id": "para_346"
      },
      {
        "text": "Authority still effectively calls the shots. We disagree. Section 3053(e) empowers the FTC",
        "paragraph_id": "para_347"
      },
      {
        "text": "to engage in rulemaking, not only for specified purposes, but also “otherwise in furtherance",
        "paragraph_id": "para_348"
      },
      {
        "text": "of the purposes of [HISA].” This language, borrowed from the Maloney Act, gives the",
        "paragraph_id": "para_349"
      },
      {
        "text": "agency “broad authority to oversee and to regulate the rules adopted by the",
        "paragraph_id": "para_350"
      },
      {
        "text": "[Authority] . . . , including the power to mandate the adoption of any rules it deems",
        "paragraph_id": "para_351"
      },
      {
        "text": "necessary.” Shearson/Am. Express, Inc. v McMahon, 482 U.S. 220, 233–34 (1987).",

      },
      {

        "text": "This is a facial challenge, however, and we cannot say that a potential timing",
        "paragraph_id": "para_357"
      },
      {
        "text": "gap in FTC’s § 3053(e) review makes HISA unconstitutional in all its",
        "paragraph_id": "para_358"
      },
      {
        "text": "applications. See United States v. Salerno, 481 U.S. 739, 745 (1987) (holding",
        "paragraph_id": "para_359"
      },
      {
        "text": "that a facial challenger “must establish that no set of circumstances exists",
        "paragraph_id": "para_360"
      },
      {
        "text": "under which the Act would be valid”).6",
        "paragraph_id": "para_361"
      },
      {
        "text": "Finally, the Horsemen point to the SEC’s supervisory authority over",
        "paragraph_id": "para_362"
      },
      {
        "text": "private self-regulatory organizations like FINRA. They argue that,",
        "paragraph_id": "para_363"
      },
      {
        "text": "notwithstanding § 3053(e), the FTC still has less sway over the Authority",
        "paragraph_id": "para_364"
      },
      {
        "text": "than the SEC does over FINRA. We again disagree. We previously pointed",
        "paragraph_id": "para_365"
      },
      {
        "text": "out that the “key distinction” between the FTC and the SEC was the",
        "paragraph_id": "para_366"
      },
      {
        "text": "FTC’s lack of general rulemaking power. See Horsemen’s I, 53 F.4th at 887–",
        "paragraph_id": "para_367"
      },
      {
        "text": "88. “The SEC itself,” we explained, “can make changes to FINRA rules,",
        "paragraph_id": "para_368"
      },
      {
        "text": "but the FTC can only recommend changes to the Authority’s rules.” Id. at",
        "paragraph_id": "para_369"
      },
      {
        "text": "888 (citation omitted). But Congress has now amended HISA to give the",
        "paragraph_id": "para_370"
      },
      {
        "text": "FTC the same general rulemaking authority that the SEC has with respect",
        "paragraph_id": "para_371"
      },
      {
        "text": "to FINRA. See Oklahoma, 62 F.4th at 225 (reaching this conclusion).",
        "paragraph_id": "para_372"
      },
      {
        "text": "In sum, we agree with the district court and the Sixth Circuit that, in",
        "paragraph_id": "para_373"
      },
      {
        "text": "light of Congress’s amendment to HISA in § 3053(e), the Authority’s",
        "paragraph_id": "para_374"
      },
      {
        "text": "rulemaking power is subordinate to the FTC’s. Because the FTC has",
        "paragraph_id": "para_375"
      },
      {
        "text": "ultimate say on what the rules are, the Authority’s power to propose",
        "paragraph_id": "para_376"
      },
      {
        "text": "horseracing rules does not violate the private nondelegation doctrine.",
        "paragraph_id": "para_377"
      },
      {
        "text": "_____________________",

      {

        "text": "B. Private Nondelegation Challenge to Authority’s Enforcement.",
        "paragraph_id": "para_387",
        "court_paragraph": 13

      {
        "text": "Appellants next argue that, apart from its rulemaking powers, the",
        "paragraph_id": "para_388"
      },
      {
        "text": "Authority’s enforcement powers violate the private nondelegation doctrine.",
        "paragraph_id": "para_389"
      },
      {
        "text": "Recall that the Authority enforces HISA by levying sanctions, which are",
        "paragraph_id": "para_390"
      },
      {
        "text": "ultimately subject to FTC review, and by bringing lawsuits. The Authority",
        "paragraph_id": "para_391"
      },
      {
        "text": "also has power to investigate potential violations, although the actual",
        "paragraph_id": "para_392"
      },
      {
        "text": "investigatory work is contracted to other private organizations, such as",
        "paragraph_id": "para_393"
      },
      {
        "text": "USADA in the case of doping rules, or to state racing commissions in the",
        "paragraph_id": "para_394"
      },
      {
        "text": "case of racetrack safety rules. See supra I.A. Our Horsemen’s I decision did",
        "paragraph_id": "para_395"
      },
      {
        "text": "not address this challenge to the Authority’s enforcement powers, see 53",
        "paragraph_id": "para_396"
      },
      {
        "text": "F.4th at 890 n.37, and on remand the district court treated it as a due process",
        "paragraph_id": "para_397"
      },
      {
        "text": "claim and rejected it. See Black, 672 F. Supp. 3d at 248–49. Appellants now",
        "paragraph_id": "para_398"
      },
      {
        "text": "bring the claim to us, arguing that the Authority’s enforcement power is not",
        "paragraph_id": "para_399"
      },
      {
        "text": "subordinate to FTC oversight.",
        "paragraph_id": "para_400"
      },
      {
        "text": "1.",
        "paragraph_id": "para_401"
      },
      {
        "text": "Before addressing the merits of this claim, we must address the",
        "paragraph_id": "para_402"
      },
      {
        "text": "Authority’s argument that it is premature. Arguing both in terms of standing",
        "paragraph_id": "para_403"
      },
      {
        "text": "and ripeness, the Authority contends that it has not yet tried to enforce",
        "paragraph_id": "para_404"
      },
      {
        "text": "HISA against the Horsemen and that any challenge to the Authority’s",
        "paragraph_id": "para_405"
      },
      {
        "text": "enforcement power can be raised if and when it does. We disagree for several",
        "paragraph_id": "para_406"
      },
      {

        "text": "First, the Authority misunderstands the Horsemen’s claim. They do",

        "text": "not challenge some particular enforcement action undertaken by the",
        "paragraph_id": "para_409"

        "text": "Authority—claiming, for instance, that the Authority issued an overbroad",
        "paragraph_id": "para_410"
      },
      {
        "text": "subpoena for medical records or lacked probable cause to search a racetrack.",
        "paragraph_id": "para_411"
      },
      {
        "text": "Instead, the Horsemen argue that HISA, on its face, vests the Authority with",
        "paragraph_id": "para_412"
      },
      {
        "text": "enforcement power that is effectively unreviewable by the agency. When a",
        "paragraph_id": "para_413"
      },
      {
        "text": "regulated entity raises “a purely legal challenge” like this one, “it is",

      {
        "text": "Developmental Ass’n’s Clean Air Project v. EPA, 752 F.3d 999, 1008 (D.C. Cir.",
        "paragraph_id": "para_421"
      },
      {
        "text": "2014) (“Petitioner’s challenge in this case presents a purely legal",
        "paragraph_id": "para_422"
      },
      {
        "text": "question . . . It is unnecessary to wait for the [statute] to be applied in order",
        "paragraph_id": "para_423"
      },

        "text": "to determine its legality.”); Susan B. Anthony List v. Driehaus, 573 U.S. 149,",

      },
      {
        "text": "163 (2014) (“Nothing in this Court’s decisions requires a plaintiff who",

      {
        "text": "wishes to challenge the constitutionality of a law to confess that he will in fact",

      },
      {
        "text": "violate that law.”).",
        "paragraph_id": "para_427"
      },
      {
        "text": "Second, the Horsemen have a cognizable injury for standing purposes.",
        "paragraph_id": "para_428"
      },
      {
        "text": "Pursuant to HISA, they have already had to agree “to be subject to and",
        "paragraph_id": "para_429"
      },
      {
        "text": "comply with [Authority’s] rules, standards, and procedures”—including",
        "paragraph_id": "para_430"
      },
      {
        "text": "rules requiring they cooperate with investigations, consent to searches, and",
        "paragraph_id": "para_431"
      },
      {
        "text": "comply with subpoenas. See 15 U.S.C. § 3054(c)–(f). In other words, the",
        "paragraph_id": "para_432"
      },
      {
        "text": "Horsemen are themselves “objects of the Regulation,” and so “there is",
        "paragraph_id": "para_433"
      },
      {
        "text": "ordinarily little question” that they have standing to challenge it. Contender",
        "paragraph_id": "para_434"
      },
      {
        "text": "Farms, 779 F.3d at 264–65 (quoting Lujan v. Defs. of Wildlife, 504 U.S. 555,",
        "paragraph_id": "para_435"
      },
      {
        "text": "561–62 (1992)). And courts typically do not require a regulated party to “bet",
        "paragraph_id": "para_436"
      },
      {
        "text": "the farm” by violating a regulation before allowing it to test its validity. Free",
        "paragraph_id": "para_437"
      },
      {
        "text": "Enter. Fund v. PCAOB, 561 U.S. 477, 490 (2010); see also, e.g., Metro. Wash.",
        "paragraph_id": "para_438"
      },
      {
        "text": "Airports Auth. v. Citizens for Abatement of Aircraft Noise, Inc., 501 U.S. 252,",
        "paragraph_id": "para_439"
      },
      {
        "text": "265 n.13 (1991) (explaining that a separation-of-powers challenge to a board’s",
        "paragraph_id": "para_440"
      },
      {
        "text": "veto powers was “ripe even if the veto power ha[d] not been exercised to",
        "paragraph_id": "para_441"
      },
      {
        "text": "respondents’ detriment”).",
        "paragraph_id": "para_442"
      },
      {
        "text": "Finally, the record shows several instances in which the Authority has",
        "paragraph_id": "para_443"
      },
      {
        "text": "enforced HISA against the Horsemen. For example, the Authority has",
        "paragraph_id": "para_444"
      },
      {
        "text": "threatened one of the Horsemen’s members with sanctions if it did not repair",
        "paragraph_id": "para_445"
      },
      {
        "text": "a racetrack railing. Additionally, the Authority has both threatened and",
        "paragraph_id": "para_446"
      },
      {

        "text": "actually barred member racetracks in Texas from broadcasting races out of",
        "paragraph_id": "para_450",
        "court_paragraph": 15

        "text": "state because they failed to register with the Authority. More generally, the",
        "paragraph_id": "para_451"
      },
      {
        "text": "Horsemen represent some 30,000 members and, when the parties filed their",
        "paragraph_id": "para_452"
      },
      {
        "text": "briefs, the Authority’s website already listed hundreds of enforcement",
        "paragraph_id": "para_453"
      },
      {
        "text": "actions—and that number has now grown to over 1,500.7 So, at a minimum,",
        "paragraph_id": "para_454"
      },
      {
        "text": "the Horsemen have shown a credible threat that the Authority will bring",
        "paragraph_id": "para_455"
      },
      {
        "text": "enforcement actions against their members in the future. See Driehaus, 573",
        "paragraph_id": "para_456"
      },
      {
        "text": "U.S. at 164.",
        "paragraph_id": "para_457"
      },
      {
        "text": "In sum, the Horsemen have standing to challenge the Authority’s",
        "paragraph_id": "para_458"
      },
      {
        "text": "enforcement powers and that challenge is ripe. We proceed to the merits.",
        "paragraph_id": "para_459"
      },
      {
        "text": "2.",
        "paragraph_id": "para_460"
      },
      {
        "text": "The Horsemen’s (as well as Texas’s) basic contention is that HISA",
        "paragraph_id": "para_461"
      },
      {
        "text": "grants the Authority enforcement power that is effectively unreviewable by",
        "paragraph_id": "para_462"
      },
      {
        "text": "the FTC. That claim turns on the same standard as the challenge to the",
        "paragraph_id": "para_463"
      },
      {
        "text": "Authority’s rulemaking addressed in Horsemen’s I: the delegation is",
        "paragraph_id": "para_464"
      },
      {
        "text": "constitutional if, when enforcing HISA, the Authority “‘functions",
        "paragraph_id": "para_465"
      },
      {
        "text": "subordinately’ to an agency with ‘authority and surveillance’ over it.” 53",
        "paragraph_id": "para_466"
      },
      {
        "text": "F.4th at 881 (quoting Rettig, 987 F.3d at 532). In other words, the Authority",
        "paragraph_id": "para_467"
      },
      {
        "text": "may constitutionally enforce HISA only if it acts “as an aid” to the FTC,",

        "text": "which “retains the discretion to approve, disapprove, or modify” the private",

        "text": "delegation of legislative authority—the power to make rules. See Myers v.",

      },
      {
        "text": "United States, 272 U.S. 52, 186 (1926) (“The essence of the legislative",
        "paragraph_id": "para_484"
      },
      {
        "text": "authority is to . . . prescribe rules for the regulation of the society[.]”).",
        "paragraph_id": "para_485"
      },
      {
        "text": "Logically, we focused on which actor—government agency or private",
        "paragraph_id": "para_486"
      },
      {
        "text": "entity?—had final say over the content of those rules. See Horsemen’s I, 53",
        "paragraph_id": "para_487"
      },
      {
        "text": "F.4th at 884–87 (analyzing FTC’s lack of authority over the Authority’s",
        "paragraph_id": "para_488"
      },
      {
        "text": "policy choices). Today, by contrast, we address delegation of executive",
        "paragraph_id": "para_489"
      },
      {
        "text": "authority. The power to launch an investigation, to search for evidence, to",
        "paragraph_id": "para_490"
      },
      {
        "text": "sanction, to sue—these are all quintessentially executive functions.9 And",
        "paragraph_id": "para_491"
      },
      {

        "text": "delegations of executive power. See, e.g., Amtrak II, 575 U.S. at 62 (Alito, J.,",

      },
      {
        "text": "concurring) (“Private entities are not vested with ‘legislative powers.’ Art. I,",
        "paragraph_id": "para_523"
      },
      {
        "text": "§ 1. Nor are they vested with the ‘executive Power,’ Art. II, § 1, cl. 1, which",
        "paragraph_id": "para_524"
      },
      {
        "text": "belongs to the President.”). Accordingly, we must determine whether HISA",
        "paragraph_id": "para_525"
      },
      {
        "text": "delegates enforcement power to private entities and, if so, whether that",
        "paragraph_id": "para_526"
      },
      {
        "text": "power is subordinate to the FTC.",
        "paragraph_id": "para_527"
      },
      {
        "text": "HISA divides enforcement authority among the FTC, the Authority,",
        "paragraph_id": "para_528"
      },
      {
        "text": "and USADA, “each within the scope of their powers and responsibilities",
        "paragraph_id": "para_529"
      },
      {
        "text": "under this chapter.” § 3054(a). Recall that USADA is the private non-profit",
        "paragraph_id": "para_530"
      },
      {
        "text": "to whom the Authority must delegate anti-doping and medication",
        "paragraph_id": "para_531"
      },
      {
        "text": "enforcement. See § 3054(e)(1)(A).11 So, the answer to the question before us",
        "paragraph_id": "para_532"
      },
      {

        "text": "under HISA. Although HISA somewhat confusingly disperses the relevant",
        "paragraph_id": "para_558"
      },
      {
        "text": "provisions throughout the Act, we can discern the following division of labor.",
        "paragraph_id": "para_559"
      },
      {
        "text": "First, the Authority has responsibility for (1) investigating potential",
        "paragraph_id": "para_560"
      },
      {
        "text": "violations, including by issuing subpoenas (§ 3054(h)); (2) levying sanctions",
        "paragraph_id": "para_561"
      },
      {
        "text": "(§§ 3054(j)(1), 3057, 3058(a)); and (3) bringing suit against violators for",
        "paragraph_id": "para_562"
      },
      {
        "text": "injunctive relief or to enforce sanctions (§ 3054(j)(1)–(2)). Second, actual",
        "paragraph_id": "para_563"
      },
      {
        "text": "enforcement of doping and medication rules is done by USADA, which",
        "paragraph_id": "para_564"
      },
      {
        "text": "“implements” those rules “on behalf of the Authority.” § 3054(e)(1)(E)(i).",
        "paragraph_id": "para_565"
      },
      {
        "text": "In this regard, USADA’s responsibilities include “independent",
        "paragraph_id": "para_566"
      },
      {
        "text": "investigations, charging and adjudication of potential medication control rule",
        "paragraph_id": "para_567"
      },
      {
        "text": "violations, and the enforcement of any civil sanctions for such violations.”",
        "paragraph_id": "para_568"
      },
      {
        "text": "§ 3055(c)(4)(B); see also § 3054(e)(1)(E)(iv). Third, the FTC may ask an",
        "paragraph_id": "para_569"
      },
      {
        "text": "ALJ to review any sanction de novo, § 3058(b)(1), and the FTC may itself",
        "paragraph_id": "para_570"
      },
      {
        "text": "review the ALJ’s decision de novo, either on its own motion or upon petition",
        "paragraph_id": "para_571"
      },
      {
        "text": "by an aggrieved party. § 3058(c).",
        "paragraph_id": "para_572"
      },
      {
        "text": "The Act’s plain terms permit only one conclusion: HISA is enforced",
        "paragraph_id": "para_573"
      },
      {
        "text": "by a private entity, the Authority. The Authority decides whether to",
        "paragraph_id": "para_574"
      },
      {
        "text": "investigate a covered entity for violating HISA’s rules. The Authority",
        "paragraph_id": "para_575"
      },
      {
        "text": "decides whether to subpoena the entity’s records or search its premises. The",
        "paragraph_id": "para_576"
      },
      {
        "text": "Authority decides whether to sanction it. And the Authority decides whether",
        "paragraph_id": "para_577"
      },
      {
        "text": "to sue the entity for an injunction or to enforce a sanction it has imposed. To",
        "paragraph_id": "para_578"
      },
      {
        "text": "be sure, the Authority does not perform these functions itself. Rather, HISA",
        "paragraph_id": "para_579"
      },
      {
        "text": "requires the Authority to contract with another private entity, USADA,",
        "paragraph_id": "para_580"
      },
      {
        "text": "which undertakes enforcement “on behalf of the Authority.”",
        "paragraph_id": "para_581"
      },
      {

        "text": "Authority remains in charge, however, and dictates the “scope of work, performance",
        "paragraph_id": "para_583"
      },
      {
        "text": "metrics, reporting obligations, budgets, and any other matter [it] considers appropriate.”",

        "text": "to decide whether to investigate a covered entity, whether to subpoena its",
        "paragraph_id": "para_592"
      },
      {
        "text": "records, whether to search its premises, whether to charge it with a violation,",
        "paragraph_id": "para_593"
      },
      {
        "text": "or whether to sanction or sue it. Nor does the Act empower the FTC to",
        "paragraph_id": "para_594"
      },
      {
        "text": "countermand any of the Authority’s investigatory or charging decisions (or,",
        "paragraph_id": "para_595"
      },
      {
        "text": "more precisely, USADA’s decisions). Nor does it require the Authority or",
        "paragraph_id": "para_596"
      },
      {

        "text": "and, by the plain terms of the Act, they can be done by the private entities",

      {
        "text": "without the FTC’s involvement.",
        "paragraph_id": "para_600"
      },
      {
        "text": "The inescapable conclusion is that the Authority does not “function",
        "paragraph_id": "para_601"
      },
      {
        "text": "subordinately” to the FTC when enforcing HISA. Horsemen’s I, 53 F.4th at",
        "paragraph_id": "para_602"
      },
      {
        "text": "881. That is not permitted under the private nondelegation doctrine. A",
        "paragraph_id": "para_603"
      },
      {
        "text": "private entity that can investigate potential violations, issue subpoenas,",
        "paragraph_id": "para_604"
      },
      {
        "text": "conduct searches, levy fines, and seek injunctions—all without the say-so of",
        "paragraph_id": "para_605"
      },
      {
        "text": "the agency—does not operate under that agency’s “authority and",
        "paragraph_id": "para_606"
      },
      {
        "text": "surveillance.” Ibid. Put another way, with respect to enforcement, HISA’s",
        "paragraph_id": "para_607"
      },
      {
        "text": "plain terms show that the Authority does not merely act “as an aid” to the",
        "paragraph_id": "para_608"
      },
      {
        "text": "FTC because the FTC does not “retain[] the discretion to approve,",
        "paragraph_id": "para_609"
      },
      {
        "text": "disapprove, or modify” the Authority’s enforcement actions. Ibid. (cleaned",
        "paragraph_id": "para_610"
      },
      {
        "text": "up) (quoting Amtrak I, 721 F.3d at 671).",
        "paragraph_id": "para_611"
      },
      {
        "text": "3.",
        "paragraph_id": "para_612"
      },
      {
        "text": "One might counter, though, that the FTC at least partially supervises",
        "paragraph_id": "para_613"
      },
      {
        "text": "the Authority because it can review sanctions at the back end, after ALJ",
        "paragraph_id": "para_614"
      },
      {
        "text": "review. See §§ 3055(c)(4)(B), 3058(b)(3)–(c)(3). That is true, and it is the",
        "paragraph_id": "para_615"
      },
      {

        "text": "Authority’s best argument for why its enforcement power is subordinate to",
        "paragraph_id": "para_619",

        "text": "the FTC.",
        "paragraph_id": "para_620"
      },
      {
        "text": "The argument nonetheless fails. Suppose the Authority sanctions a",
        "paragraph_id": "para_621"
      },
      {
        "text": "horse owner for a doping violation, but the sanction is later reversed by the",
        "paragraph_id": "para_622"
      },
      {
        "text": "FTC. Does that make the Authority’s enforcement power subordinate to the",
        "paragraph_id": "para_623"
      },
      {
        "text": "agency? No, it does not. Consider everything the Authority was permitted to",
        "paragraph_id": "para_624"
      },
      {
        "text": "do up to that point: launch an investigation into the owner, subpoena his",
        "paragraph_id": "para_625"
      },
      {
        "text": "records, search his facilities, charge him with a violation, adjudicate it, and",
        "paragraph_id": "para_626"
      },
      {
        "text": "fine him.12 Each and every one of those actions is “enforcement” of HISA.",
        "paragraph_id": "para_627"
      },
      {
        "text": "Each can occur under HISA without any supervision by the FTC.",
        "paragraph_id": "para_628"
      },
      {
        "text": "Moreover, penalties imposed by the Authority are not automatically stayed",
        "paragraph_id": "para_629"
      },
      {
        "text": "pending appeal. See 16 C.F.R. § 1.148(a). So, any penalty goes into effect as",
        "paragraph_id": "para_630"
      },
      {
        "text": "soon as the Authority makes its decision, unless the ALJ or FTC exercises",
        "paragraph_id": "para_631"
      },
      {
        "text": "its discretion to implement a stay pending appeal. See § 3058(d).",
        "paragraph_id": "para_632"
      },
      {
        "text": "_____________________",

      {
        "text": "12 Not only does HISA facially permit that, but it has already happened. For",
        "paragraph_id": "para_634"
      },
      {
        "text": "example, in one currently active and undecided FTC appeal, it is uncontested that three",
        "paragraph_id": "para_635"
      },
      {
        "text": "private Authority investigators showed up at the appellant’s residence and served her with",
        "paragraph_id": "para_636"
      },
      {
        "text": "a notice of an alleged doping violation (there is no personal service requirement under the",
        "paragraph_id": "para_637"
      },
      {
        "text": "statute). The investigators then “subjected [the appellant] to a coercive interrogation in a",
        "paragraph_id": "para_638"
      },
      {
        "text": "small room” and searched “her barn and . . . her mother’s car” for banned substances.",
        "paragraph_id": "para_639"
      },
      {
        "text": "Statement of Contested Facts and Specification of Additional Evidence, In re Lynch, 9423",
        "paragraph_id": "para_640"
      },
      {
        "text": "F.T.C. 1, 3–4 (Mar. 1, 2024). She was then fined $55,000 and banned from racing for 48",
        "paragraph_id": "para_641"
      },
      {
        "text": "months. Id. at 5–6. Authority investigators have also searched defendants’ property and",
        "paragraph_id": "para_642"
      },
      {
        "text": "extracted fines under HISA’s strict liability regime for possession of banned substances.",
        "paragraph_id": "para_643"
      },
      {
        "text": "For example, one veterinarian forgot to clean out his trailer and still had two buckets of a",
        "paragraph_id": "para_644"
      },
      {
        "text": "newly banned substance two weeks after the effective date. Private Authority investigators",
        "paragraph_id": "para_645"
      },
      {
        "text": "searched his trailer, found the buckets, fined him $5,000, and banned him from practice for",
        "paragraph_id": "para_646"
      },
      {
        "text": "14 months. The ALJ affirmed on appeal. All this despite the fact that the Authority and the",
        "paragraph_id": "para_647"
      },
      {
        "text": "ALJ conceded that the appellant purchased the substance long before it was banned, forgot",
        "paragraph_id": "para_648"
      },
      {
        "text": "it was in his trailer, and did not even attempt to use it on a horse. In re Perez, 9420 F.T.C.",
        "paragraph_id": "para_649"
      },
      {
        "text": "1, 5–6 (Mar. 18, 2024); see also In re Poole, 9417 F.T.C. 1, 5–6, 10 (Nov. 13, 2023) (affirming",
        "paragraph_id": "para_650"
      },
      {
        "text": "an $18,000 fine and banning him from practice for 22 months for a similar inadvertent",
        "paragraph_id": "para_651"
      },
      {
        "text": "possession of a newly banned substance).",

        "text": "It is no answer to say that the FTC can come in at the tail-end of this",
        "paragraph_id": "para_656",

        "text": "adversarial process and review the sanction. As far as enforcement goes, the",
        "paragraph_id": "para_657"
      },
      {
        "text": "horse was already out of the barn. (You knew that was coming.) Besides, what",
        "paragraph_id": "para_658"
      },
      {
        "text": "if the sanctioned owner, instead of fighting the process, opts to settle for a",
        "paragraph_id": "para_659"
      },
      {
        "text": "lower fine? In that case, according to the Authority’s logic, no one has",
        "paragraph_id": "para_660"
      },
      {
        "text": "enforced HISA. That is obviously not true. To the contrary, the settlement",
        "paragraph_id": "para_661"
      },
      {
        "text": "scenario—which will likely happen often—only underscores that it is the",
        "paragraph_id": "para_662"
      },
      {
        "text": "private entity that acts as HISA’s enforcer in any meaningful sense.",
        "paragraph_id": "para_663"
      },
      {
        "text": "Consider a hypothetical. Suppose a city structures its speeding laws to",
        "paragraph_id": "para_664"
      },
      {
        "text": "let a group of private car enthusiasts monitor speeds with their own radar",
        "paragraph_id": "para_665"
      },
      {
        "text": "guns, pull speeders over, and ticket them. Fines are reviewed by the police",
        "paragraph_id": "para_666"
      },
      {
        "text": "department and, ultimately, the mayor. Who enforces the speeding laws?",
        "paragraph_id": "para_667"
      },
      {
        "text": "Anyone would say the private group. After all, consider how many cases we",
        "paragraph_id": "para_668"
      },
      {
        "text": "decide concerning whether the police have wrongly stopped someone or used",
        "paragraph_id": "para_669"
      },
      {
        "text": "excessive force during the stop. See, e.g., Terrell v. Town of Woodworth, No.",
        "paragraph_id": "para_670"
      },
      {
        "text": "23-30510, 2024 WL 667690 (5th Cir. Feb. 19, 2024) (per curiam). All would",
        "paragraph_id": "para_671"
      },
      {
        "text": "agree that the police were “enforcing” the law when they stopped the",
        "paragraph_id": "para_672"
      },
      {
        "text": "person. The same goes for the private entity in the hypothetical.",
        "paragraph_id": "para_673"
      },
      {
        "text": "The Authority’s argument, moreover, does not work even on its own",
        "paragraph_id": "para_674"
      },
      {
        "text": "terms. In addition to levying fines, HISA empowers the Authority to sue",
        "paragraph_id": "para_675"
      },
      {
        "text": "people and racetracks to enjoin past, present, or impending violations. See",
        "paragraph_id": "para_676"
      },
      {
        "text": "§ 3054(j)(1) (providing “the Authority may commence a civil action against",
        "paragraph_id": "para_677"
      },
      {
        "text": "a covered person or racetrack that has engaged, is engaged, or is about to",
        "paragraph_id": "para_678"
      },
      {
        "text": "engage, in acts or practices constituting a violation of this chapter . . . to",
        "paragraph_id": "para_679"
      },
      {
        "text": "enjoin such acts or practices”); § 3054(j)(2) (allowing issuance of “a",
        "paragraph_id": "para_680"
      },
      {
        "text": "permanent or temporary injunction or restraining order . . . without bond”).",
        "paragraph_id": "para_681"
      },
      {
        "text": "HISA gives the FTC no role in this process, either before or after the fact.",
        "paragraph_id": "para_682"
      },
      {
        "text": "So, even assuming the Authority is correct (and it is not) that the agency’s",
        "paragraph_id": "para_683"
      },
      {
        "text": "after-the-fact supervision of sanctions makes the Authority subordinate, the",
        "paragraph_id": "para_684"
      },

        "text": "for injunctions. That is plainly an unsupervised delegation of executive power",
        "paragraph_id": "para_689"
      },
      {
        "text": "that the Constitution does not tolerate. See Buckley, 424 U.S. at 138 (“A",
        "paragraph_id": "para_690"
      },
      {
        "text": "lawsuit is the ultimate remedy for a breach of the law, and it is to the",
        "paragraph_id": "para_691"
      },
      {
        "text": "President . . . that the Constitution entrusts [this] responsibility[.]”).",
        "paragraph_id": "para_692"
      },
      {
        "text": "4.",
        "paragraph_id": "para_693"
      },
      {
        "text": "The Authority next argues that the FTC could use its new rulemaking",
        "paragraph_id": "para_694"
      },
      {
        "text": "authority to rein in the Authority’s enforcement actions or even require the",
        "paragraph_id": "para_695"
      },
      {
        "text": "Authority to preclear lawsuits with the agency. See § 3053(e) (empowering",
        "paragraph_id": "para_696"
      },
      {
        "text": "FTC to “abrogate, add to, and modify” the Authority’s rules). This",
        "paragraph_id": "para_697"
      },
      {
        "text": "argument persuaded the Sixth Circuit that at least a facial challenge to the",
        "paragraph_id": "para_698"
      },
      {
        "text": "Authority’s enforcement powers should fail. See Oklahoma, 62 F.4th at 231",
        "paragraph_id": "para_699"
      },
      {
        "text": "(through § 3053(e) rulemaking, “the FTC could subordinate every aspect of",
        "paragraph_id": "para_700"
      },
      {
        "text": "the Authority’s enforcement,” which “suffices to defeat a facial challenge”).",
        "paragraph_id": "para_701"
      },
      {
        "text": "And we have already found that the FTC’s rulemaking power has some",
        "paragraph_id": "para_702"
      },
      {
        "text": "purchase in turning back a facial challenge to the Authority’s rulemaking",
        "paragraph_id": "para_703"
      },
      {
        "text": "power: as explained, the agency could ensure via rulemaking that no",
        "paragraph_id": "para_704"
      },
      {
        "text": "Authority rule could go into effect until the agency had time to review it. See",
        "paragraph_id": "para_705"
      },
      {
        "text": "supra III.A. With great respect to our colleagues on the Sixth Circuit,",
        "paragraph_id": "para_706"
      },
      {
        "text": "however, we are not convinced that this rulemaking argument can save the",
        "paragraph_id": "para_707"
      },
      {
        "text": "Authority’s enforcement powers.",
        "paragraph_id": "para_708"
      },
      {
        "text": "The Authority’s rulemaking argument would let the agency rewrite",
        "paragraph_id": "para_709"
      },
      {
        "text": "the statute. In HISA, Congress set out a definite enforcement scheme,",
        "paragraph_id": "para_710"
      },
      {
        "text": "dividing responsibilities among the FTC, the Authority, and USADA. See",
        "paragraph_id": "para_711"
      },
      {
        "text": "§§ 3054(e)(2), 3054(c)(1), 3054(e). HISA is quite clear about this: it",
        "paragraph_id": "para_712"
      },
      {
        "text": "provides that those three entities “implement and enforce” the Act, “each",
        "paragraph_id": "para_713"
      },
      {
        "text": "within the scope of their powers and responsibilities under this chapter.”",
        "paragraph_id": "para_714"
      },
      {
        "text": "§ 3054(a)(1) (emphasis added). A mere agency cannot alter that statutory",

        "text": "“in excess of statutory jurisdiction, authority, or limitations”).13 As the",

      },
      {
        "text": "Supreme Court recently reiterated, even “statutory permission to ‘modify’",
        "paragraph_id": "para_726"
      },
      {
        "text": "does not authorize ‘basic and fundamental changes in the scheme’ designed",
        "paragraph_id": "para_727"
      },
      {
        "text": "by Congress.” Biden v. Nebraska, 600 U.S. ---, 143 S. Ct. 2355, 2368 (2023)",
        "paragraph_id": "para_728"
      },
      {
        "text": "(quoting MCI Telecomms. Corp. v. Am. Tel. & Tel. Co., 512 U.S. 218, 225",
        "paragraph_id": "para_729"
      },
      {
        "text": "(1994)). Yet that is just what the Authority says the FTC could do through",
        "paragraph_id": "para_730"
      },
      {
        "text": "rulemaking.",
        "paragraph_id": "para_731"
      },
      {
        "text": "Take the Authority’s power to seek injunctions. HISA empowers the",
        "paragraph_id": "para_732"
      },
      {
        "text": "Authority to file suit to enjoin violations, while saying nothing about FTC",
        "paragraph_id": "para_733"
      },
      {
        "text": "involvement in the process. See § 3054(j)(1). Yet the Authority suggests the",
        "paragraph_id": "para_734"
      },
      {
        "text": "FTC could, by rule, require the Authority to preclear any such action with",
        "paragraph_id": "para_735"
      },
      {

        "paragraph_id": "para_756",

        "text": "scheme delineated by statute.14 The same goes for investigatory and",
        "paragraph_id": "para_757"
      },
      {
        "text": "subpoena power: HISA unqualifiedly gives that power to the Authority, see",
        "paragraph_id": "para_758"
      },
      {
        "text": "§ 3054(h), and then requires the Authority to delegate it to USADA, see",
        "paragraph_id": "para_759"
      },
      {
        "text": "§§ 3054(e)(1)(E)(iv), 3055(c)(4) (the Authority “shall” contract with",
        "paragraph_id": "para_760"
      },
      {
        "text": "USADA to “conduct and oversee” anti-doping and medication",
        "paragraph_id": "para_761"
      },
      {
        "text": "enforcement “including independent investigations”). And the same goes",
        "paragraph_id": "para_762"
      },
      {
        "text": "for charging and adjudicating violations and levying sanctions. See ibid. (the",
        "paragraph_id": "para_763"
      },
      {
        "text": "Authority “shall” contract with USADA to “conduct and",
        "paragraph_id": "para_764"
      },
      {
        "text": "oversee . . . charging and adjudication of potential medication control rule",
        "paragraph_id": "para_765"
      },
      {
        "text": "violations, and the enforcement of any civil sanctions for such violations”);",
        "paragraph_id": "para_766"
      },
      {
        "text": "§ 3054(j) (recognizing Authority’s power to impose “civil sanctions”).",
        "paragraph_id": "para_767"
      },
      {
        "text": "Congress enacted this reticulated scheme. The agency cannot amend it by",
        "paragraph_id": "para_768"
      },
      {
        "text": "promulgating a rule.",
        "paragraph_id": "para_769"
      },
      {
        "text": "Furthermore, when Congress wanted to put the FTC in charge of",
        "paragraph_id": "para_770"
      },
      {
        "text": "enforcement, it knew how. Section 3059, for instance, is a separate part of",
        "paragraph_id": "para_771"
      },
      {
        "text": "HISA targeting certain “unfair or deceptive” practices in selling horses.15",
        "paragraph_id": "para_772"
      },
      {
        "text": "With respect to that section, the Authority can only “recommend” that the",
        "paragraph_id": "para_773"
      },
      {

        "text": "enforcement action subject to similar FTC approval. That would rewrite the",
        "paragraph_id": "para_791"
      },

        "text": "enforcement scheme Congress enacted. See Russello v. United States, 464",
        "paragraph_id": "para_792"
      },
      {
        "text": "U.S. 16, 23 (1983) (“Where Congress includes particular language in one",
        "paragraph_id": "para_793"
      },
      {
        "text": "section of a statute but omits it in another section of the same Act, it is",
        "paragraph_id": "para_794"
      },
      {
        "text": "generally presumed that Congress acts intentionally and purposely in the",
        "paragraph_id": "para_795"
      },
      {
        "text": "disparate inclusion or exclusion.” (cleaned up) (citation omitted)).",
        "paragraph_id": "para_796"
      },
      {
        "text": "Additionally, the Sixth Circuit believed the FTC could supervise the",
        "paragraph_id": "para_797"
      },
      {
        "text": "Authority through a slightly different kind of rulemaking—that is, by issuing",
        "paragraph_id": "para_798"
      },
      {
        "text": "rules governing how the Authority enforces HISA. See Oklahoma, 62 F.4th",
        "paragraph_id": "para_799"
      },
      {
        "text": "at 231. For instance, the agency could issue rules against “overbroad",
        "paragraph_id": "para_800"
      },
      {
        "text": "subpoenas or onerous searches” or “provid[ing] a suspect with a full",
        "paragraph_id": "para_801"
      },
      {
        "text": "adversary proceeding and with free counsel.” Ibid. Unhappily, we again",
        "paragraph_id": "para_802"
      },
      {
        "text": "disagree with our sister circuit.",
        "paragraph_id": "para_803"
      },
      {
        "text": "The Horsemen are not complaining about how the Authority exercises",
        "paragraph_id": "para_804"
      },
      {
        "text": "its enforcement power. They are complaining about where the enforcement",
        "paragraph_id": "para_805"
      },
      {
        "text": "power is lodged: on its face, HISA empowers private entities to enforce it",
        "paragraph_id": "para_806"
      },
      {
        "text": "and permits agency oversight only after the enforcement process is over and",
        "paragraph_id": "para_807"
      },
      {
        "text": "done with (and then only with respect to fines, not injunctions). If the",
        "paragraph_id": "para_808"
      },
      {
        "text": "Horsemen were objecting only to overbroad subpoenas, unwarranted",
        "paragraph_id": "para_809"
      },
      {

        "text": "is different. They contend that HISA facially delegates unsupervised",
        "paragraph_id": "para_819"
      },
      {
        "text": "enforcement power to private actors. They are right.17",
        "paragraph_id": "para_820"
      },
      {
        "text": "In sum, HISA’s clear delineation of enforcement power between the",
        "paragraph_id": "para_821"
      },
      {
        "text": "FTC, the Authority, and USADA cannot be altered through rulemaking.",
        "paragraph_id": "para_822"
      },
      {
        "text": "5.",
        "paragraph_id": "para_823"
      },
      {
        "text": "Finally, the Authority defends its enforcement role by analogizing it",
        "paragraph_id": "para_824"
      },
      {
        "text": "to the role of self-regulatory organizations (“SROs”)—specifically,",
        "paragraph_id": "para_825"
      },
      {
        "text": "FINRA—which assist the SEC in enforcing securities laws. The Authority",
        "paragraph_id": "para_826"
      },
      {
        "text": "seeks support in circuit cases concluding that FINRA’s enforcement role",
        "paragraph_id": "para_827"
      },
      {
        "text": "presents no private nondelegation problem. See, e.g., Oklahoma, 62 F.4th at",
        "paragraph_id": "para_828"
      },
      {
        "text": "229, 232 (gathering cases).18 For their part, the Horsemen argue that, for",
        "paragraph_id": "para_829"
      },
      {
        "text": "_____________________",

      },
      {
        "text": "17 Moreover, consider the revealing premise of this line of argument. Suppose the",

      },

        "text": "FTC issued a rule saying, “The Authority can search racetracks only if it has probable",

        "text": "cause.” Well and good, but that rule still presupposes the Authority is the one doing the",
        "paragraph_id": "para_833"
      },
      {
        "text": "search. Merely because the Authority would have to obey the Fourth Amendment does not",
        "paragraph_id": "para_834"
      },
      {
        "text": "change the fact that a private entity is searching your racetrack without agency say-so. And",
        "paragraph_id": "para_835"
      },
      {
        "text": "it is no answer to say that the agency could issue a rule saying, “The Authority can search",
        "paragraph_id": "para_836"
      },
      {
        "text": "racetracks only if the FTC approves the search.” That rule, as explained, would amend",
        "paragraph_id": "para_837"
      },
      {
        "text": "the statute’s division of authority. See § 3054(h) (“The Authority shall have subpoena and",
        "paragraph_id": "para_838"
      },
      {
        "text": "investigatory authority with respect to civil violations committed under its jurisdiction.”).",
        "paragraph_id": "para_839"
      },
      {
        "text": "18 The Sixth Circuit relied on several cases upholding the constitutionality of",

        "text": "FINRA to hold that “[i]n case after case, the courts have upheld [the Maloney Act’s]",

        "text": "We do not read those cases quite so broadly. They relied largely on the grounds that the",
        "paragraph_id": "para_844"
      },
      {
        "text": "SEC ultimately approves any proposed rules and has its own generalized rulemaking",
        "paragraph_id": "para_845"
      },
      {
        "text": "power. See, e.g., R. H. Johnson & Co. v. SEC, 198 F.2d 690, 696 (2d Cir. 1952) (considering",

      },
      {
        "text": "HISA was modeled on the Maloney Act, which created FINRA. See",
        "paragraph_id": "para_855"
      },
      {
        "text": "Horsemen’s I, 53 F.4th at 887; supra III.A. Moreover, we concluded in",
        "paragraph_id": "para_856"
      },
      {
        "text": "Horsemen’s I that HISA lacked a key feature of the Maloney Act empowering",
        "paragraph_id": "para_857"
      },
      {
        "text": "the SEC to “abrogate, add to, and delete” rules proposed by FINRA.",
        "paragraph_id": "para_858"
      },
      {
        "text": "Horsemen’s I, 53 F.4th at 887. As discussed, Congress added a similar",
        "paragraph_id": "para_859"
      },
      {
        "text": "provision to HISA, which remedied the nondelegation problem with the",
        "paragraph_id": "para_860"
      },
      {
        "text": "Authority’s rulemaking powers. Supra III.A.",
        "paragraph_id": "para_861"
      },
      {
        "text": "We agree with the Horsemen that, for enforcement purposes, HISA",
        "paragraph_id": "para_862"
      },
      {
        "text": "gives the Authority an enforcement role meaningfully different from",
        "paragraph_id": "para_863"
      },
      {
        "text": "FINRA’s. Unlike the SEC-FINRA relationship, HISA does not give the",
        "paragraph_id": "para_864"
      },
      {
        "text": "FTC potent oversight power over the Authority’s enforcement such as the",
        "paragraph_id": "para_865"
      },
      {
        "text": "power to enforce HISA itself, deregister the Authority as the enforcing",
        "paragraph_id": "para_866"
      },
      {
        "text": "entity, or remove its directors.",
        "paragraph_id": "para_867"
      },
      {
        "text": "To begin with, Congress empowered the SEC to enforce FINRA’s",
        "paragraph_id": "para_868"
      },
      {
        "text": "rules if needed. The SEC can “in its discretion, make such investigations as",
        "paragraph_id": "para_869"
      },
      {
        "text": "it deems necessary to determine whether any person has violated, is violating,",
        "paragraph_id": "para_870"
      },
      {
        "text": "or is about to violate” the Maloney Act. 15 U.S.C. § 78u(a)(1). The SEC can",
        "paragraph_id": "para_871"
      },
      {
        "text": "also, on its own accord, seek criminal sanctions, injunctive relief, or",
        "paragraph_id": "para_872"
      },
      {
        "text": "disgorgement. § 78u(c), (d), (d)(4). The FTC cannot. See § 3054(c)(iii)",
        "paragraph_id": "para_873"
      },
      {
        "text": "(granting the Authority investigatory power); § 3054(e) (granting the",
        "paragraph_id": "para_874"
      },
      {
        "text": "Authority and USADA enforcement responsibility). The SEC has power to",
        "paragraph_id": "para_875"
      },
      {
        "text": "issue subpoenas, see §§ 77s(c), 78u(c), while HISA gives the Authority that",
        "paragraph_id": "para_876"
      },
      {
        "text": "power, § 3054(h), (c)(ii). The SEC can also revoke FINRA’s ability to",
        "paragraph_id": "para_877"
      },
      {

        "paragraph_id": "para_885"
      },
      {
        "text": "Moreover, HISA diverges radically from the Maloney Act in",
        "paragraph_id": "para_886"
      },
      {
        "text": "empowering the Authority to sue. The SEC alone has the power to bring",
        "paragraph_id": "para_887"
      },
      {
        "text": "civil suits, §§ 78u-1(a), 78u(d)(1), while HISA gives that power exclusively",
        "paragraph_id": "para_888"
      },
      {
        "text": "to the Authority, § 3054(j)(1). Giving a private entity the sole power to sue in",
        "paragraph_id": "para_889"
      },
      {
        "text": "federal court to enforce a statute cuts to the core of executive power. See",
        "paragraph_id": "para_890"
      },
      {
        "text": "Buckley, 424 U.S. at 138 (“A lawsuit is the ultimate remedy for a breach of",
        "paragraph_id": "para_891"
      },
      {
        "text": "the law, and it is to the President . . . that the Constitution entrusts [this]",
        "paragraph_id": "para_892"
      },
      {
        "text": "responsibility[.]”).19",
        "paragraph_id": "para_893"
      },
      {
        "text": "Finally, the SEC “retains formidable oversight power to supervise,",
        "paragraph_id": "para_894"
      },
      {
        "text": "investigate, and discipline [FINRA] for any possible wrongdoing or",
        "paragraph_id": "para_895"
      },
      {
        "text": "regulatory missteps.” In re NYSE Specialists Sec. Litig., 503 F.3d 89, 101 (2d",
        "paragraph_id": "para_896"
      },
      {
        "text": "Cir. 2007). The FTC does not. This “formidable” power is manifest in the",
        "paragraph_id": "para_897"
      },
      {
        "text": "SEC’s ability to derecognize FINRA’s regulatory role entirely,",
        "paragraph_id": "para_898"
      },
      {
        "text": "§§ 78s(a)(3), (h)(1); remove FINRA board members for cause, § 78s(h)(4);",
        "paragraph_id": "para_899"
      },
      {
        "text": "remove any individual FINRA member, § 78s(h)(2); and bar any person",
        "paragraph_id": "para_900"
      },
      {
        "text": "from associating with FINRA, § 78o-3(g)(2). HISA, on the other hand,",
        "paragraph_id": "para_901"
      },
      {
        "text": "_____________________",

      },
      {
        "text": "19 One may reasonably ask whether HISA’s delegation of enforcement authority",

      },

        "text": "is supported by an analogous delegation in qui tam statutes. We think not. The Horsemen",
        "paragraph_id": "para_904"
      },
      {
        "text": "note our decision in Riley v. St. Luke’s Episcopal Hospital, 252 F.3d 749 (5th Cir. 2001) (en",
        "paragraph_id": "para_905"
      },
      {
        "text": "banc), where we held that the False Claims Act (“FCA”) does not violate Article I’s Take",
        "paragraph_id": "para_906"
      },
      {
        "text": "Care Clause. They argue that Riley does not support HISA’s delegation because qui tam",
        "paragraph_id": "para_907"
      },
      {
        "text": "relators are episodic and do not have a continuing relationship with the government. That",
        "paragraph_id": "para_908"
      },
      {
        "text": "is true, but we see a more fundamental distinction between the two statutes: under the",
        "paragraph_id": "para_909"
      },
      {
        "text": "FCA, the executive branch has substantial power over qui tam relators that the FTC does",
        "paragraph_id": "para_910"
      },
      {
        "text": "not have over the Authority. For example, the United States can intervene in any qui tam",
        "paragraph_id": "para_911"
      },
      {
        "text": "litigation, take control of the litigation, veto settlement agreements, and dismiss the suit",
        "paragraph_id": "para_912"
      },
      {
        "text": "“notwithstanding the objections of the [relator].” Id. at 753–54. HISA gives the FTC",
        "paragraph_id": "para_913"
      },
      {
        "text": "none of those powers.",

      },
      {

      {
        "text": "vote and committee members for any reason.20",

      },
      {

        "text": "In sum, we agree with the Horsemen that the FTC lacks adequate",
        "paragraph_id": "para_924"
      },
      {
        "text": "oversight and control over the Authority’s enforcement power. HISA’s",
        "paragraph_id": "para_925"
      },
      {
        "text": "explicit division of enforcement responsibility empowers the Authority with",
        "paragraph_id": "para_926"
      },
      {
        "text": "quintessential executive functions and gives the FTC scant oversight until",
        "paragraph_id": "para_927"
      },
      {
        "text": "enforcement has already occurred. Such backend review by the FTC does",
        "paragraph_id": "para_928"
      },
      {
        "text": "not subordinate the Authority. And the FTC’s general rulemaking power",
        "paragraph_id": "para_929"
      },
      {
        "text": "provides no answer because executive rulemaking cannot amend the plain",
        "paragraph_id": "para_930"
      },
      {
        "text": "division of enforcement power laid out in HISA’s text. Such a radical",
        "paragraph_id": "para_931"
      },
      {
        "text": "delegation differs materially from the SEC-FINRA relationship because the",
        "paragraph_id": "para_932"
      },
      {
        "text": "FTC lacks any tools to ensure that the law is properly enforced. HISA’s",
        "paragraph_id": "para_933"
      },
      {
        "text": "enforcement provisions thus violate the private nondelegation doctrine.",
        "paragraph_id": "para_934"
      },
      {
        "text": "C. Due Process Challenge",
        "paragraph_id": "para_935"
      },
      {
        "text": "We turn next to the Horsemen’s challenge based on the Fifth",
        "paragraph_id": "para_936"
      },
      {
        "text": "Amendment’s Due Process Clause. They argue that HISA, both facially and",
        "paragraph_id": "para_937"
      },
      {
        "text": "as-applied, deprives them of due process by permitting economically self-",
        "paragraph_id": "para_938"
      },
      {
        "text": "interested actors to regulate their competitors. See Carter Coal, 298 U.S. at",
        "paragraph_id": "para_939"
      },
      {
        "text": "311 (government violates due process by allowing regulation by “private",
        "paragraph_id": "para_940"
      },
      {
        "text": "persons whose interests may be and often are adverse to the interests of",
        "paragraph_id": "para_941"
      },
      {
        "text": "_____________________",

      },
      {

        "text": "Carter Coal does not require proof of economic self-interest, only that the",
        "paragraph_id": "para_950"
      },
      {
        "text": "private person “may be” adverse to those he regulates. They then argue that",
        "paragraph_id": "para_951"
      },
      {
        "text": "several members of the Board and standing committees violate the conflict of",
        "paragraph_id": "para_952"
      },
      {
        "text": "interest provisions due to their professions and prior financial interests.",
        "paragraph_id": "para_953"
      },
      {
        "text": "Finally, the Horsemen contend that the statute fails to properly protect",
        "paragraph_id": "para_954"
      },
      {
        "text": "against self-interested actors because it does not cover financial interests",
        "paragraph_id": "para_955"
      },
      {
        "text": "other than interests in a covered horse, as opposed to a racetrack or other",
        "paragraph_id": "para_956"
      },
      {
        "text": "facility.",
        "paragraph_id": "para_957"
      },
      {
        "text": "The district court correctly rejected these claims. As to the",
        "paragraph_id": "para_958"
      },
      {
        "text": "Horsemen’s facial challenge, the court concluded it was defeated by HISA’s",
        "paragraph_id": "para_959"
      },
      {
        "text": "conflict-of-interest provisions. See Black, 672 F. Supp. 3d at 252. Those",
        "paragraph_id": "para_960"
      },
      {
        "text": "provisions prohibit a range of individuals from serving as Board or",
        "paragraph_id": "para_961"
      },
      {
        "text": "independent committee members, § 3052(e), including individuals with",
        "paragraph_id": "para_962"
      },
      {
        "text": "financial interests in, or who provide goods or services to, covered horses;",
        "paragraph_id": "para_963"
      },
      {
        "text": "officials, officers, or policy makers for an equine industry; and employees,",
        "paragraph_id": "para_964"
      },
      {
        "text": "contractors, or immediate family members of the prior individuals.",
        "paragraph_id": "para_965"
      },
      {
        "text": "§ 3052(e)(1)–(4).",
        "paragraph_id": "para_966"
      },
      {
        "text": "As to the as-applied challenge, the district court rejected it on the",
        "paragraph_id": "para_967"
      },
      {
        "text": "facts. Following a bench trial, the court found the Horsemen relied only on",
        "paragraph_id": "para_968"
      },
      {
        "text": "the committee members’ biographical information but adduced no other",
        "paragraph_id": "para_969"
      },
      {
        "text": "evidence showing their adverse interests, financial or otherwise. See Black,",
        "paragraph_id": "para_970"
      },
      {
        "text": "672 F. Supp. 3d at 252 (“HISA affords sufficient protection through its",
        "paragraph_id": "para_971"
      },
      {
        "text": "conflicts-of-interest provisions, and the plaintiffs have not met their burden",
        "paragraph_id": "para_972"
      },
      {
        "text": "to show unconstitutional self-dealing by directors, committee members, or",
        "paragraph_id": "para_973"
      },
      {
        "text": "others associated with the Authority.”). At most, the court observed that the",
        "paragraph_id": "para_974"
      },
      {
        "text": "biographical information may show the members do not qualify as",
        "paragraph_id": "para_975"
      },
      {
        "text": "“independent members.” Ibid.; § 3052(b)(1)(A) (“[I]ndependent members",
        "paragraph_id": "para_976"
      },
      {
        "text": "[must be] selected from outside the equine industry.”). But, as the court",
        "paragraph_id": "para_977"
      },
      {

      {
        "text": "D. Appointments Clause Challenge",
        "paragraph_id": "para_984"
      },
      {
        "text": "A separate plaintiff, Gulf Coast, challenges the Authority’s structure",

        "text": "id. at 230. Gulf Coast argues that, for constitutional purposes, the Authority",

        "text": "is governmental, not private, and so is subject to the Appointments Clause.",

      },
      {
        "text": "This means the Authority’s directors, if they are principal officers, must be",
        "paragraph_id": "para_990"
      },
      {
        "text": "appointed by the President with Senate confirmation or, if they are inferior",
        "paragraph_id": "para_991"
      },
      {
        "text": "officers, by the President, courts, or department heads according to law. See",
        "paragraph_id": "para_992"
      },
      {
        "text": "Free Enter. Fund, 561 U.S. at 487–88; Cochran v. SEC, 20 F.4th 194, 198 (5th",
        "paragraph_id": "para_993"
      },
      {
        "text": "Cir. 2021) (en banc). The Authority’s directors are not appointed in any of",
        "paragraph_id": "para_994"
      },
      {
        "text": "these ways,22 and so, if Gulf Coast is right, their appointment would violate",
        "paragraph_id": "para_995"
      },
      {
        "text": "Article II.",
        "paragraph_id": "para_996"
      },
      {
        "text": "The Authority and the FTC first respond that we previously decided",
        "paragraph_id": "para_997"
      },
      {
        "text": "this question in Horsemen’s I. By applying the private nondelegation doctrine",
        "paragraph_id": "para_998"
      },
      {
        "text": "to the Authority, they argue we necessarily determined the Authority is not",
        "paragraph_id": "para_999"
      },
      {
        "text": "governmental for constitutional purposes. The district court took this view",
        "paragraph_id": "para_1000"
      },
      {

        "text": "Clause, on the other, appear mutually exclusive. For constitutional purposes,",

        "text": "an entity is either governmental or not. See, e.g., Lebron, 513 U.S. at 378–79;",
        "paragraph_id": "para_1016"
      },
      {
        "text": "Amtrak II, 575 U.S. at 50–51. That is why the Horsemen themselves call Gulf",
        "paragraph_id": "para_1017"
      },
      {
        "text": "Coast’s claim “fundamentally incompatible” with their private",
        "paragraph_id": "para_1018"
      },
      {
        "text": "nondelegation challenge. Texas seems to agree, noting that Gulf Coast’s",
        "paragraph_id": "para_1019"
      },
      {
        "text": "Appointments Clause theory would apply only if “the Court disagree[s]”",
        "paragraph_id": "para_1020"
      },
      {
        "text": "with its assumption that the Authority is private.",
        "paragraph_id": "para_1021"
      },
      {
        "text": "That said, however, we cannot agree that we decided this question in",
        "paragraph_id": "para_1022"
      },
      {
        "text": "Horsemen’s I. The Appointments Clause question was never posed. Party",
        "paragraph_id": "para_1023"
      },
      {
        "text": "presentation is a fundamental constraint on appellate decision-making. See",
        "paragraph_id": "para_1024"
      },
      {
        "text": "United States v. Sineneng-Smith, 590 U.S. 371, 375–76 (2020)",
        "paragraph_id": "para_1025"
      },
      {
        "text": "(“Courts . . . wait for cases to come to them, and when cases arise, courts",
        "paragraph_id": "para_1026"
      },
      {
        "text": "normally decide only questions presented by the parties.” (cleaned up)",
        "paragraph_id": "para_1027"
      },
      {
        "text": "(citation omitted)). The fact is that in Horsemen’s I, all parties proceeded on",
        "paragraph_id": "para_1028"
      },
      {
        "text": "the assumption that the Authority is private for constitutional purposes. See",
        "paragraph_id": "para_1029"
      },
      {
        "text": "Horsemen’s I, 53 F.4th at 875 n.11 (“The Horsemen also claimed HISA was",
        "paragraph_id": "para_1030"
      },
      {
        "text": "unconstitutional under the . . . Appointments Clause. The district court did",
        "paragraph_id": "para_1031"
      },
      {
        "text": "not rule on those claims and so they are not before us.”). No one suggested",
        "paragraph_id": "para_1032"
      },
      {
        "text": "that the Authority might qualify as a government entity or that its directors",
        "paragraph_id": "para_1033"
      },
      {
        "text": "were subject to the Appointments Clause. So, because we did not settle the",
        "paragraph_id": "para_1034"
      },
      {
        "text": "question previously, we can address it now. See Companion Prop. & Cas. Ins.",

        "text": "The basic premise of Gulf Coast’s argument is that the Authority is",
        "paragraph_id": "para_1044",

        "text": "part of the federal government for Appointments Clause purposes. See",

      },
      {
        "text": "Amtrak II, 575 U.S. at 50–51. We of course recognize that HISA calls the",
        "paragraph_id": "para_1046"
      },
      {
        "text": "Authority private, as does the Authority’s own charter. See § 3052(a) (“The",
        "paragraph_id": "para_1047"
      },
      {
        "text": "private, independent, self-regulatory, nonprofit corporation, to be known as",
        "paragraph_id": "para_1048"
      },
      {
        "text": "the ‘Horseracing Integrity and Safety Authority’ is recognized for purposes",
        "paragraph_id": "para_1049"
      },
      {
        "text": "of developing and implementing [HISA].”); HISA Charter (“The",
        "paragraph_id": "para_1050"
      },
      {
        "text": "Corporation is organized and shall be operated as a nonprofit business",
        "paragraph_id": "para_1051"
      },
      {
        "text": "league[.]”). But deeming an entity “private” does not settle whether it is",
        "paragraph_id": "para_1052"
      },
      {
        "text": "legally part of the federal government. Otherwise, the government could",
        "paragraph_id": "para_1053"
      },
      {
        "text": "evade constitutional restrictions by mere labeling. See Lebron, 513 U.S. at 397",
        "paragraph_id": "para_1054"
      },
      {
        "text": "(“It surely cannot be that government, state or federal, is able to evade the",
        "paragraph_id": "para_1055"
      },
      {
        "text": "most solemn obligations imposed in the Constitution by simply resorting to",
        "paragraph_id": "para_1056"
      },
      {
        "text": "the corporate form.”). So, we must determine whether the Authority",
        "paragraph_id": "para_1057"
      },
      {
        "text": "qualifies as part of the federal government for constitutional purposes.",
        "paragraph_id": "para_1058"
      },
      {
        "text": "The analysis guiding that inquiry comes from Lebron. In that case, the",
        "paragraph_id": "para_1059"
      },
      {
        "text": "Supreme Court examined “the long history of corporations created and",
        "paragraph_id": "para_1060"
      },
      {
        "text": "participated in by the United States for the achievement of governmental",
        "paragraph_id": "para_1061"
      },
      {
        "text": "objectives.” Id. at 386.23 The specific question before the Court was whether",
        "paragraph_id": "para_1062"
      },
      {
        "text": "“Amtrak, though nominally a private corporation, must be regarded as a",
        "paragraph_id": "para_1063"
      },
      {
        "text": "Government entity for First Amendment purposes.” Id. at 383. The answer",
        "paragraph_id": "para_1064"
      },
      {
        "text": "was yes. That was so, the Court held, because “the Government create[d]",
        "paragraph_id": "para_1065"
      },
      {
        "text": "[the Amtrak] corporation by special law, for the furtherance of governmental",

        "text": "circuit courts have since used Lebron’s analysis to discern whether",

        "text": "corporations are part of the government for constitutional purposes.24",
        "paragraph_id": "para_1079"
      },
      {
        "text": "Applying Lebron, we conclude that the Authority is not a federal",
        "paragraph_id": "para_1080"
      },
      {
        "text": "instrumentality for purposes of the Appointments Clause.",
        "paragraph_id": "para_1081"
      },
      {
        "text": "First, the Authority was not created by the federal government “by",
        "paragraph_id": "para_1082"
      },
      {
        "text": "special law,” ibid., but was incorporated under Delaware law shortly before",
        "paragraph_id": "para_1083"
      },
      {
        "text": "HISA’s passage. Contrast this with Amtrak, which “Congress established”",
        "paragraph_id": "para_1084"
      },
      {
        "text": "by enacting the Rail Passenger Service Act of 1970. Id. at 383–84; see also",
        "paragraph_id": "para_1085"
      },
      {
        "text": "Nat’l R.R. Passenger Corp. v. Atchison, Topeka & Santa Fe Ry. Co., 470 U.S.",
        "paragraph_id": "para_1086"
      },

        "text": "451, 454 (1985) (observing “Congress established the National Railroad",

      },

        "text": "Passenger Corporation, a private, for-profit corporation that has come to be",

        "text": "address doping, medication, and safety issues in the thoroughbred racing",
        "paragraph_id": "para_1092"
      },
      {

        "text": "other goals Congress itself “establish[ed].” Id. at 383.",

        "text": "Third, the federal government does not “control[] the operation of",
        "paragraph_id": "para_1114"
      },
      {
        "text": "the [Authority],” nor has it “retain[ed] for itself permanent authority to",
        "paragraph_id": "para_1115"
      },
      {
        "text": "appoint a majority of the [Authority’s] directors.” Ibid. To the contrary, the",
        "paragraph_id": "para_1116"
      },
      {
        "text": "government has no role in appointing the Authority’s Board. Once again,",
        "paragraph_id": "para_1117"
      },
      {
        "text": "contrast this with Amtrak—where a majority of its directors was appointed",
        "paragraph_id": "para_1118"
      },
      {
        "text": "by the President. Id. at 397–98; see also Amtrak II, 575 U.S. at 51 (observing",
        "paragraph_id": "para_1119"
      },
      {
        "text": "that seven of nine Amtrak board members “are appointed by the President",
        "paragraph_id": "para_1120"
      },
      {
        "text": "and confirmed by the Senate”); cf. Free Enter. Fund, 561 U.S. at 484, 484–85",
        "paragraph_id": "para_1121"
      },
      {
        "text": "(noting the PCAOB—despite being statutorily deemed “private”—is a",
        "paragraph_id": "para_1122"
      },
      {
        "text": "“Government-created, Government-appointed entity,” whose five",
        "paragraph_id": "para_1123"
      },
      {
        "text": "members are “appointed . . . by the [SEC]”).",
        "paragraph_id": "para_1124"
      },
      {
        "text": "Instead of engaging with Lebron, Gulf Coast argues that Lebron’s",
        "paragraph_id": "para_1125"
      },
      {
        "text": "analysis is not “the only way” to tell whether a corporation is a government",
        "paragraph_id": "para_1126"
      },
      {
        "text": "instrumentality. That takes too narrow a view of precedent, however. Lebron",
        "paragraph_id": "para_1127"
      },
      {
        "text": "canvassed “the long history of corporations created and participated in by",
        "paragraph_id": "para_1128"
      },
      {
        "text": "the United States” and set out a detailed analysis to determine whether a",
        "paragraph_id": "para_1129"
      },
      {
        "text": "particular corporation—despite its designation as “private”—counts as a",
        "paragraph_id": "para_1130"
      },
      {
        "text": "government instrument for constitutional purposes. See 513 U.S. at 386, 386–",
        "paragraph_id": "para_1131"
      },
      {
        "text": "91. That is precisely the question we must answer with respect to the",
        "paragraph_id": "para_1132"
      },
      {
        "text": "Authority. How can we, as an inferior court, simply bypass Lebron? We",
        "paragraph_id": "para_1133"
      },
      {
        "text": "cannot.",
        "paragraph_id": "para_1134"
      },
      {
        "text": "Gulf Coast tries to offer us a way around Lebron, but it is a dead end.",
        "paragraph_id": "para_1135"
      },
      {
        "text": "Gulf Coast argues that Lebron addressed only government-created",
        "paragraph_id": "para_1136"
      },
      {
        "text": "corporations “that in no way exercised government power.” But Lebron did",
        "paragraph_id": "para_1137"
      },
      {
        "text": "not limit itself in that way—to the contrary, it relied on cases where Congress",
        "paragraph_id": "para_1138"
      },
      {

        "text": "327 U.S. 536, 539 (1946)).25 Furthermore, the corporation actually addressed",
        "paragraph_id": "para_1144"
      },
      {
        "text": "in Lebron—Amtrak—itself exercised regulatory power, as the Supreme",
        "paragraph_id": "para_1145"
      },
      {
        "text": "Court, the D.C. Circuit, and our court have all recognized. See Amtrak II, 575",
        "paragraph_id": "para_1146"
      },
      {
        "text": "U.S. at 51 (“Amtrak . . . cannot constitutionally be granted the regulatory",
        "paragraph_id": "para_1147"
      },
      {
        "text": "power[.]” (citation and quotation omitted)); Amtrak I, 721 F.3d at 671 (“No",
        "paragraph_id": "para_1148"
      },
      {
        "text": "case prefigures the unprecedented regulatory powers delegated to",
        "paragraph_id": "para_1149"
      },
      {
        "text": "Amtrak.”); Horsemen’s I, 53 F.4th at 889 (discussing how Congress gave",
        "paragraph_id": "para_1150"
      },
      {
        "text": "“regulatory power to the ‘economically self-interested Amtrak’” (citation",
        "paragraph_id": "para_1151"
      },
      {
        "text": "omitted)).",
        "paragraph_id": "para_1152"
      },
      {
        "text": "Gulf Coast also argues that, to determine whether directors of a",
        "paragraph_id": "para_1153"
      },
      {
        "text": "private entity are “Officers of the United States,” we should focus on their",
        "paragraph_id": "para_1154"
      },
      {
        "text": "duration in office and the nature of the entity’s power. We disagree. The two",
        "paragraph_id": "para_1155"
      },
      {
        "text": "principal cases Gulf Coast relies on for this argument addressed whether",
        "paragraph_id": "para_1156"
      },
      {
        "text": "individuals already part of the government should be considered “Officers.”",
        "paragraph_id": "para_1157"
      },
      {
        "text": "So, Buckley examined whether Federal Election Commission appointees",
        "paragraph_id": "para_1158"
      },
      {
        "text": "wielded “significant authority pursuant to the laws of the United States.”",
        "paragraph_id": "para_1159"
      },
      {
        "text": "424 U.S. at 126. And Lucia v. SEC applied this same test to SEC ALJs. 585",
        "paragraph_id": "para_1160"
      },
      {
        "text": "U.S. 237, 244–45 (2018). Gulf Coast urges us to extend Buckley and Lucia",

      },

        "text": "well beyond their facts to analyze whether persons in a private entity are",

      },
      {
        "text": "“Officers.” Even if we were inclined to take that step, however, Lebron",
        "paragraph_id": "para_1163"
      },

        "text": "would remain an insuperable hurdle. As explained, Lebron addressed when a",
        "paragraph_id": "para_1164"
      },
      {
        "text": "private entity qualifies as part of the government for constitutional purposes.",

      {
        "text": "Finally, Gulf Coast argues that if Lebron is the test, then the federal",
        "paragraph_id": "para_1178"
      },
      {
        "text": "government can simply vest all executive power in a private corporation and",
        "paragraph_id": "para_1179"
      },
      {
        "text": "avoid the Appointments Clause. This argument ignores the role of the private",
        "paragraph_id": "para_1180"
      },
      {
        "text": "nondelegation doctrine. The government cannot delegate core governmental",
        "paragraph_id": "para_1181"
      },
      {
        "text": "powers to unsupervised private parties. Pittston, 368 F.3d at 394. A private",
        "paragraph_id": "para_1182"
      },
      {
        "text": "entity can only act “subordinately to an agency with authority and",
        "paragraph_id": "para_1183"
      },
      {
        "text": "surveillance over it.” Horsemen’s I, 53 F.4th at 881 (quotations omitted). The",
        "paragraph_id": "para_1184"
      },
      {
        "text": "private nondelegation doctrine thus corrals any attempts to evade Lebron by",
        "paragraph_id": "para_1185"
      },
      {
        "text": "giving unaccountable governmental power to a pre-existing private entity.",
        "paragraph_id": "para_1186"
      },
      {
        "text": "In sum, Lebron is the governing test to determine whether an entity is",
        "paragraph_id": "para_1187"
      },
      {
        "text": "private or public and, under that test, the Authority is a private entity not",
        "paragraph_id": "para_1188"
      },
      {
        "text": "subject to Article II’s Appointments Clause.",
        "paragraph_id": "para_1189"
      },
      {
        "text": "E. Anti-Commandeering Challenge",
        "paragraph_id": "para_1190"
      },
      {
        "text": "Finally, we turn to Gulf Coast’s argument that HISA",
        "paragraph_id": "para_1191"
      },
      {
        "text": "unconstitutionally commandeers state officials. The Constitution forbids",
        "paragraph_id": "para_1192"
      },
      {
        "text": "Congress from “command[ing] the States’ officers, or those of their political",
        "paragraph_id": "para_1193"
      },
      {
        "text": "subdivisions, to administer or enforce a federal regulatory program.” Printz",
        "paragraph_id": "para_1194"
      },
      {

      },
      {
        "text": "26 That principle also answers Gulf Coast’s reliance on a 2007 Office of Legal",
        "paragraph_id": "para_1196"
      },
      {
        "text": "Counsel (“OLC”) opinion. The opinion argued that the Appointments Clause applies to",

        "text": "someone with significant and continuing government authority, whether he is a private or",
        "paragraph_id": "para_1198"
      },
      {
        "text": "a government employee. Officers of the United States Within the Meaning of the Appointments",

        "text": "Clause, 31 Op. O.L.C. 73, 121–22 (2007). If the opinion was suggesting its analysis as an",
        "paragraph_id": "para_1200"
      },
      {
        "text": "alternative to Lebron (a decision, it should be noted, the opinion cited, see id. at 121), that is",
        "paragraph_id": "para_1201"
      },
      {
        "text": "a suggestion only the Supreme Court could act upon, not a circuit court bound by Lebron.",

        "paragraph_id": "para_1207"
      },
      {
        "text": "by coercing state racing commissions to remit fees to fund the Authority’s",
        "paragraph_id": "para_1208"
      },
      {
        "text": "operations. If state officials refuse, the Authority collects fees directly from",
        "paragraph_id": "para_1209"
      },
      {
        "text": "covered persons—but, in that event, HISA prohibits the state from",
        "paragraph_id": "para_1210"
      },
      {
        "text": "imposing taxes or fees to finance the state’s own horseracing programs. See",
        "paragraph_id": "para_1211"
      },
      {
        "text": "§ 3052(f). This scheme, argues Gulf Coast, “puts a gun to the head of",
        "paragraph_id": "para_1212"
      },
      {
        "text": "Texas” by coercing state officials to administer a federal program rather than",
        "paragraph_id": "para_1213"
      },
      {
        "text": "a state program.",
        "paragraph_id": "para_1214"
      },
      {
        "text": "The problem with this claim, as the district court pointed out, is that",
        "paragraph_id": "para_1215"
      },
      {
        "text": "Gulf Coast lacks standing to raise it. Specifically, Gulf Coast’s alleged",
        "paragraph_id": "para_1216"
      },
      {
        "text": "injury—that it prefers Texas’s racetrack safety rules to HISA’s—is “no",
        "paragraph_id": "para_1217"
      },
      {
        "text": "injury at all.” Black, 672 F. Supp. 3d at 250. As the district court correctly",
        "paragraph_id": "para_1218"
      },
      {
        "text": "reasoned, “[a] party cannot establish constitutional injury by suggesting that",
        "paragraph_id": "para_1219"
      },
      {
        "text": "he may be subject to rules he does not prefer.” Ibid.; see also, e.g., Consumers’",
        "paragraph_id": "para_1220"
      },
      {
        "text": "Rsch. v. Consumer Prod. Safety Comm’n, 91 F.4th 342, 350 (5th Cir. 2024)",
        "paragraph_id": "para_1221"
      },
      {
        "text": "(holding that “merely being subject to . . . regulations, in the abstract, does",
        "paragraph_id": "para_1222"
      },
      {
        "text": "not create an injury”).",
        "paragraph_id": "para_1223"
      },
      {
        "text": "On appeal, Gulf Coast fails to explain how the district court erred. It",
        "paragraph_id": "para_1224"
      },
      {
        "text": "merely argues that the coercive pressure the funding scheme allegedly places",
        "paragraph_id": "para_1225"
      },
      {
        "text": "on Texas will lead it to implement HISA’s rules rather than the current",
        "paragraph_id": "para_1226"
      },
      {
        "text": "Texas regulations, which makes Gulf Coast subject to “a new set of",
        "paragraph_id": "para_1227"
      },
      {
        "text": "unwanted (federal) regulations.” Again, though, this does not explain why",
        "paragraph_id": "para_1228"
      },
      {
        "text": "Gulf Coast experiences an injury sufficient to assert an anti-commandeering",
        "paragraph_id": "para_1229"
      },
      {
        "text": "challenge to HISA.",
        "paragraph_id": "para_1230"
      },
      {
        "text": "IV. Conclusion",
        "paragraph_id": "para_1231"
      },
      {
        "text": "In sum, we affirm the district court’s judgment that (1) Congress’s",

      },

        "text": "recent amendment to HISA cured the private nondelegation flaw in the",
        "paragraph_id": "para_1233"
      },

      },
      {
        "text": "under Lebron; and (4) Gulf Coast lacks standing to challenge HISA on anti-",

      },
      {
        "text": "commandeering grounds.",
        "paragraph_id": "para_1240"
      },
      {
        "text": "We reverse the district court’s judgment in one respect. Insofar as",
        "paragraph_id": "para_1241"
      },
      {
        "text": "HISA is enforced by private entities that are not subordinate to the FTC,",
        "paragraph_id": "para_1242"
      },
      {
        "text": "we DECLARE that HISA violates the private nondelegation doctrine.",
        "paragraph_id": "para_1243"
      },
      {
        "text": "Accordingly, the district court’s judgment is AFFIRMED in part",
        "paragraph_id": "para_1244"
      },
