        "text": "liabilities of affiliated truck dealerships operating under the",
        "paragraph_id": "para_26"
      },
      {
        "text": "trade name M&K Truck Centers. One question presented is",
        "paragraph_id": "para_27"
      },
      {
        "text": "whether the contribution obligations of a service company",
        "paragraph_id": "para_28"
      },
      {
        "text": "operating in Summit, Illinois extended to work performed",
        "paragraph_id": "para_29"
      },
      {
        "text": "through a formally separate company operating nearby.",
        "paragraph_id": "para_30"
      },
      {
        "text": "Another question involves the amount of withdrawal liability",
        "paragraph_id": "para_31"
      },
      {
        "text": "and interest of a third service company that operated in Alsip,",
        "paragraph_id": "para_32"
      },
      {
        "text": "Illinois. A final question involves which other entities or",
        "paragraph_id": "para_33"
      },
      {
        "text": "individuals are liable for the withdrawal liability. On summary",
        "paragraph_id": "para_34"
      },
      {
        "text": "judgment, the district court ruled for the pension fund on all of",
        "paragraph_id": "para_35"
      },
      {
        "text": "these issues. We affirm in part, reverse in part, and remand for",
        "paragraph_id": "para_36"
      },
      {
        "text": "further proceedings.",

      },
      {
        "text": "I",
        "paragraph_id": "para_38"
      },
      {
        "text": "The Employee Retirement Income Security Act of 1974",
        "paragraph_id": "para_39"
      },
      {
        "text": "(ERISA), 29 U.S.C. § 1001 et seq., establishes a",
        "paragraph_id": "para_40"
      },
      {
        "text": "comprehensive federal scheme to ensure that employees",
        "paragraph_id": "para_41"
      },
      {
        "text": "receive benefits that their employers have promised. See, e.g.,",
        "paragraph_id": "para_42"
      },
      {
        "text": "Nachman Corp. v. PBGC, 446 U.S. 359, 361–62 (1980).",
        "paragraph_id": "para_43"
      },
      {
        "text": "Among other things, ERISA allows the trustees of a pension",
        "paragraph_id": "para_44"
      },
      {
        "text": "fund to sue to enforce employer contribution obligations or",
        "paragraph_id": "para_45"
      },
      {
        "text": "other terms of the underlying plan. 29 U.S.C. § 1132(a)(3).",
        "paragraph_id": "para_46"
      },
      {
        "text": "The Multiemployer Pension Plan Amendments Act of",
        "paragraph_id": "para_47"
      },
      {
        "text": "1980 (MPPAA) amended ERISA to afford further protection",
        "paragraph_id": "para_48"
      },
      {
        "text": "3",
        "paragraph_id": "para_49"
      },
      {
        "text": "for pension funds supported by multiple employers and",
        "paragraph_id": "para_50",
        "court_paragraph": 3
      },
      {
        "text": "maintained through collective-bargaining agreements.",
        "paragraph_id": "para_51"
      },
      {
        "text": "MPPAA imposes “withdrawal liability” on employers that stop",
        "paragraph_id": "para_52"
      },
      {
        "text": "contributing to such pension funds. 29 U.S.C. § 1381(a). The",
        "paragraph_id": "para_53"
      },
      {
        "text": "amount of liability reflects the employer’s share of unfunded",
        "paragraph_id": "para_54"
      },
      {
        "text": "vested benefits that the fund will have to pay out. Id.",
        "paragraph_id": "para_55"
      },
      {
        "text": "§ 1381(b)(1). The fund calculates this amount and sets a",
        "paragraph_id": "para_56"
      },
      {
        "text": "payment schedule. Id. § 1399(b)(1). The employer may",
        "paragraph_id": "para_57"
      },
      {
        "text": "dispute its liability in arbitration or litigation. Id. §§ 1401(a)–",
        "paragraph_id": "para_58"
      },
      {
        "text": "(b), 1451(a)(1).",
        "paragraph_id": "para_59"
      },
      {
        "text": "When an employer challenges a fund’s assessment of",
        "paragraph_id": "para_60"
      },
      {
        "text": "withdrawal liability, MPPAA requires the employer to keep",
        "paragraph_id": "para_61"
      },
      {
        "text": "paying off the liability according to the fund’s schedule while",
        "paragraph_id": "para_62"
      },
      {
        "text": "the challenge is pending. 29 U.S.C. § 1399(c)(2). In other",
        "paragraph_id": "para_63"
      },
      {
        "text": "words, the employer must “pay first, dispute later.” Bd. of Trs.",
        "paragraph_id": "para_64"
      },
      {
        "text": "of Trucking Emps. of N. Jersey Welfare Fund, Inc.–Pension",
        "paragraph_id": "para_65"
      },
      {
        "text": "Fund v. Centra, 983 F.2d 495, 498 (3d Cir. 1992). If an",
        "paragraph_id": "para_66"
      },
      {
        "text": "employer defaults on these payments, the fund can accelerate",
        "paragraph_id": "para_67"
      },
      {
        "text": "the payment schedule, making the entire balance due",
        "paragraph_id": "para_68"
      },
      {
        "text": "immediately. 29 U.S.C. § 1399(c)(5). For purposes of",
        "paragraph_id": "para_69"
      },
      {
        "text": "withdrawal liability, MPPAA provides that all “trades or",
        "paragraph_id": "para_70"
      },
      {
        "text": "businesses (whether or not incorporated) which are under",
        "paragraph_id": "para_71"
      },
      {
        "text": "common control shall be treated as … a single employer.” Id.",
        "paragraph_id": "para_72"
      },
      {
        "text": "§ 1301(b)(1).",
        "paragraph_id": "para_73"
      },
      {
        "text": "MPPAA codifies an employer’s contractual obligation to",
        "paragraph_id": "para_74"
      },
      {
        "text": "contribute to a multi-employer pension plan. 29 U.S.C. § 1145.",
        "paragraph_id": "para_75"
      },
      {
        "text": "And it treats the obligation to make timely payments of",
        "paragraph_id": "para_76"
      },
      {
        "text": "withdrawal liability as one such contribution obligation. Id.",
        "paragraph_id": "para_77"
      },
      {
        "text": "§ 1451(b). If a fund successfully sues to enforce such an",
        "paragraph_id": "para_78"
      },
      {
        "text": "obligation, it may recover the unpaid amount plus interest,",
        "paragraph_id": "para_79"
      },
      {
        "text": "liquidated damages, and attorney’s fees. Id. § 1132(g).",
        "paragraph_id": "para_80"

        "text": "M&K Truck Centers is a family of 28 truck dealerships in",
        "paragraph_id": "para_84"
      },
      {
        "text": "the midwestern United States. The dealerships operate through",
        "paragraph_id": "para_85"
      },
      {
        "text": "a complex web of affiliated companies owned directly or",
        "paragraph_id": "para_86"
      },
      {
        "text": "indirectly by Ronald Meyering.",
        "paragraph_id": "para_87"
      },
      {
        "text": "In 2012, M&K acquired three Illinois dealerships in the",
        "paragraph_id": "para_88"
      },
      {
        "text": "municipalities of Alsip, Joliet, and Summit. M&K organized",
        "paragraph_id": "para_89"
      },
      {
        "text": "these dealerships as six separate limited liability companies. At",
        "paragraph_id": "para_90"
      },
      {
        "text": "each location, it created a “Sales” company to operate the",
        "paragraph_id": "para_91"
      },
      {
        "text": "dealership and an “Employee Solutions” (ES) company to hire",
        "paragraph_id": "para_92"
      },
      {
        "text": "employees and lease them to the corresponding Sales company.",
        "paragraph_id": "para_93"
      },
      {
        "text": "The Sales companies owned each site’s physical assets. The",
        "paragraph_id": "para_94"
      },
      {
        "text": "ES companies, which were owned by corporate officers of",
        "paragraph_id": "para_95"
      },
      {
        "text": "other entities in the M&K network, themselves owned no",
        "paragraph_id": "para_96"
      },
      {
        "text": "substantial assets.",
        "paragraph_id": "para_97"
      },
      {
        "text": "The three ES companies signed collective-bargaining",
        "paragraph_id": "para_98"
      },
      {
        "text": "agreements with Automobile Mechanics’ Local 701 of the",
        "paragraph_id": "para_99"
      },
      {
        "text": "International Association of Machinists and Aerospace",
        "paragraph_id": "para_100"
      },
      {
        "text": "Workers (IAM). Each agreement required the signatory",
        "paragraph_id": "para_101"
      },
      {
        "text": "company to contribute to the IAM National Pension Fund for",
        "paragraph_id": "para_102"
      },
      {
        "text": "work performed by covered employees while the agreement",
        "paragraph_id": "para_103"
      },
      {
        "text": "remained in effect. Each agreement also required the company",
        "paragraph_id": "para_104"
      },
      {
        "text": "to bind itself to a Trust Agreement governing its relationship",
        "paragraph_id": "para_105"
      },
      {
        "text": "with the Fund. The collective-bargaining agreement signed by",
        "paragraph_id": "para_106"
      },
      {
        "text": "ES Summit applied by its terms to work performed at the",
        "paragraph_id": "para_107"
      },
      {
        "text": "Summit dealership or any other facility in Cook County,",
        "paragraph_id": "para_108"
      },
      {
        "text": "Illinois.",
        "paragraph_id": "para_109"
      },
      {
        "text": "In 2013, M&K acquired another dealership in Cook",
        "paragraph_id": "para_110"
      },
      {
        "text": "County, which it refers to as its Northern Illinois dealership.",
        "paragraph_id": "para_111"
      },
      {
        "text": "As before, M&K formed companion Sales and ES companies",
        "paragraph_id": "para_112"
      },
      {
        "text": "5",
        "paragraph_id": "para_113"
      },
      {
        "text": "for this dealership. ES Northern Illinois did not sign a",
        "paragraph_id": "para_114",
        "court_paragraph": 5
      },
      {
        "text": "collective-bargaining agreement, and no other ES employer",
        "paragraph_id": "para_115"
      },
      {
        "text": "contributed to IAM’s pension fund for the work performed by",
        "paragraph_id": "para_116"
      },
      {
        "text": "employees of ES Northern Illinois.",
        "paragraph_id": "para_117"
      },
      {
        "text": "In 2017 and 2018, the ES entities terminated their",
        "paragraph_id": "para_118"
      },
      {
        "text": "respective collective-bargaining agreements and thus stopped",
        "paragraph_id": "para_119"
      },
      {
        "text": "making contributions to the IAM National Pension Fund. ES",
        "paragraph_id": "para_120"
      },
      {
        "text": "Joliet and ES Summit withdrew in 2017; these withdrawals",
        "paragraph_id": "para_121"
      },
      {
        "text": "triggered no MPPAA liability. The withdrawal of ES Alsip, at",
        "paragraph_id": "para_122"
      },
      {
        "text": "the end of 2018, did trigger MPPAA liability.",
        "paragraph_id": "para_123"
      },
      {
        "text": "At that time, the ES entities stopped employing anyone.",
        "paragraph_id": "para_124"
      },
      {
        "text": "Shortly before, M&K had created two new entities, Laborforce,",
        "paragraph_id": "para_125"
      },
      {
        "text": "LLC and Employee Services, Inc. (ESI). Those companies",
        "paragraph_id": "para_126"
      },
      {
        "text": "employed the unionized and non-unionized workers,",
        "paragraph_id": "para_127"
      },
      {
        "text": "respectively, who had been previously employed by the ES",
        "paragraph_id": "para_128"
      },
      {
        "text": "entities. Laborforce and ESI then leased these employees to",
        "paragraph_id": "para_129"
      },
      {
        "text": "the four Sales companies.",
        "paragraph_id": "para_130"
      },
      {
        "text": "When ES Alsip incurred its withdrawal liability, all the ES",
        "paragraph_id": "para_131"
      },
      {
        "text": "entities were owned by Chad Boucher, the Chief Financial",
        "paragraph_id": "para_132"
      },
      {
        "text": "Officer of a parent Sales company, and his wife Jodi. On the",
        "paragraph_id": "para_133"
      },
      {
        "text": "side, the Bouchers flipped houses.",
        "paragraph_id": "para_134"
      },
      {
        "text": "B",
        "paragraph_id": "para_135"
      },
      {
        "text": "In June 2019, the Fund assessed ES Alsip approximately",
        "paragraph_id": "para_136"
      },
      {
        "text": "$6.1 million in withdrawal liability and established a quarterly",
        "paragraph_id": "para_137"
      },
      {
        "text": "payment schedule. ES Alsip disputed the amount and pursued",
        "paragraph_id": "para_138"
      },
      {
        "text": "arbitration. Contrary to the “pay first, dispute later” rule, ES",
        "paragraph_id": "para_139"
      },
      {
        "text": "Alsip did not make quarterly payments in the meantime. In",
        "paragraph_id": "para_140"
      },
      {
        "text": "response, the Fund sued various M&K entities to enforce that",
        "paragraph_id": "para_141"
      },
      {
        "text": "obligation, and it accelerated the payment schedule to make the",
        "paragraph_id": "para_142"
      },
      {
        "text": "full balance of withdrawal liability due immediately.",
        "paragraph_id": "para_143"
      },
      {
        "text": "6",
        "paragraph_id": "para_144"
      },
      {
        "text": "Litigation and arbitration proceeded on parallel tracks for",
        "paragraph_id": "para_145",
        "court_paragraph": 6
      },
      {
        "text": "several years, as the district court recounted in detail. Trs. of",
        "paragraph_id": "para_146"
      },
      {
        "text": "the IAM Nat’l Pension Fund v. M&K Emp. Sols., LLC, 694 F.",
        "paragraph_id": "para_147"
      },
      {
        "text": "Supp. 3d 54, 80–84 (D.D.C. 2023). When an arbitrator reduced",
        "paragraph_id": "para_148"
      },
      {
        "text": "the withdrawal liability to some $1.8 million, the M&K entities",
        "paragraph_id": "para_149"
      },
      {
        "text": "paid that amount. However, the district court later held that the",
        "paragraph_id": "para_150"
      },
      {
        "text": "arbitrator had erred in doing so. Trs. of the IAM Nat’l Pension",
        "paragraph_id": "para_151"
      },
      {
        "text": "Fund v. M&K Emp. Sols., LLC, No. 21-cv-02152, 2022 WL",
        "paragraph_id": "para_152"
      },
      {
        "text": "4534998 (D.D.C. Sept. 28, 2022). This Court affirmed that",
        "paragraph_id": "para_153"
      },
      {
        "text": "decision, 92 F.4th 316 (2024), and the Supreme Court in turn",
        "paragraph_id": "para_154"
      },
      {
        "text": "affirmed this Court, 146 S. Ct. 1224 (2026).",
        "paragraph_id": "para_155"
      },
      {
        "text": "Meanwhile, the parties filed cross-motions for summary",
        "paragraph_id": "para_156"
      },
      {
        "text": "judgment. The district court granted the Fund’s motion and",
        "paragraph_id": "para_157"
      },
      {
        "text": "denied the defendants’ motions. The court held that because",
        "paragraph_id": "para_158"
      },
      {
        "text": "ES Summit and ES Northern Illinois were a “single employer,”",
        "paragraph_id": "para_159"
      },
      {
        "text": "ES Summit was liable for delinquent contributions based on",
        "paragraph_id": "para_160"
      },
      {
        "text": "work performed at the Northern Illinois dealership while ES",
        "paragraph_id": "para_161"
      },
      {
        "text": "Summit remained bound by its collective-bargaining",
        "paragraph_id": "para_162"
      },
      {
        "text": "agreement. 694 F. Supp. 3d at 97–101. The court made several",
        "paragraph_id": "para_163"
      },
      {
        "text": "other rulings bearing on ES Alsip’s withdrawal liability. In",
        "paragraph_id": "para_164"
      },
      {
        "text": "determining its outstanding balance, the court allocated the",
        "paragraph_id": "para_165"
      },
      {
        "text": "$1.8 million partial payment to interest, rather than to the",
        "paragraph_id": "para_166"
      },
      {
        "text": "withdrawal liability itself. Id. at 91–94. The court further held",
        "paragraph_id": "para_167"
      },
      {
        "text": "that ES Alsip owed interest at an increased rate imposed by an",
        "paragraph_id": "para_168"
      },
      {
        "text": "amendment to the Trust Agreement made after ES Alsip had",
        "paragraph_id": "para_169"
      },
      {
        "text": "terminated its collective-bargaining agreement and withdrawn",
        "paragraph_id": "para_170"
      },
      {
        "text": "from the Fund. Id. at 94–97. Finally, the court held that the ES",
        "paragraph_id": "para_171"
      },
      {
        "text": "entities, the Sales entities, Laborforce, ESI, and the Bouchers",
        "paragraph_id": "para_172"
      },
      {
        "text": "were jointly and severally liable for the withdrawal liability.",
        "paragraph_id": "para_173"
      },
      {
        "text": "Id. at 102–09.",
        "paragraph_id": "para_174"
      },
      {
        "text": "The court entered a $13 million judgment for principal,",
        "paragraph_id": "para_175"
      },
      {
        "text": "interest, and liquidated damages. Of that amount, $1.6 million",
        "paragraph_id": "para_176"
      },
      {
        "text": "arose from ES Summit’s failure to contribute to the Fund for",
        "paragraph_id": "para_177"
      },
      {
        "text": "7",
        "paragraph_id": "para_178"
      },
      {
        "text": "work performed at the ES Northern Illinois dealership, and the",
        "paragraph_id": "para_179",
        "court_paragraph": 7
      },
      {
        "text": "remaining $11.4 million arose from ES Alsip’s withdrawal",
        "paragraph_id": "para_180"
      },
      {
        "text": "from the Fund. The judgment was paid in full, but it is not clear",
        "paragraph_id": "para_181"
      },
      {
        "text": "by whom.",
        "paragraph_id": "para_182"
      },
      {
        "text": "On appeal, the defendants challenge (1) the conclusion that",
        "paragraph_id": "para_183"
      },
      {
        "text": "ES Summit owed contribution obligations for work performed",
        "paragraph_id": "para_184"
      },
      {
        "text": "at the Northern Illinois dealership, (2) the outstanding balance",
        "paragraph_id": "para_185"
      },
      {
        "text": "of ES Alsip’s withdrawal liability, and (3) several other",
        "paragraph_id": "para_186"
      },
      {
        "text": "defendants’ joint-and-several liability. We review de novo a",
        "paragraph_id": "para_187"
      },
      {
        "text": "grant or denial of summary judgment. Maydak v. United",
        "paragraph_id": "para_188"
      },
      {
        "text": "States, 630 F.3d 166, 174 (D.C. Cir. 2010).",
        "paragraph_id": "para_189"
      },
      {
        "text": "III",
        "paragraph_id": "para_190"
      },
      {
        "text": "The district court held that ES Summit owed the Fund",
        "paragraph_id": "para_191"
      },
      {
        "text": "some $1.6 million for work performed at the Northern Illinois",
        "paragraph_id": "para_192"
      },
      {
        "text": "dealership while ES Summit remained bound by its collective-",
        "paragraph_id": "para_193"
      },
      {
        "text": "bargaining agreement. That work was performed by",
        "paragraph_id": "para_194"
      },
      {
        "text": "employees of ES Northern Illinois—a separate company that",
        "paragraph_id": "para_195"
      },
      {
        "text": "itself signed no collective-bargaining agreement. So the",
        "paragraph_id": "para_196"
      },
      {
        "text": "delinquent-contribution liability turns on whether employees",
        "paragraph_id": "para_197"
      },
      {
        "text": "of ES Northern Illinois should be deemed employees of ES",
        "paragraph_id": "para_198"
      },
      {
        "text": "Summit. In other words, it turns on whether we should",
        "paragraph_id": "para_199"
      },
      {
        "text": "disregard the legal separateness of the two companies.",
        "paragraph_id": "para_200"
      },
      {
        "text": "A",
        "paragraph_id": "para_201"
      },
      {
        "text": "Addressing that question, both parties invoke a test",
        "paragraph_id": "para_202"
      },
      {
        "text": "developed by the National Labor Relations Board for extending",
        "paragraph_id": "para_203"
      },
      {
        "text": "the collective-bargaining obligations of one company to",
        "paragraph_id": "para_204"
      },
      {
        "text": "another. Under that test, courts consider whether the two",
        "paragraph_id": "para_205"
      },
      {
        "text": "companies have interrelated operations, common management,",
        "paragraph_id": "para_206"
      },
      {
        "text": "centralized control of labor relations, and common ownership.",
        "paragraph_id": "para_207"
      },
      {
        "text": "See, e.g., S. Prairie Constr. Co. v. Loc. No. 627, Int’l Union of",
        "paragraph_id": "para_208"
      },
      {
        "text": "Operating Eng’rs, 425 U.S. 800, 802–03 & n.3 (1976). That",
        "paragraph_id": "para_209"
      },
      {

      },
      {
        "text": "test makes it much easier to disregard corporate separateness",
        "paragraph_id": "para_211",
        "court_paragraph": 8
      },
      {
        "text": "than does the analogous common-law test, which requires",
        "paragraph_id": "para_212"
      },
      {
        "text": "showing that corporate separateness was used to perpetrate",
        "paragraph_id": "para_213"
      },
      {
        "text": "fraud, illegality, or a comparable injustice. See, e.g., United",
        "paragraph_id": "para_214"
      },
      {
        "text": "States v. Bestfoods, 524 U.S. 51, 62–64 (1998).",
        "paragraph_id": "para_215"
      },
      {
        "text": "We have doubts about whether the NLRB test is the right",
        "paragraph_id": "para_216"
      },
      {
        "text": "one here. For one thing, the NLRB’s ability to develop its own",
        "paragraph_id": "para_217"
      },
      {
        "text": "single-employer doctrines stems from its administrative",
        "paragraph_id": "para_218"
      },
      {
        "text": "authority over the National Labor Relations Act, see NLRB v.",
        "paragraph_id": "para_219"
      },
      {
        "text": "Bell Aerospace Co., 416 U.S. 267, 294 (1974), but the Board",
        "paragraph_id": "para_220"
      },
      {
        "text": "lacks any such authority over ERISA. Moreover, courts",
        "paragraph_id": "para_221"
      },
      {
        "text": "presume that statutes preserve background common-law",
        "paragraph_id": "para_222"
      },
      {
        "text": "principles “except when a statutory purpose to the contrary is",
        "paragraph_id": "para_223"
      },
      {
        "text": "evident.” Astoria Fed. Sav. & Loan Ass’n v. Solimino, 501 U.S.",
        "paragraph_id": "para_224"
      },
      {
        "text": "104, 108 (1991) (cleaned up); see Bestfoods, 524 U.S. at 63.",
        "paragraph_id": "para_225"
      },
      {
        "text": "Here, Congress supplemented the common-law standard with",
        "paragraph_id": "para_226"
      },
      {
        "text": "a plaintiff-friendly rule for disregarding corporate separateness",
        "paragraph_id": "para_227"
      },
      {
        "text": "based on common control. See 29 U.S.C. § 1301(b)(1). But",
        "paragraph_id": "para_228"
      },
      {
        "text": "this statutory standard applies only for purposes of ERISA",
        "paragraph_id": "para_229"
      },
      {
        "text": "subchapter III, id., which governs claims for withdrawal",
        "paragraph_id": "para_230"
      },
      {
        "text": "liability under MPPAA but not delinquent-contribution claims",
        "paragraph_id": "para_231"
      },
      {
        "text": "arising under other parts of ERISA, see Trs. of the Graphic",
        "paragraph_id": "para_232"
      },
      {
        "text": "Commc’ns Int’l Union Upper Midwest Loc. 1M Health &",
        "paragraph_id": "para_233"
      },
      {
        "text": "Welfare Plan v. Bjorkedal, 516 F.3d 719, 726 (8th Cir. 2008).",
        "paragraph_id": "para_234"
      },
      {
        "text": "For these reasons, other courts of appeals have held that the",
        "paragraph_id": "para_235"
      },
      {
        "text": "common-law standard for disregarding corporate separateness,",
        "paragraph_id": "para_236"
      },
      {
        "text": "not the relaxed NLRB standard, governs such ERISA claims.",
        "paragraph_id": "para_237"
      },
      {
        "text": "See, e.g., Greater Kan. City Laborers Pension Fund v. Superior",
        "paragraph_id": "para_238"
      },
      {
        "text": "Gen. Contractors, Inc., 104 F.3d 1050, 1055 (8th Cir. 1997);",
        "paragraph_id": "para_239"
      },
      {
        "text": "United Steelworkers of Am. v. Connors Steel Co., 855 F.2d",
        "paragraph_id": "para_240"
      },
      {

      },
      {
        "text": "separateness in this context is contestable. At least one court",
        "paragraph_id": "para_246"
      },
      {
        "text": "of appeals has applied the relaxed NLRB standard to",
        "paragraph_id": "para_247"
      },
      {
        "text": "delinquent-contribution claims under ERISA. See Mass.",
        "paragraph_id": "para_248"
      },
      {
        "text": "Carpenters Cent. Collection Agency v. Belmont Concrete",
        "paragraph_id": "para_249"
      },
      {
        "text": "Corp., 139 F.3d 304, 307–09 (1st Cir. 1998). And our court",
        "paragraph_id": "para_250"
      },
      {
        "text": "has applied a version of the relaxed NLRB standard to",
        "paragraph_id": "para_251"
      },
      {
        "text": "delinquent-contribution claims involving unincorporated",
        "paragraph_id": "para_252"
      },
      {
        "text": "entities, Flynn v. R.C. Tile, 353 F.3d 953, 958–60 (D.C. Cir.",
        "paragraph_id": "para_253"
      },
      {
        "text": "2004), while expressly reserving the question whether a more",
        "paragraph_id": "para_254"
      },
      {
        "text": "rigorous standard should apply “where a corporation is",
        "paragraph_id": "para_255"
      },
      {
        "text": "involved,” id. at 958 n.***. Of course, courts have “discretion”",
        "paragraph_id": "para_256"
      },
      {
        "text": "to look beyond forfeitures or stipulations regarding an",
        "paragraph_id": "para_257"
      },
      {
        "text": "applicable legal standard. See U.S. Nat’l Bank of Or. v. Indep.",
        "paragraph_id": "para_258"
      },
      {
        "text": "Ins. Agents of Am., Inc., 508 U.S. 439, 447 (1993). But courts",
        "paragraph_id": "para_259"
      },
      {
        "text": "also have discretion to accept contestable legal positions agreed",
        "paragraph_id": "para_260"
      },
      {
        "text": "to by the parties. See Free Enter. Fund v. Pub. Co. Acct.",
        "paragraph_id": "para_261"
      },
      {
        "text": "Oversight Bd., 561 U.S. 477, 487 (2010). Given the closeness",
        "paragraph_id": "para_262"
      },
      {
        "text": "and complexity of the legal issue that we have flagged, and the",
        "paragraph_id": "para_263"
      },
      {
        "text": "lack of any attention paid to it by the parties or the district court,",
        "paragraph_id": "para_264"
      },
      {
        "text": "we decline to consider it. Based on party-presentation",
        "paragraph_id": "para_265"
      },
      {
        "text": "principles, we will apply the NLRB test for disregarding",
        "paragraph_id": "para_266"
      },
      {
        "text": "corporate separateness without deciding whether it is the right",
        "paragraph_id": "para_267"
      },
      {
        "text": "one for delinquent-contribution claims under ERISA.",
        "paragraph_id": "para_268"
      },
      {
        "text": "B",
        "paragraph_id": "para_269"
      },
      {
        "text": "The delinquent-contribution claim turns on whether ES",
        "paragraph_id": "para_270"
      },
      {
        "text": "Summit and ES Northern Illinois could be properly treated as",
        "paragraph_id": "para_271"
      },
      {
        "text": "a single employer, so that employees of ES Northern Illinois",
        "paragraph_id": "para_272"
      },
      {
        "text": "were also employees of ES Summit. The district court granted",
        "paragraph_id": "para_273"
      },
      {
        "text": "summary judgment to the Fund on this claim. We hold that it",
        "paragraph_id": "para_274"
      },
      {
        "text": "was not adequately pleaded.",
        "paragraph_id": "para_275"
      },
      {
        "text": "10",
        "paragraph_id": "para_276"
      },
      {
        "text": "Federal Rule of Civil Procedure 8(a)(2) provides that the",
        "paragraph_id": "para_277",
        "court_paragraph": 10
      },
      {
        "text": "complaint must contain “a short and plain statement of the",
        "paragraph_id": "para_278"
      },
      {
        "text": "claim showing that the pleader is entitled to relief.” This",
        "paragraph_id": "para_279"
      },
      {
        "text": "requirement ensures “fair notice of what the claim is and the",
        "paragraph_id": "para_280"
      },
      {
        "text": "grounds upon which it rests.” Bell Atl. Corp. v. Twombly, 550",
        "paragraph_id": "para_281"
      },
      {
        "text": "U.S. 544, 555 (2007) (cleaned up). The complaint must plead",
        "paragraph_id": "para_282"
      },
      {
        "text": "facts supporting a “plausible” inference that the plaintiff is",
        "paragraph_id": "para_283"
      },
      {
        "text": "entitled to relief. See Ashcroft v. Iqbal, 556 U.S. 662, 678",
        "paragraph_id": "para_284"
      },
      {
        "text": "(2009). The complaint need not argue precise “legal theories”",
        "paragraph_id": "para_285"
      },
      {
        "text": "for liability, but it must set forth the “basic factual",
        "paragraph_id": "para_286"
      },
      {
        "text": "allegation[s]” supporting it. Empagran S.A. v. F. Hoffman-",
        "paragraph_id": "para_287"
      },
      {
        "text": "LaRoche, Ltd., 388 F.3d 337, 341 (D.C. Cir. 2004) (per curiam)",
        "paragraph_id": "para_288"
      },
      {
        "text": "(cleaned up).",
        "paragraph_id": "para_289"
      },
      {
        "text": "To establish liability on the delinquent-contribution claim,",
        "paragraph_id": "para_290"
      },
      {
        "text": "the Fund needed some legal basis for extending the collective-",
        "paragraph_id": "para_291"
      },
      {
        "text": "bargaining agreement signed by ES Summit to work performed",
        "paragraph_id": "para_292"
      },
      {
        "text": "by employees of ES Northern Illinois. Under the NLRB test",
        "paragraph_id": "para_293"
      },
      {
        "text": "urged by both parties and applied by the district court, that",
        "paragraph_id": "para_294"
      },
      {

        "text": "entities had interrelated operations, common management,",
        "paragraph_id": "para_296"
      },
      {
        "text": "centralized control of labor relations, and common ownership.",
        "paragraph_id": "para_297"
      },
      {
        "text": "See S. Prairie Constr. Co., 425 U.S. at 802–03 & n.3. The",
        "paragraph_id": "para_298"
      },
      {
        "text": "complaint in this case alleged only one of those elements,",
        "paragraph_id": "para_299"
      },
      {
        "text": "common ownership. J.A. 784–85. That sufficed to establish",
        "paragraph_id": "para_300"
      },
      {
        "text": "single-employer status under the control-group standard for",
        "paragraph_id": "para_301"
      },
      {
        "text": "withdrawal liability under MPPAA, 29 U.S.C. § 1301(b)(1),",
        "paragraph_id": "para_302"
      },
      {
        "text": "but this standard does not govern delinquent-contribution",
        "paragraph_id": "para_303"
      },
      {
        "text": "claims under ERISA. And the complaint nowhere alleged the",
        "paragraph_id": "para_304"
      },
      {
        "text": "other three elements for establishing single-employer status",
        "paragraph_id": "para_305"
      },
      {
        "text": "under the NLRB test. Nor did it even hint at these elements by",
        "paragraph_id": "para_306"
      },
      {
        "text": "alleging that ES Summit and ES Northern Illinois should be",
        "paragraph_id": "para_307"
      },
      {
        "text": "treated as a single employer.",
        "paragraph_id": "para_308"
      },
      {
        "text": "11",
        "paragraph_id": "para_309"
      },
      {
        "text": "The district court reasoned that the complaint did allege",
        "paragraph_id": "para_310",
        "court_paragraph": 11
      },
      {
        "text": "that each ES entity was highly integrated with its",
        "paragraph_id": "para_311"
      },
      {
        "text": "corresponding Sales entity. 694 F. Supp. 3d at 98. True",
        "paragraph_id": "para_312"
      },
      {
        "text": "enough, but that would suggest only that the two Summit",
        "paragraph_id": "para_313"
      },
      {
        "text": "entities should be treated as a single employer, or that the two",
        "paragraph_id": "para_314"
      },
      {
        "text": "Northern Illinois entities should be so treated. And taking a",
        "paragraph_id": "para_315"
      },
      {
        "text": "step back, entities that do nothing but supposedly lease",
        "paragraph_id": "para_316"
      },
      {
        "text": "employees to associated dealerships raise an eyebrow in a way",
        "paragraph_id": "para_317"
      },
      {
        "text": "that operating dealerships at different locations as separate",
        "paragraph_id": "para_318"
      },
      {
        "text": "businesses does not. In assessing the sufficiency of a pleading,",
        "paragraph_id": "para_319"
      },
      {
        "text": "we may consider “experience and common sense,” Iqbal, 556",
        "paragraph_id": "para_320"
      },
      {
        "text": "U.S. at 679, which suggest no apparent connection between the",
        "paragraph_id": "para_321"
      },
      {
        "text": "vertical integration of respective ES and Sales entities and the",
        "paragraph_id": "para_322"
      },
      {
        "text": "putative horizontal integration between individual ES entities.",
        "paragraph_id": "para_323"
      },
      {
        "text": "The Fund further highlights that the complaint described",
        "paragraph_id": "para_324"
      },
      {
        "text": "the collective-bargaining agreement signed by ES Summit as",
        "paragraph_id": "para_325"
      },
      {
        "text": "covering work performed at the address of the Summit",
        "paragraph_id": "para_326"
      },
      {
        "text": "dealership and at “any subsequently opened facility in Cook",
        "paragraph_id": "para_327"
      },
      {
        "text": "County, Illinois.” J.A. 802. We are confident that this",
        "paragraph_id": "para_328"
      },
      {
        "text": "provision extends only to work performed at dealerships",
        "paragraph_id": "para_329"
      },
      {
        "text": "serviced by ES Summit itself rather than, say, to work",
        "paragraph_id": "para_330"
      },
      {
        "text": "performed at Cook County dealerships operated by M&K’s",
        "paragraph_id": "para_331"
      },
      {
        "text": "competitors. So the highlighted clause simply begs the",
        "paragraph_id": "para_332"
      },
      {
        "text": "question whether ES Northern Illinois was the same employer",
        "paragraph_id": "para_333"
      },
      {
        "text": "as ES Summit. The complaint makes no allegations regarding",
        "paragraph_id": "para_334"
      },
      {
        "text": "the significance of this clause and, more importantly, it alleges",
        "paragraph_id": "para_335"
      },
      {
        "text": "insufficient facts to support a plausible inference that the",
        "paragraph_id": "para_336"
      },
      {
        "text": "Summit and Northern Illinois entities should be treated as a",
        "paragraph_id": "para_337"
      },
      {
        "text": "single employer despite their status as formally separate",
        "paragraph_id": "para_338"
      },
      {
        "text": "companies under state law.",
        "paragraph_id": "para_339"
      },
      {
        "text": "For these reasons, we reverse the grant of summary",
        "paragraph_id": "para_340"
      },
      {
        "text": "judgment to the Fund on the delinquent-contribution claim.",
        "paragraph_id": "para_341"
      },
      {
        "text": "And because the Fund advanced no other theory for applying",
        "paragraph_id": "para_342"
      },
      {
        "text": "12",
        "paragraph_id": "para_343"
      },
      {
        "text": "the collective-bargaining agreement of ES Summit to the",
        "paragraph_id": "para_344",
        "court_paragraph": 12
      },
      {
        "text": "employees of ES Northern Illinois, we reverse the denial of",
        "paragraph_id": "para_345"
      },
      {
        "text": "summary judgment to the defendants on this claim.",
        "paragraph_id": "para_346"
      },
      {
        "text": "IV",
        "paragraph_id": "para_347"
      },
      {
        "text": "The next set of issues concerns the amount of ES Alsip’s",
        "paragraph_id": "para_348"
      },
      {
        "text": "withdrawal liability. One question involves whether a partial",
        "paragraph_id": "para_349"
      },
      {
        "text": "payment was properly credited to interest as opposed to",
        "paragraph_id": "para_350"
      },
      {
        "text": "principal, while another involves whether the Fund permissibly",
        "paragraph_id": "para_351"
      },
      {
        "text": "increased the applicable interest rate after ES Alsip had",
        "paragraph_id": "para_352"
      },
      {
        "text": "terminated its collective-bargaining agreement and ceased",
        "paragraph_id": "para_353"
      },
      {
        "text": "making contributions to the Fund.",
        "paragraph_id": "para_354"
      },
      {
        "text": "A",
        "paragraph_id": "para_355"
      },
      {
        "text": "In August 2021, the M&K entities paid the Fund some",
        "paragraph_id": "para_356"
      },
      {
        "text": "$1.8 million toward the outstanding withdrawal liability of ES",
        "paragraph_id": "para_357"
      },
      {
        "text": "Alsip. By that time, ES Alsip had defaulted on the installment",
        "paragraph_id": "para_358"
      },
      {
        "text": "payments initially required, the Fund had accelerated the",
        "paragraph_id": "para_359"
      },
      {
        "text": "payment schedule to make the full amount of withdrawal",
        "paragraph_id": "para_360"
      },
      {
        "text": "liability due immediately, and over $2 million in interest had",
        "paragraph_id": "para_361"
      },
      {
        "text": "already accrued. Under a July 2021 arbitral decision, the $1.8",
        "paragraph_id": "para_362"
      },
      {
        "text": "million payment matched the full principal balance for the",
        "paragraph_id": "para_363"
      },
      {
        "text": "withdrawal liability, excluding interest. But the district court",
        "paragraph_id": "para_364"
      },
      {
        "text": "later vacated the arbitrator’s decision, and the Supreme Court",
        "paragraph_id": "para_365"
      },
      {
        "text": "ultimately upheld the court’s decision. See 146 S. Ct. at 1227–",
        "paragraph_id": "para_366"
      },
      {
        "text": "30. As a result of the vacatur, the principal amount returned to",
        "paragraph_id": "para_367"
      },
      {
        "text": "around $6.1 million pending further arbitration. On these facts,",
        "paragraph_id": "para_368"
      },
      {
        "text": "the question arises whether the $1.8 million payment, which",
        "paragraph_id": "para_369"
      },
      {
        "text": "covered neither the full principal balance of $6.1 million nor",
        "paragraph_id": "para_370"
      },
      {
        "text": "the interest already accrued, should have been credited to",
        "paragraph_id": "para_371"
      },
      {
        "text": "principal rather than interest. The Fund credited the payment",
        "paragraph_id": "para_372"
      },
      {
        "text": "to interest, the defendants challenged that decision, and the",
        "paragraph_id": "para_373"
      },
      {
        "text": "district court rejected the challenge on summary judgment. We",
        "paragraph_id": "para_374"
      },
      {
        "text": "agree with this aspect of the district court’s decision.",
        "paragraph_id": "para_375"
      },
      {
        "text": "13",
        "paragraph_id": "para_376"
      },
      {
        "text": "The common law supplies a default rule for allocating",
        "paragraph_id": "para_377",
        "court_paragraph": 13
      },
      {
        "text": "partial payments to an interest-bearing debt. Under that rule, a",
        "paragraph_id": "para_378"
      },
      {
        "text": "creditor may first allocate a partial payment to any outstanding",
        "paragraph_id": "para_379"
      },
      {
        "text": "interest. See Story v. Livingston, 38 U.S. 359, 371 (1839);",
        "paragraph_id": "para_380"
      },
      {
        "text": "Thompson v. Shepherd, 12 D.C. (1 Mackey) 385, 391 (D.C.",
        "paragraph_id": "para_381"
      },
      {
        "text": "1882). This principle, generally known as the United States",
        "paragraph_id": "para_382"
      },
      {
        "text": "Rule, “has been with us almost since the founding of our",
        "paragraph_id": "para_383"
      },
      {
        "text": "federal system.” Nat G. Harrison Overseas Corp. v. Am. Barge",
        "paragraph_id": "para_384"
      },
      {
        "text": "Sun Coaster, 475 F.2d 504, 507 (5th Cir. 1973). And it governs",
        "paragraph_id": "para_385"
      },
      {
        "text": "unless there is a “clearly expressed intention by the parties to",
        "paragraph_id": "para_386"
      },
      {
        "text": "allocate payments in some other way.” Chi. Truck Drivers v.",
        "paragraph_id": "para_387"
      },
      {
        "text": "El Paso CGP Co., 525 F.3d 591, 604 (7th Cir. 2008) (cleaned",
        "paragraph_id": "para_388"
      },
      {
        "text": "up). Absent compounding of interest, this rule effectively",
        "paragraph_id": "para_389"
      },
      {
        "text": "causes the debtor to pay more because unpaid principal",
        "paragraph_id": "para_390"
      },
      {
        "text": "continues to generate further liability for interest.",
        "paragraph_id": "para_391"
      },
      {
        "text": "The defendants object that ERISA displaces the United",
        "paragraph_id": "para_392"
      },
      {
        "text": "States Rule. They invoke three interest-related statutory",
        "paragraph_id": "para_393"
      },
      {
        "text": "provisions. One states that the district court, in an action by a",
        "paragraph_id": "para_394"
      },
      {
        "text": "pension fund for unpaid withdrawal liability, must award",
        "paragraph_id": "para_395"
      },
      {
        "text": "“interest” on the “unpaid” liability. 29 U.S.C. § 1132(g)(2)(B).",
        "paragraph_id": "para_396"
      },
      {
        "text": "Another states that, if a withdrawal-liability installment",
        "paragraph_id": "para_397"
      },
      {
        "text": "payment “is not made when due, interest on the payment shall",
        "paragraph_id": "para_398"
      },
      {
        "text": "accrue from the due date until the date on which the payment",
        "paragraph_id": "para_399"
      },
      {
        "text": "is made.” Id. § 1399(c)(3). A third states that, if an employer",
        "paragraph_id": "para_400"
      },
      {
        "text": "defaults on a required installment payment, the pension fund",
        "paragraph_id": "para_401"
      },
      {
        "text": "“may require immediate payment of the outstanding amount”",
        "paragraph_id": "para_402"
      },
      {
        "text": "of withdrawal liability, “plus accrued interest on the total",
        "paragraph_id": "para_403"
      },
      {
        "text": "outstanding liability from the due date of the first payment",
        "paragraph_id": "para_404"
      },
      {
        "text": "which was not timely made.” Id. § 1399(c)(5). We fail to see",
        "paragraph_id": "para_405"
      },
      {
        "text": "how these provisions speak at all to the question whether a",
        "paragraph_id": "para_406"
      },
      {
        "text": "partial payment should be allocated to the withdrawal liability",
        "paragraph_id": "para_407"
      },
      {
        "text": "itself rather than to interest, much less speak with the requisite",
        "paragraph_id": "para_408"
      },
      {
        "text": "clarity to overcome a longstanding, settled background",
        "paragraph_id": "para_409"
      },
      {
        "text": "common-law rule.",
        "paragraph_id": "para_410"
      },
      {
        "text": "14",
        "paragraph_id": "para_411"
      },
      {
        "text": "Alternatively, the defendants argue that the parties did",
        "paragraph_id": "para_412",
        "court_paragraph": 14
      },
      {
        "text": "clearly agree to allocate the $1.8 million payment to principal",
        "paragraph_id": "para_413"
      },
      {
        "text": "rather than interest. The defendants cite a slew of documents",
        "paragraph_id": "para_414"
      },
      {
        "text": "allegedly manifesting such an agreement, including most",
        "paragraph_id": "para_415"
      },
      {
        "text": "prominently a demand letter made by the Fund in July 2021. It",
        "paragraph_id": "para_416"
      },
      {
        "text": "states that ES Alsip’s “recalculated withdrawal liability” is just",
        "paragraph_id": "para_417"
      },
      {
        "text": "under $1.8 million, demands payment of that amount, and",
        "paragraph_id": "para_418"
      },
      {
        "text": "“reserves the right” to seek “interest.” J.A. 5837. The",
        "paragraph_id": "para_419"
      },
      {
        "text": "defendants reason that, when they paid the precise amount",
        "paragraph_id": "para_420"
      },
      {
        "text": "denominated by the Fund as withdrawal liability rather than",
        "paragraph_id": "para_421"
      },
      {
        "text": "interest, the Fund became obliged to so allocate the payment.",
        "paragraph_id": "para_422"
      },
      {
        "text": "This overreads the demand letter, which correctly stated the",
        "paragraph_id": "para_423"
      },
      {
        "text": "liability as determined by the arbitrator but which made no",
        "paragraph_id": "para_424"
      },
      {
        "text": "commitment to allocate any partial payment—whether of that",
        "paragraph_id": "para_425"
      },
      {
        "text": "precise amount or otherwise—to the principal balance.",
        "paragraph_id": "para_426"
      },
      {
        "text": "Finally, the defendants urge deference to the arbitrator’s",
        "paragraph_id": "para_427"
      },
      {
        "text": "decision to allocate the partial payment to principal. The",
        "paragraph_id": "para_428"
      },
      {
        "text": "parties dispute whether the arbitrator had jurisdiction to address",
        "paragraph_id": "para_429"
      },
      {
        "text": "this issue. We need not resolve that question. Whether the",
        "paragraph_id": "para_430"
      },
      {
        "text": "demand letter and other written documents cited by the",
        "paragraph_id": "para_431"
      },
      {
        "text": "defendants required the Fund to apply the partial payment to",
        "paragraph_id": "para_432"
      },
      {
        "text": "principal is a question of law. Pa. Ave. Dev. Corp. v. One",
        "paragraph_id": "para_433"
      },
      {
        "text": "Parcel of Land in D.C., 670 F.2d 289, 292 (D.C. Cir. 1981).",
        "paragraph_id": "para_434"
      },
      {
        "text": "And in MPPAA cases, courts review arbitrators’ legal",
        "paragraph_id": "para_435"
      },
      {
        "text": "conclusions de novo. United Mine Workers of Am. 1974",
        "paragraph_id": "para_436"
      },
      {
        "text": "Pension Plan v. Energy W. Mining Co., 39 F.4th 730, 737 (D.C.",
        "paragraph_id": "para_437"
      },
      {
        "text": "Cir. 2022). So even if the arbitrator could have decided the",
        "paragraph_id": "para_438"
      },
      {
        "text": "payment-allocation question in the first instance, the district",
        "paragraph_id": "para_439"
      },
      {
        "text": "court correctly concluded that he decided it incorrectly.",
        "paragraph_id": "para_440"
      },
      {
        "text": "For these reasons, we affirm the summary judgment with",
        "paragraph_id": "para_441"
      },
      {
        "text": "respect to allocating M&K’s $1.8 million partial payment.",
        "paragraph_id": "para_442"
      },
      {
        "text": "15",

      },
      {
        "text": "B",
        "paragraph_id": "para_444",
        "court_paragraph": 15
      },
      {
        "text": "The parties next dispute what interest rate governs the",
        "paragraph_id": "para_445"
      },
      {
        "text": "withdrawal liability of ES Alsip. The collective-bargaining",
        "paragraph_id": "para_446"
      },
      {
        "text": "agreement that it signed incorporated the Fund’s Trust",
        "paragraph_id": "para_447"
      },
      {
        "text": "Agreement, which required use of the interest rate charged by",
        "paragraph_id": "para_448"
      },
      {
        "text": "the Internal Revenue Service for delinquent taxes. In April",
        "paragraph_id": "para_449"
      },
      {
        "text": "2021, the Fund trustees amended the Trust Agreement to set",
        "paragraph_id": "para_450"
      },
      {
        "text": "the annual interest rate at 18 percent. The trustees also made",
        "paragraph_id": "para_451"
      },
      {
        "text": "the amendment retroactive to May 2014, well before when ES",
        "paragraph_id": "para_452"
      },
      {
        "text": "Alsip terminated its collective-bargaining agreement, ceased",
        "paragraph_id": "para_453"
      },
      {
        "text": "making contributions to the Fund, and incurred its withdrawal",
        "paragraph_id": "para_454"
      },
      {
        "text": "liability. The district court held that this amendment applied to",
        "paragraph_id": "para_455"
      },
      {
        "text": "ES Alsip and thus increased its liability for interest on",
        "paragraph_id": "para_456"
      },
      {
        "text": "withdrawal liability. We disagree.",
        "paragraph_id": "para_457"
      },
      {
        "text": "Collective-bargaining agreements do not create",
        "paragraph_id": "para_458"
      },
      {
        "text": "obligations that outlive the agreement unless their terms",
        "paragraph_id": "para_459"
      },
      {
        "text": "expressly indicate otherwise. See M & G Polymers USA, LLC",
        "paragraph_id": "para_460"
      },
      {
        "text": "v. Tackett, 574 U.S. 427, 441–42 (2015); Litton Fin. Printing",
        "paragraph_id": "para_461"
      },
      {
        "text": "Div., Inc. v. NLRB, 501 U.S. 190, 206–07 (1991). Instead,",
        "paragraph_id": "para_462"
      },
      {
        "text": "there is a “traditional principle that ‘contractual obligations will",
        "paragraph_id": "para_463"
      },
      {
        "text": "cease, in the ordinary course, upon termination of the",
        "paragraph_id": "para_464"
      },
      {
        "text": "bargaining agreement.’” M & G Polymers, 574 U.S. at 441–42",
        "paragraph_id": "para_465"
      },
      {
        "text": "(quoting Litton Fin., 501 U.S. at 207). So the key question is",
        "paragraph_id": "para_466"
      },
      {
        "text": "whether ES Alsip’s collective-bargaining agreement, or the",
        "paragraph_id": "para_467"
      },
      {
        "text": "incorporated Trust Agreement, expressly gave the Fund",
        "paragraph_id": "para_468"
      },
      {
        "text": "authority to impose on the company additional interest liability",
        "paragraph_id": "para_469"
      },
      {
        "text": "after the company terminated the collective-bargaining",
        "paragraph_id": "para_470"
      },
      {
        "text": "agreement. The operative provision in the Trust Agreement",
        "paragraph_id": "para_471"
      },
      {
        "text": "stated that the agreement “may be amended in any respect from",
        "paragraph_id": "para_472"
      },
      {
        "text": "time to time by the Trustees.” J.A. 1094. That provision does",
        "paragraph_id": "para_473"
      },
      {
        "text": "not expressly authorize the imposition of new liabilities after a",
        "paragraph_id": "para_474"
      },
      {
        "text": "company has terminated its collective-bargaining agreement.",
        "paragraph_id": "para_475"
      },
      {
        "text": "16",
        "paragraph_id": "para_476"
      },
      {
        "text": "The district court drew a distinction between the obligation",
        "paragraph_id": "para_477",
        "court_paragraph": 16
      },
      {
        "text": "to make pension contributions, which expired when ES Alsip",
        "paragraph_id": "para_478"
      },
      {
        "text": "terminated its collective-bargaining agreement, and the",
        "paragraph_id": "para_479"
      },
      {
        "text": "obligation to pay withdrawal liability and associated interest,",
        "paragraph_id": "para_480"
      },
      {
        "text": "which arose only at that time. 694 F. Supp. 3d at 96. We agree",
        "paragraph_id": "para_481"
      },
      {
        "text": "that the latter obligations arose and continued post-termination;",
        "paragraph_id": "para_482"
      },
      {
        "text": "MPPAA itself imposes those continuing obligations, and the",
        "paragraph_id": "para_483"
      },
      {
        "text": "Trust Agreement provisions addressed to withdrawal liability",
        "paragraph_id": "para_484"
      },
      {
        "text": "expressly incorporated MPPAA. But the interest-related",
        "paragraph_id": "para_485"
      },
      {
        "text": "obligation imposed in the Trust Agreement agreed to by ES",
        "paragraph_id": "para_486"
      },
      {
        "text": "Alsip was to pay interest on withdrawal liability “equal to the",
        "paragraph_id": "para_487"
      },
      {
        "text": "rate charged by the Internal Revenue Service for delinquent tax",
        "paragraph_id": "para_488"
      },
      {
        "text": "underpayments.” J.A. 1088. That obligation was “fixed” by",
        "paragraph_id": "para_489"
      },
      {
        "text": "contract and thus survived the termination. See Litton Fin., 501",
        "paragraph_id": "para_490"
      },
      {
        "text": "U.S. at 206. And the additional obligation to pay further",
        "paragraph_id": "para_491"
      },
      {
        "text": "interest, up to an 18-percent annual rate, constituted a new",
        "paragraph_id": "para_492"
      },
      {
        "text": "liability impermissibly imposed after the collective-bargaining",
        "paragraph_id": "para_493"
      },
      {
        "text": "agreement had expired.",
        "paragraph_id": "para_494"
      },
      {
        "text": "The Fund objects that ERISA permits it to increase interest",
        "paragraph_id": "para_495"
      },
      {
        "text": "rates regardless of any contractual relationship with ES Alsip.",
        "paragraph_id": "para_496"
      },
      {
        "text": "The statute provides that an award of interest on withdrawal",
        "paragraph_id": "para_497"
      },
      {
        "text": "liability “shall be determined by using the rate provided under",
        "paragraph_id": "para_498"
      },
      {
        "text": "the plan.” 29 U.S.C. § 1132(g)(2). But it also defines multi-",
        "paragraph_id": "para_499"
      },
      {
        "text": "employer “plans” as ones “maintained pursuant to one or more",
        "paragraph_id": "para_500"
      },
      {
        "text": "collective bargaining agreements.” Id. § 1002(37)(A)(ii). So",
        "paragraph_id": "para_501"
      },
      {
        "text": "ERISA contemplates that multi-employer pension plans reflect",
        "paragraph_id": "para_502"
      },
      {
        "text": "agreements between the parties. We therefore agree with the",
        "paragraph_id": "para_503"
      },
      {
        "text": "Second Circuit that, despite section 1132(g)(2), the employer",
        "paragraph_id": "para_504"
      },
      {
        "text": "must have agreed to the relevant plan document specifying an",
        "paragraph_id": "para_505"
      },
      {
        "text": "interest rate in order “[t]o impose a plan-provided interest rate”",
        "paragraph_id": "para_506"
      },
      {
        "text": "on its delinquent pension obligations. 32BJ N. Pension Fund",
        "paragraph_id": "para_507"
      },
      {
        "text": "v. Nutrition Mgmt. Servs. Co., 935 F.3d 93, 99 (2d Cir. 2019).",
        "paragraph_id": "para_508"
      },
      {
        "text": "Given that necessary contractual grounding, the Litton",
        "paragraph_id": "para_509"
      },
      {
        "text": "17",
        "paragraph_id": "para_510"
      },
      {
        "text": "presumption applies to disfavor the post-termination",
        "paragraph_id": "para_511",
        "court_paragraph": 17
      },
      {
        "text": "imposition of further interest obligations.",

        "text": "The trustees and the district court further object that the",

      },
      {
        "text": "Trust Agreement assented to by ES Alsip expressly authorized",
        "paragraph_id": "para_514"
      },
      {
        "text": "the trustees to make retroactive amendments to the Agreement.",
        "paragraph_id": "para_515"
      },
      {
        "text": "See 694 F. Supp. 3d at 95. This is true, but beside the point.",
        "paragraph_id": "para_516"
      },
      {
        "text": "The question here is not whether an amendment can create",
        "paragraph_id": "para_517"
      },
      {
        "text": "obligations based on earlier conduct. Rather, it is whether an",
        "paragraph_id": "para_518"
      },
      {
        "text": "amendment—retroactive or otherwise—can bind a company",
        "paragraph_id": "para_519"
      },
      {
        "text": "that is no longer a party to the Trust Agreement. And for",
        "paragraph_id": "para_520"
      },
      {
        "text": "reasons already discussed, plan or trust amendments imposing",
        "paragraph_id": "para_521"
      },
      {
        "text": "additional interest obligations cannot be applied, retroactively",
        "paragraph_id": "para_522"
      },
      {
        "text": "or prospectively, to employers that terminated their collective-",
        "paragraph_id": "para_523"
      },
      {
        "text": "bargaining agreement and withdrew from their multi-employer",
        "paragraph_id": "para_524"
      },
      {
        "text": "plan prior to the amendment. See Cent. States, Se. & Sw. Areas",
        "paragraph_id": "para_525"
      },
      {
        "text": "Pension Fund v. Midwest Motor Express, Inc., 181 F.3d 799,",
        "paragraph_id": "para_526"
      },
      {
        "text": "809–10 (7th Cir. 1999); Empire State Bus Corp. v. Loc. 854",
        "paragraph_id": "para_527"
      },
      {
        "text": "Health & Welfare Fund, No. 21-cv-10471, 2023 WL 1966210,",
        "paragraph_id": "para_528"
      },
      {
        "text": "at *7–8 (S.D.N.Y. Feb. 13, 2023).",
        "paragraph_id": "para_529"
      },
      {
        "text": "For these reasons, we reverse the grant of summary",
        "paragraph_id": "para_530"
      },
      {
        "text": "judgment to the Fund and the denial of summary judgment to",
        "paragraph_id": "para_531"
      },
      {
        "text": "the defendants on the interest-rate issue. On remand, the",
        "paragraph_id": "para_532"
      },
      {
        "text": "parties and district court should recalculate the interest and",
        "paragraph_id": "para_533"
      },
      {
        "text": "liquidated damages, which section 1132(g)(2)(C) keys to the",
        "paragraph_id": "para_534"
      },
      {
        "text": "assessed interest, using the rate in effect when ES Alsip",
        "paragraph_id": "para_535"
      },
      {
        "text": "terminated its collective-bargaining agreement.",
        "paragraph_id": "para_536"
      },
      {
        "text": "V",
        "paragraph_id": "para_537"
      },
      {
        "text": "The final set of issues concerns which entities or",
        "paragraph_id": "para_538"
      },
      {
        "text": "individuals may be held liable for the withdrawal liability. The",
        "paragraph_id": "para_539"
      },
      {
        "text": "district court determined that each Sales entity was a single",
        "paragraph_id": "para_540"
      },
      {
        "text": "employer or alter ego of its corresponding ES entity. This",
        "paragraph_id": "para_541"
      },
      {
        "text": "holding exposed each Sales entity to liability for ES Alsip’s",
        "paragraph_id": "para_542"
      },
      {
        "text": "18",
        "paragraph_id": "para_543"
      },
      {
        "text": "withdrawal liability because the court had previously held, and",
        "paragraph_id": "para_544",
        "court_paragraph": 18
      },
      {
        "text": "the defendants do not contest, that the ES entities are",
        "paragraph_id": "para_545"
      },
      {
        "text": "commonly controlled and thus jointly and severally liable for",
        "paragraph_id": "para_546"
      },
      {
        "text": "the withdrawal liability. The court held Laborforce and ESI",
        "paragraph_id": "para_547"
      },
      {
        "text": "liable as successors to several of the ES entities. Finally, the",
        "paragraph_id": "para_548"
      },
      {
        "text": "court imposed liability on the Bouchers.",
        "paragraph_id": "para_549"
      },
      {
        "text": "A",
        "paragraph_id": "para_550"
      },
      {
        "text": "The Fund contends that these issues are all moot because",
        "paragraph_id": "para_551"
      },
      {
        "text": "the judgment has been paid in full. We disagree.",
        "paragraph_id": "para_552"
      },
      {
        "text": "Mootness in this context depends on which co-defendant",
        "paragraph_id": "para_553"
      },
      {
        "text": "paid the judgment pending this appeal. A co-defendant that has",
        "paragraph_id": "para_554"
      },
      {
        "text": "paid a judgment may appeal to contest its own liability, which",
        "paragraph_id": "para_555"
      },
      {
        "text": "remains a live issue between that defendant and the plaintiff.",
        "paragraph_id": "para_556"
      },
      {
        "text": "See, e.g., In re Sealed Case, 77 F.4th 815, 829 (D.C. Cir. 2023);",
        "paragraph_id": "para_557"
      },
      {
        "text": "E.A. Renfroe & Co. v. Moran, 338 F. App’x 836, 838 n.2 (11th",
        "paragraph_id": "para_558"
      },
      {
        "text": "Cir. 2009) (per curiam) (collecting cases). On the other hand,",
        "paragraph_id": "para_559"
      },
      {
        "text": "a non-paying defendant generally cannot appeal a judgment",
        "paragraph_id": "para_560"
      },
      {
        "text": "paid in full by a co-defendant, because the payment satisfies",
        "paragraph_id": "para_561"
      },
      {
        "text": "the liability of all defendants to the plaintiff, leaving no live",
        "paragraph_id": "para_562"
      },
      {
        "text": "controversy between the appealing defendant and the plaintiff.",
        "paragraph_id": "para_563"
      },
      {
        "text": "See, e.g., United States v. Balint, 201 F.3d 928, 936 (7th Cir.",
        "paragraph_id": "para_564"
      },
      {
        "text": "2000); Ratner v. Sioux Nat. Gas Corp., 719 F.2d 801, 803 (5th",
        "paragraph_id": "para_565"
      },
      {
        "text": "Cir. 1983).",
        "paragraph_id": "para_566"
      },
      {
        "text": "In this case, the record does not clearly show mootness.",
        "paragraph_id": "para_567"
      },
      {
        "text": "The party claiming mootness bears a “heavy burden” of",
        "paragraph_id": "para_568"
      },
      {
        "text": "establishing the facts necessary to prove it. Michigan v. Long,",
        "paragraph_id": "para_569"
      },
      {
        "text": "463 U.S. 1032, 1042 n.8 (1983); Honeywell Int’l, Inc. v. NRC,",
        "paragraph_id": "para_570"
      },
      {
        "text": "628 F.3d 568, 576 (D.C. Cir. 2010). Here, the Fund failed to",
        "paragraph_id": "para_571"
      },
      {
        "text": "satisfy that burden. The judgment in this case was paid in full",
        "paragraph_id": "para_572"
      },
      {
        "text": "but, surprisingly, neither the record nor the briefs tell us which",
        "paragraph_id": "para_573"
      },
      {
        "text": "defendant paid it. And at oral argument, counsel for the",
        "paragraph_id": "para_574"
      },
      {
        "text": "defendants indicated that the Sales entities had been",
        "paragraph_id": "para_575"
      },
      {

      },
      {
        "text": "responsible for satisfying the judgment, but neither counsel",
        "paragraph_id": "para_577",
        "court_paragraph": 19
      },
      {
        "text": "was clear on the details, including whether the Sales entities",
        "paragraph_id": "para_578"
      },
      {
        "text": "actually made the payment or merely financed a payment by",
        "paragraph_id": "para_579"
      },
      {
        "text": "ES Alsip. Moreover, the district court has awarded attorney’s",
        "paragraph_id": "para_580"
      },
      {
        "text": "fees against all the defendants, including for time spent",
        "paragraph_id": "para_581"
      },
      {
        "text": "specifically working up the claims against the Bouchers. See",
        "paragraph_id": "para_582"
      },
      {
        "text": "Trs. of the IAM Nat’l Pension Fund v. M&K Emp. Sols., LLC,",
        "paragraph_id": "para_583"
      },
      {
        "text": "No. 20-cv-433, 2024 WL 4346291, at *9 (D.D.C. Sept. 30,",
        "paragraph_id": "para_584"
      },
      {
        "text": "2024). There is no indication that the fee award has been paid,",
        "paragraph_id": "para_585"
      },
      {
        "text": "and if so by whom. And the parties agreed to hold the",
        "paragraph_id": "para_586"
      },
      {
        "text": "defendants’ appeal of the fee award in abeyance because our",
        "paragraph_id": "para_587"
      },
      {
        "text": "decision here might impact either the appropriate amount of the",
        "paragraph_id": "para_588"
      },
      {
        "text": "fee award or the defendants against whom it could be entered.",
        "paragraph_id": "para_589"
      },
      {
        "text": "See Agreed Motion to Hold Case in Abeyance at 2, Trs. of the",
        "paragraph_id": "para_590"
      },
      {
        "text": "IAM Nat’l Pension Fund v. M&K Emp. Sols., LLC, No. 24-",
        "paragraph_id": "para_591"
      },
      {
        "text": "7169 (D.C. Cir. Nov. 11, 2024). Despite alleging mootness,",
        "paragraph_id": "para_592"
      },
      {
        "text": "the Fund has not addressed any of these issues regarding the",
        "paragraph_id": "para_593"
      },
      {
        "text": "significance of the live fee dispute. In sum, there remains",
        "paragraph_id": "para_594"
      },
      {
        "text": "uncertainty over which defendant paid the merits judgment,",
        "paragraph_id": "para_595"
      },
      {
        "text": "and our disposition of this appeal seems to bear on a live",
        "paragraph_id": "para_596"
      },
      {
        "text": "controversy over which defendants may be held liable for",
        "paragraph_id": "para_597"
      },
      {
        "text": "attorney’s fees and which attorney hours might be",
        "paragraph_id": "para_598"
      },
      {
        "text": "compensable. Because the Fund has not satisfied its heavy",
        "paragraph_id": "para_599"
      },
      {
        "text": "burden to prove mootness, we proceed to the merits.",
        "paragraph_id": "para_600"
      },
      {
        "text": "B",
        "paragraph_id": "para_601"
      },
      {
        "text": "Applying variants of the NLRB test for disregarding",
        "paragraph_id": "para_602"
      },
      {
        "text": "corporate separateness, the district court held that each ES",
        "paragraph_id": "para_603"
      },
      {
        "text": "entity was a single employer with its corresponding Sales entity",
        "paragraph_id": "para_604"
      },
      {
        "text": "for purposes of withdrawal liability. 694 F. Supp. 3d at 102–",
        "paragraph_id": "para_605"
      },
      {
        "text": "04. This approach might have unduly favored the defendants",
        "paragraph_id": "para_606"
      },
      {
        "text": "because Congress has established a bright-line rule that an",
        "paragraph_id": "para_607"
      },
      {
        "text": "entire control group is liable as a single employer for purposes",
        "paragraph_id": "para_608"
      },
      {
        "text": "of withdrawal liability, 29 U.S.C. § 1301(b)(1), rather than",
        "paragraph_id": "para_609"
      },
      {
        "text": "20",
        "paragraph_id": "para_610"
      },
      {
        "text": "leaving the determination of single-employer status to an open-",
        "paragraph_id": "para_611",
        "court_paragraph": 20
      },
      {
        "text": "ended, four-part test. Nonetheless, we are reluctant to engage",
        "paragraph_id": "para_612"
      },
      {
        "text": "with this issue, for reasons explained above. So again, we will",
        "paragraph_id": "para_613"
      },
      {
        "text": "assume that the NLRB test supplies the proper standard for",
        "paragraph_id": "para_614"
      },
      {
        "text": "disregarding corporate separateness based on how the parties",
        "paragraph_id": "para_615"
      },
      {
        "text": "have litigated the case.",
        "paragraph_id": "para_616"
      },
      {
        "text": "The district court correctly concluded on summary",
        "paragraph_id": "para_617"
      },
      {
        "text": "judgment that, under the NLRB standard, each ES entity was a",
        "paragraph_id": "para_618"
      },
      {
        "text": "single employer with its corresponding Sales entity. Resisting",
        "paragraph_id": "para_619"
      },
      {
        "text": "this conclusion, the defendants object that single-employer",
        "paragraph_id": "para_620"
      },
      {
        "text": "status is a fact-intensive question. Fair enough, but summary",
        "paragraph_id": "para_621"
      },
      {
        "text": "judgment was nonetheless appropriate unless there were",
        "paragraph_id": "para_622"
      },
      {
        "text": "genuine disputes of material fact—in other words, unless a trier",
        "paragraph_id": "para_623"
      },
      {
        "text": "of fact could reasonably resolve the single-employer question",
        "paragraph_id": "para_624"
      },
      {
        "text": "in the defendants’ favor. See Fed. R. Civ. P. 56(a); Anderson",
        "paragraph_id": "para_625"
      },
      {
        "text": "v. Liberty Lobby, Inc., 477 U.S. 242, 248 (1986). Here, there",
        "paragraph_id": "para_626"
      },
      {
        "text": "was overwhelming evidence that each ES entity—created for",
        "paragraph_id": "para_627"
      },
      {
        "text": "the sole purpose of supplying an affiliated Sales dealership",
        "paragraph_id": "para_628"
      },
      {
        "text": "with employees—was joined at the hip with that dealership.",
        "paragraph_id": "para_629"
      },
      {
        "text": "C",
        "paragraph_id": "para_630"
      },
      {
        "text": "The district court imposed vicarious liability on",
        "paragraph_id": "para_631"
      },
      {
        "text": "Laborforce and ESI as successors to the ES entities. 694 F.",
        "paragraph_id": "para_632"
      },
      {
        "text": "Supp. 3d at 104–06. Laborforce and ESI do not dispute the",
        "paragraph_id": "para_633"
      },
      {
        "text": "merits of that judgment. Instead, they contend that the district",
        "paragraph_id": "para_634"
      },
      {
        "text": "court lacked jurisdiction to issue it. They reason that federal-",
        "paragraph_id": "para_635"
      },
      {
        "text": "question jurisdiction under 28 U.S.C. § 1331 generally turns on",
        "paragraph_id": "para_636"
      },
      {
        "text": "whether federal law supplies the relevant cause of action, see",
        "paragraph_id": "para_637"
      },
      {
        "text": "Franchise Tax Bd. v. Constr. Laborers Vacation Tr., 463 U.S.",
        "paragraph_id": "para_638"
      },
      {
        "text": "1, 8–9 (1983), and neither MPPAA nor ERISA creates a",
        "paragraph_id": "para_639"
      },
      {
        "text": "freestanding cause of action for successor liability.",
        "paragraph_id": "para_640"
      },
      {
        "text": "Laborforce and ESI are correct that successor liability is",
        "paragraph_id": "para_641"
      },
      {
        "text": "not itself a cause of action. Instead, it is simply a means for",
        "paragraph_id": "para_642"
      },
      {

      },
      {
        "text": "extending liability from one party to a nominally different one.",
        "paragraph_id": "para_644",
        "court_paragraph": 21
      },
      {
        "text": "See, e.g., Golden State Bottling Co. v. NLRB, 414 U.S. 168,",
        "paragraph_id": "para_645"
      },
      {
        "text": "182–83 & n.5 (1973); E. Cent. Ill. Pipe Trades Health &",
        "paragraph_id": "para_646"
      },
      {
        "text": "Welfare Fund v. Prather Plumbing & Heating, Inc., 3 F.4th",
        "paragraph_id": "para_647"
      },
      {
        "text": "954, 961–62 (7th Cir. 2021). In that respect, it is akin to veil",
        "paragraph_id": "para_648"
      },
      {
        "text": "piercing, alter ego, single-employer tests, and other like",
        "paragraph_id": "para_649"
      },
      {
        "text": "doctrines for disregarding corporate separateness. And as the",
        "paragraph_id": "para_650"
      },
      {
        "text": "Supreme Court explained in Peacock v. Thomas, 516 U.S. 349",
        "paragraph_id": "para_651"
      },
      {
        "text": "(1996), “[p]iercing the corporate veil is not itself an",
        "paragraph_id": "para_652"
      },
      {
        "text": "independent ERISA cause of action, but rather is a means of",
        "paragraph_id": "para_653"
      },
      {
        "text": "imposing liability on an underlying cause of action.” Id. at 354",
        "paragraph_id": "para_654"
      },
      {
        "text": "(cleaned up); see also Prather, 3 F.4th at 960 (same).",
        "paragraph_id": "para_655"
      },
      {
        "text": "None of that imperiled the district court’s federal-question",
        "paragraph_id": "para_656"
      },
      {
        "text": "jurisdiction. Here, the causes of action were ones created by",
        "paragraph_id": "para_657"
      },
      {
        "text": "ERISA (for delinquent contributions) and MPPAA (for",
        "paragraph_id": "para_658"
      },
      {
        "text": "withdrawal liability). These causes of action arose under",
        "paragraph_id": "para_659"
      },
      {
        "text": "federal law and thus triggered section 1331 jurisdiction. And",
        "paragraph_id": "para_660"
      },
      {
        "text": "they ran against ESI and Laborforce based on a federal-",
        "paragraph_id": "para_661"
      },
      {
        "text": "common-law rule extending to successors the substantive",
        "paragraph_id": "para_662"
      },
      {
        "text": "obligations of federal law enforced through the relevant federal",
        "paragraph_id": "para_663"
      },
      {
        "text": "causes of action. Nothing more is required to establish federal-",
        "paragraph_id": "para_664"
      },
      {
        "text": "question jurisdiction. See Groden v. N&D Transp. Co., Inc.,",
        "paragraph_id": "para_665"
      },
      {
        "text": "866 F.3d 22, 30–31 (1st Cir. 2017).",
        "paragraph_id": "para_666"
      },
      {
        "text": "Laborforce and ESI err in claiming support from Peacock.",
        "paragraph_id": "para_667"
      },
      {
        "text": "There, a plaintiff won an ERISA lawsuit against his former",
        "paragraph_id": "para_668"
      },
      {
        "text": "employer. 516 U.S. at 351–52. In a later suit, the plaintiff sued",
        "paragraph_id": "para_669"
      },
      {
        "text": "one of the company’s officers under a veil-piercing theory for",
        "paragraph_id": "para_670"
      },
      {
        "text": "the same damages. Id. at 352. The Supreme Court held that",
        "paragraph_id": "para_671"
      },
      {
        "text": "the district court lacked federal-question jurisdiction in the",
        "paragraph_id": "para_672"
      },
      {
        "text": "second suit because ERISA creates no standalone claim for veil",
        "paragraph_id": "para_673"
      },
      {
        "text": "piercing or executing judgments. Id. at 353–54. The Court",
        "paragraph_id": "para_674"
      },
      {
        "text": "stressed that the plaintiff in the second suit had “alleged no",
        "paragraph_id": "para_675"
      },
      {
        "text": "‘underlying’ violation of any provision of ERISA or an ERISA",
        "paragraph_id": "para_676"
      },
      {
        "text": "22",
        "paragraph_id": "para_677"
      },
      {
        "text": "plan.” Id. at 354. Moreover, the plaintiff could not have done",
        "paragraph_id": "para_678",
        "court_paragraph": 22
      },
      {
        "text": "so, because he had unsuccessfully sued the officer on ERISA",
        "paragraph_id": "para_679"
      },
      {
        "text": "claims in the first lawsuit. See id. at 351–52. In contrast, this",
        "paragraph_id": "para_680"
      },
      {
        "text": "case does not involve an action to enforce an ERISA judgment",
        "paragraph_id": "para_681"
      },
      {
        "text": "against a new party based on claims not arising under ERISA.",
        "paragraph_id": "para_682"
      },
      {
        "text": "Instead, the Fund has invoked federal causes of action under",
        "paragraph_id": "para_683"
      },
      {
        "text": "ERISA and MPPAA, as well as a federal equitable doctrine",
        "paragraph_id": "para_684"
      },
      {
        "text": "making the claims run against Laborforce and ESI. In these",
        "paragraph_id": "para_685"
      },
      {
        "text": "circumstances, Peacock does not bar the exercise of federal-",
        "paragraph_id": "para_686"
      },
      {
        "text": "question jurisdiction. See Bd. of Trs., Sheet Metal Workers’",
        "paragraph_id": "para_687"
      },
      {
        "text": "Nat. Pension Fund v. Elite Erectors, Inc., 212 F.3d 1031, 1037",
        "paragraph_id": "para_688"
      },
      {
        "text": "(7th Cir. 2000) (“Peacock is limited … to successive",
        "paragraph_id": "para_689"
      },
      {
        "text": "litigation”); Ellis v. All Steel Constr., Inc., 389 F.3d 1031,",
        "paragraph_id": "para_690"
      },
      {
        "text": "1033–34 (10th Cir. 2004) (“it is only when an alter-ego claim",
        "paragraph_id": "para_691"
      },
      {
        "text": "is asserted in a separate judgment-enforcement proceeding that",
        "paragraph_id": "para_692"
      },
      {
        "text": "Peacock requires an independent basis for federal",
        "paragraph_id": "para_693"
      },
      {
        "text": "jurisdiction”). Instead, Peacock expressly contemplated",
        "paragraph_id": "para_694"
      },
      {
        "text": "federal-question jurisdiction over veil-piercing actions where,",
        "paragraph_id": "para_695"
      },
      {
        "text": "as here, the plaintiff “independently alleg[es] a violation of an",
        "paragraph_id": "para_696"
      },
      {
        "text": "ERISA provision or term of the plan.” 516 U.S. at 354.",
        "paragraph_id": "para_697"
      },
      {
        "text": "In any event, even if the Fund’s successor-liability",
        "paragraph_id": "para_698"
      },
      {
        "text": "arguments required a separate jurisdictional basis,",
        "paragraph_id": "para_699"
      },
      {
        "text": "supplemental jurisdiction would exist. The Fund alleges that",
        "paragraph_id": "para_700"
      },
      {
        "text": "M&K formed ESI and Laborforce to insulate various of its",
        "paragraph_id": "para_701"
      },
      {
        "text": "corporate entities from the ERISA and MPPAA liabilities at",
        "paragraph_id": "para_702"
      },
      {
        "text": "issue in this case. The task of untangling the M&K entities’",
        "paragraph_id": "para_703"
      },
      {
        "text": "corporate structure lies at the crux of the case. And the",
        "paragraph_id": "para_704"
      },
      {
        "text": "successor-liability questions arise from the same core of facts",
        "paragraph_id": "para_705"
      },
      {
        "text": "as the single-employer questions bearing on the contribution",
        "paragraph_id": "para_706"
      },
      {
        "text": "and withdrawal liabilities. So, supplemental jurisdiction would",
        "paragraph_id": "para_707"
      },
      {
        "text": "exist. See 28 U.S.C. § 1367(a); Royal Canin U. S. A., Inc. v.",
        "paragraph_id": "para_708"
      },
      {
        "text": "Wullschleger, 604 U.S. 22, 31 (2025).",
        "paragraph_id": "para_709"
      },
      {
        "text": "23",
        "paragraph_id": "para_710"
      },
      {
        "text": "D",
        "paragraph_id": "para_711",
        "court_paragraph": 23
      },
      {
        "text": "The district court held that Chad and Jodi Boucher, who",
        "paragraph_id": "para_712"
      },
      {
        "text": "owned ES Alsip when that company incurred the withdrawal",
        "paragraph_id": "para_713"
      },
      {
        "text": "liability, were personally liable for it. 694 F. Supp. 3d at 106–",
        "paragraph_id": "para_714"
      },
      {
        "text": "09. The court applied the single-employer provision of",
        "paragraph_id": "para_715"
      },
      {
        "text": "MPPAA, which provides that “all employees of trades or",
        "paragraph_id": "para_716"
      },
      {
        "text": "businesses (whether or not incorporated) which are under",
        "paragraph_id": "para_717"
      },
      {
        "text": "common control shall be treated as employed by a single",
        "paragraph_id": "para_718"
      },
      {
        "text": "employer and all such trades and businesses as a single",
        "paragraph_id": "para_719"
      },
      {
        "text": "employer.” 29 U.S.C. § 1301(b)(1). On summary judgment,",
        "paragraph_id": "para_720"
      },
      {
        "text": "the district court held that the Bouchers’ house-flipping",
        "paragraph_id": "para_721"
      },
      {
        "text": "operation was a trade or business under common control with",
        "paragraph_id": "para_722"
      },
      {
        "text": "ES Alsip. The parties dispute whether the house-flipping",

        "text": "operation constituted a trade or business under section",
        "paragraph_id": "para_724"
      },
      {
        "text": "1301(b)(1) and, if it did, whether the operation had wound",
        "paragraph_id": "para_725"
      },
      {
        "text": "down before withdrawal liability attached.",
        "paragraph_id": "para_726"
      },
      {
        "text": "The Fund argues that the Bouchers forfeited these",
        "paragraph_id": "para_727"
      },
      {
        "text": "arguments by failing to arbitrate them. We disagree. MPPAA",
        "paragraph_id": "para_728"
      },
      {
        "text": "requires an “employer” to arbitrate “[a]ny dispute” regarding a",
        "paragraph_id": "para_729"
      },
      {
        "text": "fund’s assessment of withdrawal liability. 29 U.S.C. § 1401(a).",
        "paragraph_id": "para_730"
      },
      {
        "text": "The Fund neither assessed withdrawal liability nor made any",
        "paragraph_id": "para_731"
      },
      {
        "text": "claim against the Bouchers until it filed an amended complaint",
        "paragraph_id": "para_732"
      },
      {
        "text": "adding them as defendants. Before that, there was no “dispute”",
        "paragraph_id": "para_733"
      },
      {
        "text": "for the Bouchers to arbitrate. See Cent. States, Se. & Sw. Areas",
        "paragraph_id": "para_734"
      },
      {
        "text": "Pension Fund v. Slotky, 956 F.2d 1369, 1373 (7th Cir. 1992).",
        "paragraph_id": "para_735"
      },
      {
        "text": "Moreover, the question whether a party is an “employer” is a",
        "paragraph_id": "para_736"
      },
      {
        "text": "threshold legal one that courts may determine before requiring",
        "paragraph_id": "para_737"
      },
      {
        "text": "arbitration. See RTI Restoration Techs., Inc. v. Int’l Painters",
        "paragraph_id": "para_738"
      },
      {
        "text": "& Allied Trades Indus. Pension Fund, 169 F.4th 140, 150 (3d",
        "paragraph_id": "para_739"
      },
      {
        "text": "Cir. 2026); N.Y. State Teamsters Conf. Pension & Ret. Fund v.",
        "paragraph_id": "para_740"
      },
      {
        "text": "Express Servs., Inc., 426 F.3d 640, 645 (2d Cir. 2005). For",
        "paragraph_id": "para_741"
      },
      {
        "text": "both reasons, there was no forfeiture.",
        "paragraph_id": "para_742"
      },
      {

        "paragraph_id": "para_743"
      },
      {
        "text": "On the merits, we conclude that there are genuinely",
        "paragraph_id": "para_744",
        "court_paragraph": 24
      },
      {
        "text": "disputed factual questions regarding the Bouchers’ house-",
        "paragraph_id": "para_745"
      },
      {
        "text": "flipping operation. As to their liability, we thus affirm the",
        "paragraph_id": "para_746"
      },
      {
        "text": "denial of summary judgment to the Bouchers and reverse the",
        "paragraph_id": "para_747"
      },
      {
        "text": "grant of summary judgment to the Fund.",
        "paragraph_id": "para_748"
      },
      {
        "text": "An operation constitutes a trade or business if (1) the",
        "paragraph_id": "para_749"
      },
      {
        "text": "primary purpose for engaging in the activity is income or profit",
        "paragraph_id": "para_750"
      },
      {
        "text": "and (2) a person is involved in the activity with “continuity and",
        "paragraph_id": "para_751"
      },
      {
        "text": "regularity.” Connors v. Incoal, Inc., 995 F.2d 245, 250–51 &",
        "paragraph_id": "para_752"
      },
      {
        "text": "n.7 (D.C. Cir. 1993). In contrast, a sporadic activity, hobby, or",
        "paragraph_id": "para_753"
      },
      {
        "text": "“amusement diversion” does not qualify. Id. at 250. Relevant",
        "paragraph_id": "para_754"
      },
      {
        "text": "factors for determining whether some activity is a trade or",
        "paragraph_id": "para_755"
      },
      {
        "text": "business include whether the parties engage in the activity for",
        "paragraph_id": "para_756"
      },
      {
        "text": "several consecutive years and how they treat the activity on",
        "paragraph_id": "para_757"
      },
      {
        "text": "their tax returns. Id. at 253–54. The alleged “trade or business”",
        "paragraph_id": "para_758"
      },
      {
        "text": "need not be incorporated, nor must it share an “economic",
        "paragraph_id": "para_759"
      },
      {
        "text": "nexus” with the activities of the entity that incurred withdrawal",
        "paragraph_id": "para_760"
      },
      {
        "text": "liability. Id. at 249, 254.",
        "paragraph_id": "para_761"
      },
      {
        "text": "The record shows the following about the Bouchers’",
        "paragraph_id": "para_762"
      },
      {
        "text": "house-flipping activity. In the two to three years before ES",
        "paragraph_id": "para_763"
      },
      {
        "text": "Alsip incurred its withdrawal liability, the Bouchers bought",
        "paragraph_id": "para_764"
      },
      {
        "text": "three houses, renovated them, sold them at a profit, and used",
        "paragraph_id": "para_765"
      },
      {
        "text": "the proceeds to buy and renovate another house. At this time,",
        "paragraph_id": "para_766"
      },
      {
        "text": "Jodi Boucher had recently retired; the Bouchers assert that she",
        "paragraph_id": "para_767"
      },
      {
        "text": "engaged in house-flipping as a hobby and that they never relied",
        "paragraph_id": "para_768"
      },
      {
        "text": "on it for income. The record is sparse on details about how",
        "paragraph_id": "para_769"
      },
      {
        "text": "long she spent working on these houses. On their tax returns,",
        "paragraph_id": "para_770"
      },
      {
        "text": "the Bouchers neither treated the sales as business gains nor",
        "paragraph_id": "para_771"
      },
      {
        "text": "sought to deduct their costs as business expenses. Moreover,",
        "paragraph_id": "para_772"
      },
      {
        "text": "Jodi had no office, separate phone line, or other property",
        "paragraph_id": "para_773"
      },
      {
        "text": "dedicated to house-flipping. The Bouchers paid $105,000 for",
        "paragraph_id": "para_774"
      },
      {
        "text": "the fourth house but, three days before ES Alsip withdrew from",
        "paragraph_id": "para_775"
      },
      {
        "text": "the Fund, sold it to another ES entity for $1. Three months",
        "paragraph_id": "para_776"
      },
      {
        "text": "25",
        "paragraph_id": "para_777"
      },
      {
        "text": "later, that entity resold the house for $192,000. Five months",
        "paragraph_id": "para_778",
        "court_paragraph": 25
      },
      {
        "text": "after that, the Bouchers organized a house-flipping LLC, which",
        "paragraph_id": "para_779"
      },
      {
        "text": "then sold five more houses at a profit over the next three years.",
        "paragraph_id": "para_780"
      },
      {
        "text": "On these facts, we think a trier of fact could reasonably",
        "paragraph_id": "para_781"
      },
      {
        "text": "come out either way on whether the Bouchers were engaged in",
        "paragraph_id": "para_782"
      },
      {
        "text": "a trade or business before the withdrawal liability was incurred.",
        "paragraph_id": "para_783"
      },
      {
        "text": "As to primary purpose, the Bouchers acknowledge that they",
        "paragraph_id": "para_784"
      },
      {
        "text": "hoped and expected to profit from their house flipping, but",
        "paragraph_id": "para_785"
      },
      {
        "text": "other evidence indicates that their primary (not sole) purpose",
        "paragraph_id": "para_786"
      },
      {
        "text": "may have been hobby or amusement. Moreover, four sales",
        "paragraph_id": "para_787"
      },
      {
        "text": "over two years do not strike us as obviously continuous and",
        "paragraph_id": "para_788"
      },
      {
        "text": "regular, and it is substantially less than the seven or eight years",
        "paragraph_id": "para_789"
      },
      {
        "text": "of regular sales at issue in Connors. See 995 F.2d at 250 n.7,",
        "paragraph_id": "para_790"
      },
      {
        "text": "253.",
        "paragraph_id": "para_791"
      },
      {
        "text": "Likewise, a trier of fact could reasonably come out either",
        "paragraph_id": "para_792"
      },
      {
        "text": "way on whether the Bouchers had discontinued any house-",
        "paragraph_id": "para_793"
      },
      {
        "text": "flipping business prior to ES Alsip’s withdrawal. One",
        "paragraph_id": "para_794"
      },
      {
        "text": "reasonable inference is that the Bouchers, after a sale",
        "paragraph_id": "para_795"
      },
      {
        "text": "suspiciously close to the withdrawal date for a suspiciously",
        "paragraph_id": "para_796"
      },
      {
        "text": "small $1 amount, continued their house-flipping business",
        "paragraph_id": "para_797"
      },
      {
        "text": "through the ES entities and, later, through a separate LLC",
        "paragraph_id": "para_798"
      },
      {
        "text": "established to shield themselves from liability. On the other",
        "paragraph_id": "para_799"
      },
      {
        "text": "hand, because control-group liability “is determined as of the",
        "paragraph_id": "para_800"
      },
      {
        "text": "date of the withdrawal,” later-created entities cannot be part of",
        "paragraph_id": "para_801"
      },
      {
        "text": "that group. Cent. States Se. & Sw. Areas Pension Fund v.",
        "paragraph_id": "para_802"
      },
      {
        "text": "Messina Prods., LLC, 706 F.3d 874, 886 (7th Cir. 2013); see",
        "paragraph_id": "para_803"
      },
      {
        "text": "also Teamsters Pension Tr. Fund of Phila. & Vicinity v. Cent.",
        "paragraph_id": "para_804"
      },
      {
        "text": "Mich. Trucking, Inc., 857 F.2d 1107, 1109 (6th Cir. 1988). The",
        "paragraph_id": "para_805"
      },
      {
        "text": "Fund has not argued that we should disregard the Bouchers’",
        "paragraph_id": "para_806"
      },
      {
        "text": "post-withdrawal transactions as ones designed to evade",
        "paragraph_id": "para_807"
      },
      {
        "text": "liability. See 29 U.S.C. § 1392(c). And looking solely at what",
        "paragraph_id": "para_808"
      },
      {
        "text": "the Bouchers did in their personal, non-LLC capacities, a trier",
        "paragraph_id": "para_809"
      },
      {
        "text": "of fact could reasonably conclude that they ceased their own",
        "paragraph_id": "para_810"
      },
      {
        "text": "26",
        "paragraph_id": "para_811"
      },
      {
        "text": "house-flipping business in December 2018 and then",
        "paragraph_id": "para_812",
        "court_paragraph": 26
      },
      {
        "text": "established a separate LLC some eight or nine months later.",
        "paragraph_id": "para_813"
      },
      {
        "text": "* * * *",
        "paragraph_id": "para_814"
      },
      {
        "text": "We affirm in part, reverse in part, and remand for further",
        "paragraph_id": "para_815"
      },
      {
        "text": "proceedings consistent with this opinion.",

      },
