        "text": "housing crisis, the Congress established the Federal Housing",
        "paragraph_id": "para_58"

        "text": "Finance Agency (FHFA or Agency) and authorized its Director",
        "paragraph_id": "para_59"
      },
      {
        "text": "to place into conservatorship the Federal National Mortgage",
        "paragraph_id": "para_60"
      },
      {
        "text": "Association (Fannie) and the Federal Home Loan Mortgage",
        "paragraph_id": "para_61"
      },
      {
        "text": "Corporation (Freddie). After doing so, the Director entered into",
        "paragraph_id": "para_62"
      },
      {
        "text": "a stock purchase agreement with the United States Department",
        "paragraph_id": "para_63"
      },
      {
        "text": "of the Treasury to make capital available to the companies. In",

      },

        "text": "exchange, Fannie and Freddie would pay the Treasury a quar-",
        "paragraph_id": "para_65"
      },

        "text": "terly dividend at a fixed rate based upon the funds drawn from",
        "paragraph_id": "para_66"
      },
      {
        "text": "the Treasury.",
        "paragraph_id": "para_67"
      },
      {
        "text": "In 2012 the FHFA and the Treasury abandoned the fixed-",
        "paragraph_id": "para_68"
      },
      {
        "text": "rate dividend and instead required the companies to pay the",
        "paragraph_id": "para_69"
      },
      {
        "text": "Treasury a quarterly dividend equal to the amount by which",
        "paragraph_id": "para_70"
      },
      {
        "text": "their net worth exceeded their capital reserve. On the day the",
        "paragraph_id": "para_71"
      },
      {
        "text": "FHFA announced this arrangement, known as the “Net Worth",
        "paragraph_id": "para_72"
      },
      {
        "text": "Sweep,” the value of Fannie and Freddie shares dropped pre-",
        "paragraph_id": "para_73"
      },
      {
        "text": "cipitously. In the years that followed, the companies paid the",
        "paragraph_id": "para_74"
      },
      {
        "text": "Treasury significantly more money than they would have under",
        "paragraph_id": "para_75"
      },
      {
        "text": "the fixed-rate dividend formula. Perhaps least surprising,",
        "paragraph_id": "para_76"
      },
      {
        "text": "shareholders of Fannie and Freddie sued the FHFA, Fannie,",
        "paragraph_id": "para_77"
      },
      {
        "text": "and Freddie (the Defendants) for damages.",
        "paragraph_id": "para_78"
      },
      {
        "text": "After a decade of litigation, one claim made its way to trial:",
        "paragraph_id": "para_79"
      },
      {
        "text": "By adopting the Net Worth Sweep, the FHFA, as conservator",
        "paragraph_id": "para_80"
      },
      {
        "text": "of Fannie and Freddie, violated the covenant of good faith and",
        "paragraph_id": "para_81"
      },
      {
        "text": "fair dealing implicit in its contract with shareholders. A jury",
        "paragraph_id": "para_82"
      },
      {
        "text": "agreed, and the district court entered a final judgment of $812",
        "paragraph_id": "para_83"
      },
      {
        "text": "million including prejudgment interest.",
        "paragraph_id": "para_84"
      },
      {
        "text": "On appeal, the FHFA argues the implied covenant claim",
        "paragraph_id": "para_85"
      },
      {
        "text": "was unavailable as a matter of law, the Plaintiffs failed to prove",
        "paragraph_id": "para_86"
      },
      {
        "text": "they were harmed by the Net Worth Sweep, and certain",
        "paragraph_id": "para_87"
      },
      {
        "text": "Plaintiffs lack standing to bring their claims. One group of",
        "paragraph_id": "para_88"
      },
      {

      },
      {
        "text": "Plaintiffs cross-appealed, asserting that the district court should",
        "paragraph_id": "para_90",
        "court_paragraph": 5
      },
      {
        "text": "have allowed them to seek restitution or reliance damages in",
        "paragraph_id": "para_91"
      },
      {
        "text": "the amount of $48 billion. Because these arguments lack merit,",
        "paragraph_id": "para_92"
      },
      {
        "text": "we affirm the judgment of the district court.",
        "paragraph_id": "para_93"
      },
      {
        "text": "I. Background",
        "paragraph_id": "para_94"
      },
      {
        "text": "We fully recounted the background events giving rise to",
        "paragraph_id": "para_95"
      },
      {
        "text": "this litigation in Perry Capital LLC v. Mnuchin, 864 F.3d 591",
        "paragraph_id": "para_96"
      },
      {
        "text": "(2017). We restate here only the information relevant to this",
        "paragraph_id": "para_97"
      },
      {
        "text": "appeal.",
        "paragraph_id": "para_98"
      },
      {
        "text": "A. The Housing and Economic Recovery Act",
        "paragraph_id": "para_99"
      },
      {
        "text": "Fannie and Freddie are government-sponsored entities the",
        "paragraph_id": "para_100"
      },
      {
        "text": "shares of which have been publicly traded since 1968 and 1989,",
        "paragraph_id": "para_101"
      },
      {
        "text": "respectively. During the 2008 housing crisis, the Congress",
        "paragraph_id": "para_102"
      },
      {
        "text": "“concluded that resuscitating Fannie Mae and Freddie Mac was",
        "paragraph_id": "para_103"
      },
      {
        "text": "vital for the Nation’s economic health.” Id. at 598. In order to",
        "paragraph_id": "para_104"
      },
      {
        "text": "prevent the companies from defaulting, the Congress enacted",
        "paragraph_id": "para_105"
      },
      {
        "text": "the Housing and Economic Recovery Act of 2008, Pub. L. No.",
        "paragraph_id": "para_106"
      },
      {
        "text": "110-289, 122 Stat. 2654, which created the FHFA and author-",
        "paragraph_id": "para_107"
      },
      {
        "text": "ized its Director to appoint the FHFA as their conservator. See",
        "paragraph_id": "para_108"
      },
      {
        "text": "Collins v. Yellen, 594 U.S. 220, 226-27 (2021) (citing 12",
        "paragraph_id": "para_109"
      },
      {
        "text": "U.S.C. §§ 4511, 4617).",
        "paragraph_id": "para_110"
      },
      {
        "text": "The Recovery Act “invests [the] FHFA as conservator",
        "paragraph_id": "para_111"
      },
      {
        "text": "with broad authority and discretion over the operation of”",
        "paragraph_id": "para_112"
      },
      {
        "text": "Fannie and Freddie. Perry, 864 F.3d at 600. Two provisions of",
        "paragraph_id": "para_113"
      },
      {
        "text": "the Act are central to this appeal:",
        "paragraph_id": "para_114"
      },
      {
        "text": "6",
        "paragraph_id": "para_115"
      },
      {
        "text": "• The “Best Interests” Provision, 12 U.S.C.",
        "paragraph_id": "para_116",
        "court_paragraph": 6
      },
      {
        "text": "§ 4617(b)(2)(J)(ii), authorizes the FHFA as",
        "paragraph_id": "para_117"
      },
      {
        "text": "conservator to “take any action authorized",
        "paragraph_id": "para_118"
      },
      {
        "text": "by this section, which the Agency deter-",
        "paragraph_id": "para_119"
      },
      {
        "text": "mines is in the best interests of the regulated",
        "paragraph_id": "para_120"
      },
      {
        "text": "entity or [of] the Agency.”",
        "paragraph_id": "para_121"
      },
      {
        "text": "Therefore, “when the FHFA acts as a",
        "paragraph_id": "para_122"
      },
      {
        "text": "conservator, it may aim to rehabilitate the",
        "paragraph_id": "para_123"
      },
      {
        "text": "regulated entity in a way that, while not in",
        "paragraph_id": "para_124"
      },
      {
        "text": "the best interests of the regulated entity, is",
        "paragraph_id": "para_125"
      },
      {
        "text": "beneficial to the Agency and, by extension,",
        "paragraph_id": "para_126"
      },
      {
        "text": "the public it serves.” Collins, 594 U.S. at",
        "paragraph_id": "para_127"
      },
      {
        "text": "238.",
        "paragraph_id": "para_128"
      },
      {
        "text": "• The Bar to Judicial Review, 12 U.S.C.",
        "paragraph_id": "para_129"
      },
      {
        "text": "§ 4617(f), provides that, with exceptions not",
        "paragraph_id": "para_130"
      },
      {
        "text": "here relevant, “no court may take any action",
        "paragraph_id": "para_131"
      },
      {
        "text": "to restrain or affect the exercise of powers",
        "paragraph_id": "para_132"
      },
      {
        "text": "or functions of the Agency as a",
        "paragraph_id": "para_133"
      },
      {
        "text": "conservator.”",
        "paragraph_id": "para_134"
      },
      {
        "text": "The Recovery Act also temporarily authorized the",
        "paragraph_id": "para_135"
      },
      {
        "text": "Treasury to purchase shares of Fannie and Freddie “if it",
        "paragraph_id": "para_136"
      },
      {
        "text": "determined that infusing the companies with capital would",
        "paragraph_id": "para_137"
      },
      {
        "text": "protect taxpayers and be beneficial to the financial and",
        "paragraph_id": "para_138"
      },
      {
        "text": "mortgage markets.” Collins, 594 U.S. at 229; see §§ 1455(l)(1),",
        "paragraph_id": "para_139"
      },
      {
        "text": "(4), 1719(g)(1), (4). Because the companies are federally char-",
        "paragraph_id": "para_140"
      },
      {
        "text": "tered, the provisions of the Recovery Act are incorporated in",
        "paragraph_id": "para_141"
      },
      {
        "text": "the contracts between the companies and their shareholders.",
        "paragraph_id": "para_142"
      },
      {
        "text": "See Fairholme Funds, Inc. v. FHFA (MTD Opinion), Nos. 13-",
        "paragraph_id": "para_143"
      },
      {
        "text": "cv-1053, 1439, 2018 WL 4680197, at *8-9 (D.D.C. Sept. 28,",
        "paragraph_id": "para_144"
      },
      {
        "text": "2018) (“[A]n investor’s contract with [a] corporation includes",
        "paragraph_id": "para_145"
      },
      {
        "text": "not only documents such as the stock certificate, certificate of",
        "paragraph_id": "para_146"
      },
      {
        "text": "designations, the corporate charter, and bylaws, but also the",
        "paragraph_id": "para_147"
      },
      {
        "text": "7",
        "paragraph_id": "para_148"
      },
      {
        "text": "corporate law under which the corporation is formed and",
        "paragraph_id": "para_149",
        "court_paragraph": 7
      },
      {
        "text": "regulated”).",
        "paragraph_id": "para_150"
      },
      {
        "text": "B. The Net Worth Sweep",
        "paragraph_id": "para_151"
      },
      {
        "text": "In September 2008 the Director of the FHFA placed",
        "paragraph_id": "para_152"
      },
      {
        "text": "Fannie and Freddie into conservatorship and entered into",
        "paragraph_id": "para_153"
      },
      {
        "text": "Senior Preferred Stock Purchase Agreements (PSPAs) with the",
        "paragraph_id": "para_154"
      },
      {
        "text": "United States Department of the Treasury, which agreed to",
        "paragraph_id": "para_155"
      },
      {
        "text": "make $100 billion available to Fannie and Freddie in exchange",
        "paragraph_id": "para_156"
      },
      {
        "text": "for one million preferred shares in each company. As relevant",
        "paragraph_id": "para_157"
      },
      {
        "text": "here, the Treasury was also entitled to receive (1) “a dollar-for-",
        "paragraph_id": "para_158"
      },
      {
        "text": "dollar increase in [its] liquidation preference each time Fannie",
        "paragraph_id": "para_159"
      },
      {
        "text": "and Freddie drew upon Treasury’s funding commitment,” and",
        "paragraph_id": "para_160"
      },
      {
        "text": "(2) a quarterly dividend “at a rate of 10% of Treasury’s",
        "paragraph_id": "para_161"
      },
      {
        "text": "liquidation preference or a commitment to increase the",
        "paragraph_id": "para_162"
      },
      {
        "text": "liquidation preference by 12%.” Perry, 864 F.3d at 601. Fannie",
        "paragraph_id": "para_163"
      },
      {
        "text": "and Freddie could not pay dividends to their shareholders with-",
        "paragraph_id": "para_164"
      },
      {
        "text": "out the consent of the Treasury.",
        "paragraph_id": "para_165"
      },
      {
        "text": "As Fannie and Freddie continued to incur losses, the",
        "paragraph_id": "para_166"
      },
      {
        "text": "FHFA and the Treasury twice amended the PSPAs to increase",
        "paragraph_id": "para_167"
      },
      {
        "text": "the capital available to Fannie and Freddie. When Fannie and",
        "paragraph_id": "para_168"
      },
      {
        "text": "Freddie drew upon this capital, however, it increased the",
        "paragraph_id": "para_169"
      },
      {
        "text": "Treasury’s liquidation preference which, in turn, increased the",
        "paragraph_id": "para_170"
      },
      {
        "text": "dividend owed to the Treasury. This resulted in “the circular",
        "paragraph_id": "para_171"
      },
      {
        "text": "practice of [Fannie and Freddie] drawing funds from",
        "paragraph_id": "para_172"
      },
      {
        "text": "Treasury’s capital commitment just to hand those funds back",
        "paragraph_id": "para_173"
      },
      {
        "text": "as a quarterly dividend.” Collins, 594 U.S. at 233.",
        "paragraph_id": "para_174"
      },
      {
        "text": "On August 17, 2012 the FHFA and the Treasury amended",
        "paragraph_id": "para_175"
      },
      {
        "text": "the PSPAs for a third time to “ensure[] that Fannie Mae and",
        "paragraph_id": "para_176"
      },
      {
        "text": "Freddie Mac would never again draw money from Treasury",
        "paragraph_id": "para_177"
      },
      {
        "text": "just to make their quarterly dividend payments.” Id. at 234. The",
        "paragraph_id": "para_178"
      },
      {
        "text": "Third Amendment replaced the 10% dividend with a dividend",
        "paragraph_id": "para_179"
      },
      {
        "text": "8",

      },
      {
        "text": "based upon Fannie’s and Freddie’s net worth. If either com-",
        "paragraph_id": "para_181",
        "court_paragraph": 8
      },
      {
        "text": "pany’s net worth at the end of a quarter exceeded its capital",
        "paragraph_id": "para_182"
      },
      {
        "text": "reserve, then the company would pay the surplus to the",
        "paragraph_id": "para_183"
      },
      {
        "text": "Treasury. If the company’s net worth did not exceed the reserve",
        "paragraph_id": "para_184"
      },
      {
        "text": "or if the company lost money during the quarter, then it was not",
        "paragraph_id": "para_185"
      },
      {
        "text": "required to pay any dividend to the Treasury. See id. This new",
        "paragraph_id": "para_186"
      },
      {
        "text": "arrangement, known as the Net Worth Sweep, “meant that the",
        "paragraph_id": "para_187"
      },
      {
        "text": "companies would not be able to accrue capital in good",
        "paragraph_id": "para_188"
      },
      {
        "text": "quarters,” id., and that shareholders would never receive any",
        "paragraph_id": "para_189"
      },
      {
        "text": "dividends. “In simple terms, the Third Amendment require[d]",
        "paragraph_id": "para_190"
      },
      {
        "text": "Fannie and Freddie to pay quarterly to Treasury a dividend",
        "paragraph_id": "para_191"
      },
      {
        "text": "equal to their net worth — however much or little that might",
        "paragraph_id": "para_192"
      },
      {
        "text": "be.” Perry, 864 F.3d at 602.",
        "paragraph_id": "para_193"
      },
      {
        "text": "The Third Amendment also required Fannie and Freddie",
        "paragraph_id": "para_194"
      },
      {
        "text": "to accelerate the reduction of their retained mortgage portfo-",
        "paragraph_id": "para_195"
      },
      {
        "text": "lios. Before the Third Amendment, Fannie and Freddie were",
        "paragraph_id": "para_196"
      },
      {
        "text": "already required to reduce their portfolios at a rate of 10%",
        "paragraph_id": "para_197"
      },
      {
        "text": "annually, capped at $250 billion per company. The Third",
        "paragraph_id": "para_198"
      },
      {
        "text": "Amendment increased the reduction rate to 15% annually while",
        "paragraph_id": "para_199"
      },
      {
        "text": "retaining the $250 billion cap.",
        "paragraph_id": "para_200"
      },
      {
        "text": "On the day the Net Worth Sweep was announced in 2012,",
        "paragraph_id": "para_201"
      },
      {
        "text": "the value of Fannie and Freddie common and junior preferred",
        "paragraph_id": "para_202"
      },
      {
        "text": "shares decreased by approximately $1.6 billion.* In 2013",
        "paragraph_id": "para_203"
      },
      {
        "text": "Fannie and Freddie paid the Treasury $130 billion in dividends",
        "paragraph_id": "para_204"
      },
      {
        "text": "under the Net Worth Sweep. If the 10% dividend had been in",
        "paragraph_id": "para_205"
      },
      {
        "text": "effect, then the companies would have owed the Treasury only",
        "paragraph_id": "para_206"
      },
      {
        "text": "$19 billion. By the end of 2022 the companies had paid $151.2",
        "paragraph_id": "para_207"
      },
      {
        "text": "* Both Fannie and Freddie have issued several classes of preferred",
        "paragraph_id": "para_208"
      },
      {
        "text": "shares that are junior to the preferred shares issued to the Treasury.",
        "paragraph_id": "para_209"
      },
      {

        "text": "Treasury “a priority right above all other stockholders, whether",

        "text": "entities were dissolved”).",

      },
      {

        "text": "paid under the fixed-rate dividend. Although the companies no",

      },
      {
        "text": "longer pay a cash dividend to the Treasury, all their profits are",
        "paragraph_id": "para_217"
      },
      {
        "text": "added to the Treasury’s liquidation preference.",
        "paragraph_id": "para_218"
      },
      {
        "text": "C. Procedural History",
        "paragraph_id": "para_219"
      },
      {
        "text": "In 2013 two lawsuits were filed challenging the Net Worth",
        "paragraph_id": "para_220"
      },
      {
        "text": "Sweep: (1) a class action brought by holders of Freddie com-",
        "paragraph_id": "para_221"
      },
      {
        "text": "mon shares and of Fannie and Freddie junior preferred shares,",
        "paragraph_id": "para_222"
      },
      {
        "text": "and (2) an individual action brought by holders of Fannie and",
        "paragraph_id": "para_223"
      },
      {
        "text": "Freddie junior preferred shares (the “Berkley Plaintiffs”). The",
        "paragraph_id": "para_224"
      },
      {
        "text": "lawsuits alleged violations of the Administrative Procedure Act",
        "paragraph_id": "para_225"
      },
      {
        "text": "and of the Takings Clause of the Fifth Amendment to the",
        "paragraph_id": "para_226"
      },
      {
        "text": "Constitution of the United States as well as various contract",
        "paragraph_id": "para_227"
      },

        "text": "The district court dismissed the complaints for failure to",

        "text": "state a claim. We affirmed that decision in most respects, but",
        "paragraph_id": "para_230"
      },
      {
        "text": "we remanded for further consideration of some of the",
        "paragraph_id": "para_231"
      },
      {
        "text": "Plaintiffs’ contract claims. See id. at 633-34.",
        "paragraph_id": "para_232"
      },
      {
        "text": "On remand, the district court dismissed all claims except",
        "paragraph_id": "para_233"
      },
      {
        "text": "the implied covenant claim with respect to the shareholders’",
        "paragraph_id": "para_234"
      },
      {
        "text": "right to receive dividends. MTD Opinion, 2018 WL 4680197,",
        "paragraph_id": "para_235"
      },
      {
        "text": "at *7-14. The district court denied the FHFA’s motion for",
        "paragraph_id": "para_236"
      },
      {
        "text": "reconsideration, which argued that the implied covenant claim",
        "paragraph_id": "para_237"
      },
      {
        "text": "was effectively a non-cognizable claim for anticipatory breach.",
        "paragraph_id": "para_238"
      },
      {
        "text": "Consistent with the parties’ later stipulation, the district",
        "paragraph_id": "para_239"
      },
      {
        "text": "court certified three classes of plaintiffs consisting of:",
        "paragraph_id": "para_240"
      },
      {
        "text": "(1) holders of “junior preferred stock in Fannie,” (2) holders of",
        "paragraph_id": "para_241"
      },
      {
        "text": "“junior preferred stock in Freddie,” and (3) holders of",
        "paragraph_id": "para_242"
      },
      {
        "text": "“common stock in Freddie.” Each class included the",
        "paragraph_id": "para_243"
      },
      {
        "text": "shareholders “as of the date of certification, or their successors",
        "paragraph_id": "para_244"
      },
      {

      },
      {
        "text": "in interest to the extent shares are sold after the date of certifi-",
        "paragraph_id": "para_246",
        "court_paragraph": 10
      },
      {
        "text": "cation and before any final judgment or settlement.”",
        "paragraph_id": "para_247"
      },
      {
        "text": "In October 2022 the district court granted in part and",
        "paragraph_id": "para_248"
      },
      {
        "text": "denied in part the FHFA’s motion for summary judgment.",
        "paragraph_id": "para_249"
      },
      {
        "text": "Summary Judgment Opinion, 2022 WL 4745970. The district",
        "paragraph_id": "para_250"
      },
      {
        "text": "court rejected the FHFA’s arguments that the implied covenant",
        "paragraph_id": "para_251"
      },
      {
        "text": "claim was foreclosed by the Supreme Court’s decision in",
        "paragraph_id": "para_252"
      },
      {
        "text": "Collins v. Yellen and that the implied covenant did not apply",
        "paragraph_id": "para_253"
      },
      {
        "text": "because the Recovery Act left no gaps in the shareholder agree-",
        "paragraph_id": "para_254"
      },
      {
        "text": "ments. Id. at *5-7. The court held, however, that the Plaintiffs",
        "paragraph_id": "para_255"
      },
      {
        "text": "could not seek damages based upon their “lost-dividends",
        "paragraph_id": "para_256"
      },
      {
        "text": "theory” — that “the Third Amendment [had] deprived",
        "paragraph_id": "para_257"
      },
      {
        "text": "plaintiffs of dividends that they would have eventually",
        "paragraph_id": "para_258"
      },
      {
        "text": "received.” Id. at *9-10. The court also held the Plaintiffs could",
        "paragraph_id": "para_259"
      },
      {
        "text": "not seek restitution of what they had paid for their shares. Id. at",
        "paragraph_id": "para_260"
      },
      {
        "text": "*11-12. The parties therefore proceeded to trial on the implied",
        "paragraph_id": "para_261"
      },
      {
        "text": "covenant claim with the Plaintiffs seeking damages based upon",
        "paragraph_id": "para_262"
      },
      {
        "text": "their “lost-value theory” — that “the Third Amendment, by",
        "paragraph_id": "para_263"
      },
      {
        "text": "eliminating any possibility of future dividends for [the",
        "paragraph_id": "para_264"
      },
      {
        "text": "Plaintiffs], deprived [their] shares of much of their value, even",
        "paragraph_id": "para_265"
      },
      {
        "text": "if such dividends were not reasonably certain to occur in the",
        "paragraph_id": "para_266"
      },
      {
        "text": "foreseeable future.” Id. at 11. The Plaintiffs pointed to the $1.6",
        "paragraph_id": "para_267"
      },
      {
        "text": "billion drop in the value of Fannie and Freddie shares on the",
        "paragraph_id": "para_268"
      },
      {
        "text": "date the Net Worth Sweep was announced as the measure of",
        "paragraph_id": "para_269"
      },
      {
        "text": "harm.",
        "paragraph_id": "para_270"
      },
      {
        "text": "Before trial the Plaintiffs filed a motion to amend their pre-",
        "paragraph_id": "para_271"
      },
      {
        "text": "trial statement by adding a request for reliance damages. The",
        "paragraph_id": "para_272"
      },
      {
        "text": "district court denied that motion. See Pretrial Amend. Opinion",
        "paragraph_id": "para_273"
      },
      {
        "text": "I, 2022 WL 11110548, at *3-4 (D.D.C. Oct. 19, 2022).",
        "paragraph_id": "para_274"
      },
      {
        "text": "The first jury trial took place in the Fall of 2022 and ended",
        "paragraph_id": "para_275"
      },
      {
        "text": "in a hung jury. The Berkley Plaintiffs filed a motion before the",
        "paragraph_id": "para_276"
      },
      {
        "text": "second trial again seeking to present evidence on reliance dam-",
        "paragraph_id": "para_277"
      },
      {
        "text": "11",
        "paragraph_id": "para_278"
      },
      {
        "text": "ages, which the district court denied. See Pretrial Amend.",
        "paragraph_id": "para_279",
        "court_paragraph": 11
      },
      {
        "text": "Opinion II, 2023 WL 3790739, at *5-6 (D.D.C. June 2, 2023).",
        "paragraph_id": "para_280"
      },
      {
        "text": "The second trial took place in the Summer of 2023; the",
        "paragraph_id": "para_281"
      },
      {
        "text": "jury found the FHFA had violated the implied covenant of good",
        "paragraph_id": "para_282"
      },
      {
        "text": "faith and fair dealing with respect to all Plaintiffs. The jury",
        "paragraph_id": "para_283"
      },
      {
        "text": "awarded the Plaintiffs a total of $612.4 million, and the district",
        "paragraph_id": "para_284"
      },
      {
        "text": "court entered a final judgment of $812 million after adding pre-",
        "paragraph_id": "para_285"
      },
      {
        "text": "judgment interest. The district court then rejected the FHFA’s",
        "paragraph_id": "para_286"
      },
      {
        "text": "Rule 50(b) motion for judgment as a matter of law. See Rule",
        "paragraph_id": "para_287"
      },
      {
        "text": "50(b) Opinion, 2025 WL 823938 (D.D.C. Mar. 14, 2025).",
        "paragraph_id": "para_288"
      },
      {
        "text": "II. Analysis",
        "paragraph_id": "para_289"
      },
      {
        "text": "We have jurisdiction under 28 U.S.C. § 1291. We review",
        "paragraph_id": "para_290"
      },
      {
        "text": "de novo the district court’s conclusions on the motion to dis-",
        "paragraph_id": "para_291"
      },
      {
        "text": "miss, the motion for summary judgment, and the motion for",
        "paragraph_id": "para_292"
      },
      {
        "text": "judgment as a matter of law. See Vasquez v. District of",
        "paragraph_id": "para_293"
      },
      {
        "text": "Columbia, 110 F.4th 282, 287, 290 (D.C. Cir. 2024); Liff v. Off.",
        "paragraph_id": "para_294"
      },
      {
        "text": "of Inspector Gen. for U.S. Dep’t of Lab., 881 F.3d 912, 918",
        "paragraph_id": "para_295"
      },
      {
        "text": "(D.C. Cir. 2018). When reviewing the district court’s conclu-",
        "paragraph_id": "para_296"
      },
      {
        "text": "sions on the motion for judgment as a matter of law, however,",
        "paragraph_id": "para_297"
      },
      {
        "text": "“we apply to the jury’s decision the same forgiving standard as",
        "paragraph_id": "para_298"
      },
      {
        "text": "did the district court.” Vasquez, 110 F.4th at 290. “Judgment as",
        "paragraph_id": "para_299"
      },
      {
        "text": "a matter of law is appropriate only if the evidence and all",
        "paragraph_id": "para_300"
      },
      {
        "text": "reasonable inferences that can be drawn therefrom are so one-",
        "paragraph_id": "para_301"
      },
      {
        "text": "sided that reasonable men and women could not have reached",
        "paragraph_id": "para_302"
      },
      {
        "text": "a verdict in plaintiff’s favor.” Id. (cleaned up). As for the",
        "paragraph_id": "para_303"
      },
      {
        "text": "district court’s denial of the Berkley Plaintiffs’ motions to",
        "paragraph_id": "para_304"
      },
      {
        "text": "amend their pretrial statement, we review the court’s legal con-",
        "paragraph_id": "para_305"
      },
      {
        "text": "clusions de novo and its trial-management decisions for abuse",
        "paragraph_id": "para_306"
      },
      {
        "text": "of discretion. See Bauer v. FDIC, 38 F.4th 1114, 1121 (D.C.",
        "paragraph_id": "para_307"
      },
      {
        "text": "Cir. 2022); Teneyck v. Omni Shoreham Hotel, 365 F.3d 1139,",
        "paragraph_id": "para_308"
      },
      {
        "text": "1155-56 (D.C. Cir. 2004).",
        "paragraph_id": "para_309"
      },
      {

      },
      {
        "text": "The parties agree that Delaware law applies to claims",
        "paragraph_id": "para_311",
        "court_paragraph": 12
      },
      {
        "text": "regarding Fannie and Virginia law applies to claims regarding",
        "paragraph_id": "para_312"
      },
      {
        "text": "Freddie. Perry, 864 F.3d at 626 n.24.",
        "paragraph_id": "para_313"
      },
      {
        "text": "A. The Implied Covenant of Good Faith and Fair Dealing",
        "paragraph_id": "para_314"
      },
      {
        "text": "The implied covenant of good faith and fair dealing applies",
        "paragraph_id": "para_315"
      },
      {
        "text": "“when the party asserting the implied covenant proves that the",
        "paragraph_id": "para_316"
      },
      {
        "text": "other party has acted arbitrarily or unreasonably, thereby",
        "paragraph_id": "para_317"
      },
      {
        "text": "frustrating the fruits of the bargain that the asserting party",
        "paragraph_id": "para_318"
      },
      {
        "text": "reasonably expected . . . . at the time of contracting.” Nemec v.",
        "paragraph_id": "para_319"
      },
      {
        "text": "Shrader, 991 A.2d 1120, 1126 (Del. 2010); see Drummond",
        "paragraph_id": "para_320"
      },
      {
        "text": "Coal Sales, Inc. v. Norfolk S. Ry. Co., 3 F.4th 605, 611 (4th Cir.",
        "paragraph_id": "para_321"
      },
      {
        "text": "2021). The jury found the FHFA’s adoption of the Net Worth",
        "paragraph_id": "para_322"
      },
      {
        "text": "Sweep violated this implied covenant.",
        "paragraph_id": "para_323"
      },
      {
        "text": "The FHFA does not challenge the sufficiency of the evi-",
        "paragraph_id": "para_324"
      },
      {
        "text": "dence with respect to the parties’ reasonable expectations.",
        "paragraph_id": "para_325"
      },
      {
        "text": "Instead, it argues the implied covenant claim fails as a matter",
        "paragraph_id": "para_326"
      },
      {
        "text": "of law for three reasons. First, Supreme Court precedent",
        "paragraph_id": "para_327"
      },
      {
        "text": "forecloses the implied covenant claim. Second, the implied",
        "paragraph_id": "para_328"
      },
      {
        "text": "covenant cannot apply to the shareholder agreements because",
        "paragraph_id": "para_329"
      },
      {
        "text": "those agreements leave no gap for the implied covenant to fill.",
        "paragraph_id": "para_330"
      },
      {
        "text": "Third, the implied covenant claim is really a non-cognizable",
        "paragraph_id": "para_331"
      },
      {
        "text": "claim for anticipatory breach.",
        "paragraph_id": "para_332"
      },
      {
        "text": "1. Collins v. Yellen",
        "paragraph_id": "para_333"
      },
      {
        "text": "The FHFA’s opening argument is that the Supreme",
        "paragraph_id": "para_334"
      },
      {
        "text": "Court’s decision in Collins v. Yellen forecloses the Plaintiffs’",
        "paragraph_id": "para_335"
      },
      {
        "text": "implied covenant claim. That decision rested upon 12 U.S.C.",
        "paragraph_id": "para_336"
      },
      {
        "text": "§ 4617(f): “Except as provided in this section . . . no court may",
        "paragraph_id": "para_337"
      },
      {
        "text": "take any action to restrain or affect the exercise of powers or",
        "paragraph_id": "para_338"
      },
      {
        "text": "functions of the Agency as a conservator or a receiver.” First,",
        "paragraph_id": "para_339"
      },
      {
        "text": "relying upon the Court’s holding that § 4617(f) protects the",
        "paragraph_id": "para_340"
      },
      {

      },
      {
        "text": "FHFA’s business decisions from judicial review, Collins,",
        "paragraph_id": "para_342",
        "court_paragraph": 13
      },
      {
        "text": "594 U.S. at 254, the FHFA reasons that the jury could not",
        "paragraph_id": "para_343"
      },
      {
        "text": "second-guess the Net Worth Sweep because it was a “core",
        "paragraph_id": "para_344"
      },
      {
        "text": "exercise” of the FHFA’s “broad” powers under the Recovery",
        "paragraph_id": "para_345"
      },
      {
        "text": "Act. Second, because Collins held the FHFA “could have",
        "paragraph_id": "para_346"
      },
      {
        "text": "reasonably concluded” that the Net Worth Sweep was in the",
        "paragraph_id": "para_347"
      },
      {
        "text": "public’s interest, id. at 239, the FHFA says “Collins squarely",
        "paragraph_id": "para_348"
      },
      {
        "text": "rejected the central element of Plaintiffs’ implied covenant",
        "paragraph_id": "para_349"
      },
      {
        "text": "claim — that FHFA acted ‘arbitrarily or unreasonably’ in",
        "paragraph_id": "para_350"
      },
      {
        "text": "agreeing to the Net Worth Sweep.”",
        "paragraph_id": "para_351"
      },
      {
        "text": "The Plaintiffs respond that the FHFA overreads Collins. In",
        "paragraph_id": "para_352"
      },
      {
        "text": "their view, Collins simply involved a claim under the APA",
        "paragraph_id": "para_353"
      },
      {
        "text": "about the scope of the FHFA’s authority; it said nothing about",
        "paragraph_id": "para_354"
      },
      {
        "text": "how § 4617(f) would apply to a claim for contract damages or",
        "paragraph_id": "para_355"
      },
      {
        "text": "whether the Net Worth Sweep was consistent with the reason-",
        "paragraph_id": "para_356"
      },
      {
        "text": "able expectations of the parties.† We agree with the Plaintiffs",
        "paragraph_id": "para_357"
      },
      {
        "text": "that Collins did not foreclose the implied covenant claim in this",
        "paragraph_id": "para_358"
      },
      {
        "text": "case.",
        "paragraph_id": "para_359"
      },
      {
        "text": "We begin with our pre-Collins decision in Perry. There we",
        "paragraph_id": "para_360"
      },
      {
        "text": "held that § 4617(f) barred the Plaintiffs’ claims that the",
        "paragraph_id": "para_361"
      },
      {
        "text": "FHFA’s adoption of the Third Amendment violated the",
        "paragraph_id": "para_362"
      },
      {
        "text": "Recovery Act and the APA, among other claims. 864 F.3d at",
        "paragraph_id": "para_363"
      },
      {
        "text": "604-16. In response to our dissenting colleague’s concern that",
        "paragraph_id": "para_364"
      },
      {

        "text": "Perry. Wrong. The district court addressed the FHFA’s Collins",
        "paragraph_id": "para_367"
      },
      {
        "text": "argument and the Supreme Court’s discussion of § 4617(f) in its",
        "paragraph_id": "para_368"
      },
      {
        "text": "summary judgment opinion, 2022 WL 4745970, at *5-6; the FHFA",
        "paragraph_id": "para_369"
      },
      {
        "text": "then renewed this argument in its Rule 50(a) motion “for",
        "paragraph_id": "para_370"
      },
      {
        "text": "preservation purposes”; and the district court declined to reconsider",
        "paragraph_id": "para_371"
      },
      {
        "text": "its holding when denying the FHFA’s Rule 50(b) motion, explaining",
        "paragraph_id": "para_372"
      },
      {
        "text": "that “[i]f Defendants wish to re-open this purely legal challenge, they",
        "paragraph_id": "para_373"
      },
      {
        "text": "must do so with the D.C. Circuit,” 2025 WL 823938, at *7. Just so.",
        "paragraph_id": "para_374"
      },
      {

      },
      {
        "text": "our decision would “foreclose[] any opportunity for",
        "paragraph_id": "para_376",
        "court_paragraph": 14
      },
      {
        "text": "meaningful judicial review of FHFA’s actions,” id. at 642",
        "paragraph_id": "para_377"
      },
      {
        "text": "(Brown, J.), we pointed out that § 4617(f) “only limits judicial",
        "paragraph_id": "para_378"
      },
      {
        "text": "remedies (banning injunctive, declaratory, and other equitable",
        "paragraph_id": "para_379"
      },
      {
        "text": "relief) after a court determines that the actions taken fall within",
        "paragraph_id": "para_380"
      },
      {
        "text": "the scope of [the FHFA’s] statutory authority.” Id. at 613-14.",
        "paragraph_id": "para_381"
      },
      {
        "text": "We did not interpret the Recovery Act to preclude “judicial",
        "paragraph_id": "para_382"
      },
      {
        "text": "review through cognizable actions for damages like breach of",
        "paragraph_id": "para_383"
      },
      {
        "text": "contract.” Id. at 614.",
        "paragraph_id": "para_384"
      },
      {
        "text": "We also rejected the FHFA’s argument that the Recovery",
        "paragraph_id": "para_385"
      },
      {
        "text": "Act preempted state laws imposing an implied covenant of",
        "paragraph_id": "para_386"
      },
      {
        "text": "good faith and fair dealing. Id. at 630. We noted that the Act",
        "paragraph_id": "para_387"
      },
      {
        "text": "authorized the FHFA to “disaffirm or repudiate any contract”",
        "paragraph_id": "para_388"
      },
      {
        "text": "executed by Fannie and Freddie before the conservatorship",
        "paragraph_id": "para_389"
      },
      {
        "text": "“which the conservator determines to be burdensome within a",
        "paragraph_id": "para_390"
      },
      {
        "text": "reasonable period following the agency’s appointment as",
        "paragraph_id": "para_391"
      },
      {
        "text": "conservator.” Id. (cleaned up). “That the Recovery Act permits",
        "paragraph_id": "para_392"
      },
      {
        "text": "the FHFA in some circumstances to repudiate contracts,” we",
        "paragraph_id": "para_393"
      },
      {
        "text": "explained, “indicates that the Companies’ contractual obliga-",
        "paragraph_id": "para_394"
      },
      {
        "text": "tions otherwise remain in force.” Id. We therefore remanded",
        "paragraph_id": "para_395"
      },
      {
        "text": "the implied covenant claim, “insofar as it seeks damages,” to",
        "paragraph_id": "para_396"
      },
      {
        "text": "the district court for further proceedings. Id. at 631.",
        "paragraph_id": "para_397"
      },
      {
        "text": "Our pre-Collins decision therefore recognized that the",
        "paragraph_id": "para_398"
      },
      {
        "text": "Recovery Act leaves room for an implied covenant claim for",
        "paragraph_id": "para_399"
      },
      {
        "text": "damages against the FHFA as conservator. See also Jacobs v.",
        "paragraph_id": "para_400"
      },
      {
        "text": "FHFA, 908 F.3d 884, 895 (3d Cir. 2018) (citing an “appropriate",
        "paragraph_id": "para_401"
      },
      {
        "text": "damages claim” for breach of contract as the type of claim",
        "paragraph_id": "para_402"
      },
      {
        "text": "courts may allow to proceed against the FHFA).",
        "paragraph_id": "para_403"
      },
      {
        "text": "This brings us to Collins. As relevant here, a group of",
        "paragraph_id": "para_404"
      },
      {
        "text": "shareholders alleged the FHFA’s adoption of the Net Worth",
        "paragraph_id": "para_405"
      },
      {
        "text": "Sweep exceeded its authority under the Recovery Act because",
        "paragraph_id": "para_406"
      },
      {
        "text": "the Sweep “did not actually serve the best interests of the",
        "paragraph_id": "para_407"
      },
      {
        "text": "15",
        "paragraph_id": "para_408"
      },
      {
        "text": "FHFA or the public.” 539 U.S. at 239-40. At the outset, the",
        "paragraph_id": "para_409",
        "court_paragraph": 15
      },
      {
        "text": "Court explained that § 4617(f), which it referred to as the “anti-",
        "paragraph_id": "para_410"
      },
      {
        "text": "injunction clause,” applies “only where the FHFA exercised its",
        "paragraph_id": "para_411"
      },
      {
        "text": "powers or functions as a conservator or a receiver.” Id. at 237",
        "paragraph_id": "para_412"
      },
      {
        "text": "(cleaned up). The Court then considered whether the FHFA had",
        "paragraph_id": "para_413"
      },
      {
        "text": "done so and concluded that it had. Given Fannie’s and",
        "paragraph_id": "para_414"
      },
      {
        "text": "Freddie’s repeated inability to make their dividend payments",
        "paragraph_id": "para_415"
      },
      {
        "text": "without drawing on the Treasury’s capital commitment, the",
        "paragraph_id": "para_416"
      },
      {
        "text": "FHFA “could have reasonably concluded that [the Net Worth",
        "paragraph_id": "para_417"
      },
      {
        "text": "Sweep] was in the best interests of members of the public,” id.",
        "paragraph_id": "para_418"
      },
      {
        "text": "at 239; hence the Agency acted within its authority under",
        "paragraph_id": "para_419"
      },
      {
        "text": "§ 4617(b)(2)(J)(ii), and § 4617(f) barred the shareholders’",
        "paragraph_id": "para_420"
      },
      {
        "text": "statutory claim, id. at 242.",
        "paragraph_id": "para_421"
      },
      {
        "text": "As we said, the FHFA reads Collins as foreclosing the",
        "paragraph_id": "para_422"
      },
      {
        "text": "implied covenant claim in this case. Insofar as Perry supports",
        "paragraph_id": "para_423"
      },
      {
        "text": "a different result, the FHFA says Collins “eliminated” that part",
        "paragraph_id": "para_424"
      },
      {
        "text": "of Perry. We disagree.",
        "paragraph_id": "para_425"
      },
      {
        "text": "As the Plaintiffs note, in Collins the Court never consid-",
        "paragraph_id": "para_426"
      },
      {
        "text": "ered how § 4617(f) would apply to a contract claim for",
        "paragraph_id": "para_427"
      },
      {
        "text": "damages; that case involved a statutory claim for declaratory",
        "paragraph_id": "para_428"
      },
      {
        "text": "and injunctive relief. See 594 U.S. at 227. In the Court’s own",
        "paragraph_id": "para_429"
      },
      {
        "text": "words, it “conclude[d] only that under the terms of the",
        "paragraph_id": "para_430"
      },
      {
        "text": "Recovery Act, the FHFA did not exceed its authority as a",
        "paragraph_id": "para_431"
      },
      {
        "text": "conservator, and therefore the anti-injunction clause bars the",
        "paragraph_id": "para_432"
      },
      {
        "text": "shareholders’ statutory claim.” Id. at 242. The Court’s later",
        "paragraph_id": "para_433"
      },
      {
        "text": "statement that the FHFA’s “business decisions are protected",
        "paragraph_id": "para_434"
      },
      {
        "text": "from judicial review,” id. at 254, must therefore be read in the",
        "paragraph_id": "para_435"
      },
      {

        "text": "Nor did Collins address whether the Net Worth Sweep was",
        "paragraph_id": "para_442",
        "court_paragraph": 16

      {
        "text": "reasonable based upon the expectations of the parties. When",
        "paragraph_id": "para_443"
      },
      {
        "text": "the Court held that “the FHFA could have reasonably",
        "paragraph_id": "para_444"
      },
      {
        "text": "concluded” the Net Worth Sweep was in the public interest, id.",
        "paragraph_id": "para_445"
      },
      {
        "text": "at 239, it was considering whether the Sweep was within the",
        "paragraph_id": "para_446"
      },
      {
        "text": "scope of the FHFA’s statutory authority to act in the public",
        "paragraph_id": "para_447"
      },
      {
        "text": "interest. Answering that question “involve[d] a different type",
        "paragraph_id": "para_448"
      },
      {
        "text": "of reasonableness analysis” than the one implicated here by the",
        "paragraph_id": "para_449"
      },
      {
        "text": "implied covenant claim. Summary Judgment Opinion,",
        "paragraph_id": "para_450"
      },
      {
        "text": "2022 WL 4745970, at *5. As the district court correctly",
        "paragraph_id": "para_451"
      },
      {
        "text": "explained in denying the Defendants’ motion for summary",
        "paragraph_id": "para_452"
      },
      {
        "text": "judgment:",
        "paragraph_id": "para_453"
      },
      {
        "text": "Collins does not resolve the issue here, because",
        "paragraph_id": "para_454"
      },
      {
        "text": "although reasonableness factors into both",
        "paragraph_id": "para_455"
      },
      {
        "text": "analyses, it is reasonableness with respect to",
        "paragraph_id": "para_456"
      },
      {
        "text": "different matters. At issue in Collins was",
        "paragraph_id": "para_457"
      },
      {
        "text": "whether FHFA could reasonably have deter-",
        "paragraph_id": "para_458"
      },
      {
        "text": "mined that adopting the Third Amendment was",
        "paragraph_id": "para_459"
      },
      {
        "text": "in the best interests of the regulated entity or",
        "paragraph_id": "para_460"
      },
      {
        "text": "[of] the Agency and thus acted within its",
        "paragraph_id": "para_461"
      },
      {
        "text": "statutory authority as conservator of [Fannie",
        "paragraph_id": "para_462"
      },
      {
        "text": "and Freddie] in so doing. Here, in contrast, the",
        "paragraph_id": "para_463"
      },
      {
        "text": "issue is whether FHFA violated the reasonable",
        "paragraph_id": "para_464"
      },
      {
        "text": "expectations of the parties by adopting the",
        "paragraph_id": "para_465"
      },
      {
        "text": "Third Amendment.",
        "paragraph_id": "para_466"
      },
      {
        "text": "Id. (cleaned up).",
        "paragraph_id": "para_467"
      },
      {
        "text": "The FHFA offers two responses to the district court’s dis-",
        "paragraph_id": "para_468"
      },
      {
        "text": "tinction. First it invokes the similarities between the arguments",
        "paragraph_id": "para_469"
      },
      {
        "text": "raised by the Collins plaintiffs and those raised by the Plaintiffs",
        "paragraph_id": "para_470"
      },
      {
        "text": "here. Doing so again overlooks that the underlying questions",
        "paragraph_id": "para_471"
      },
      {
        "text": "differ. Even if the arguments overlap, the question whether the",
        "paragraph_id": "para_472"
      },
      {
        "text": "FHFA acted within its statutory authority is not coextensive",
        "paragraph_id": "para_473"
      },
      {

        "paragraph_id": "para_474"
      },
      {
        "text": "with the question whether it acted in accordance with the share-",
        "paragraph_id": "para_475",
        "court_paragraph": 17
      },
      {
        "text": "holders’ reasonable expectations. For example, the FHFA",
        "paragraph_id": "para_476"
      },
      {
        "text": "determined the Net Worth Sweep would benefit the public, but",
        "paragraph_id": "para_477"
      },
      {
        "text": "the jury also heard testimony that such a step was",
        "paragraph_id": "para_478"
      },
      {
        "text": "“unprecedented.” The Plaintiffs also introduced evidence that",
        "paragraph_id": "para_479"
      },
      {
        "text": "two weeks before the Net Worth Sweep was announced, the",
        "paragraph_id": "para_480"
      },
      {
        "text": "Treasury and the FHFA had received a report showing that",
        "paragraph_id": "para_481"
      },
      {
        "text": "Fannie and Freddie had generated profits exceeding the 10%",
        "paragraph_id": "para_482"
      },
      {
        "text": "dividend owed to the Treasury in the most recent quarter.",
        "paragraph_id": "para_483"
      },
      {
        "text": "Despite this indication that the companies might be returning",
        "paragraph_id": "para_484"
      },
      {
        "text": "to longer-term profitability, the Treasury and the FHFA",
        "paragraph_id": "para_485"
      },
      {
        "text": "responded by making a “renewed push” to implement the Net",
        "paragraph_id": "para_486"
      },
      {
        "text": "Worth Sweep. The jury therefore could conclude the Net Worth",
        "paragraph_id": "para_487"
      },
      {
        "text": "Sweep was not consistent with the reasonable expectations of",
        "paragraph_id": "para_488"
      },
      {
        "text": "the parties, regardless whether it was consistent with the",
        "paragraph_id": "para_489"
      },
      {
        "text": "FHFA’s authority under the Recovery Act.",
        "paragraph_id": "para_490"
      },
      {
        "text": "The FHFA next argues that the scope of the FHFA’s",
        "paragraph_id": "para_491"
      },
      {
        "text": "statutory authority necessarily affects the expectations of the",
        "paragraph_id": "para_492"
      },
      {
        "text": "shareholders. Fair enough. Recall that the Recovery Act",
        "paragraph_id": "para_493"
      },
      {
        "text": "authorized the FHFA to act “in the best interests of the",
        "paragraph_id": "para_494"
      },
      {
        "text": "regulated entity or [of] the Agency,” § 4617(b)(2)(J)(ii), and",
        "paragraph_id": "para_495"
      },
      {
        "text": "the shareholder agreements incorporate this provision. From",
        "paragraph_id": "para_496"
      },
      {
        "text": "this, the FHFA reasons that the shareholders should have rea-",
        "paragraph_id": "para_497"
      },
      {
        "text": "sonably expected it to “act in the public interest without regard",
        "paragraph_id": "para_498"
      },
      {
        "text": "for whether doing so [was] in shareholders’ interests.”",
        "paragraph_id": "para_499"
      },
      {
        "text": "We agree the FHFA’s authority under the Recovery Act",
        "paragraph_id": "para_500"
      },
      {
        "text": "may inform the parties’ reasonable expectations, but that does",
        "paragraph_id": "para_501"
      },
      {
        "text": "not require a different outcome here. In Perry we specifically",
        "paragraph_id": "para_502"
      },
      {
        "text": "instructed the district court on remand to consider whether “the",
        "paragraph_id": "para_503"
      },
      {
        "text": "enactment of the Recovery Act and the FHFA’s appointment",
        "paragraph_id": "para_504"
      },
      {
        "text": "as conservator affected these expectations.” 864 F.3d at 631.",
        "paragraph_id": "para_505"
      },
      {
        "text": "At trial, the district court duly informed the jury that the",
        "paragraph_id": "para_506"
      },
      {
        "text": "Recovery Act “amends or informs the shareholder contracts,”",
        "paragraph_id": "para_507"
      },
      {
        "text": "18",
        "paragraph_id": "para_508"
      },
      {
        "text": "so the jury could consider the terms of the Act when assessing",
        "paragraph_id": "para_509",
        "court_paragraph": 18
      },
      {
        "text": "the reasonable expectations of the shareholders. It also",
        "paragraph_id": "para_510"
      },
      {
        "text": "informed the jury that, under the Recovery Act, the FHFA was",
        "paragraph_id": "para_511"
      },
      {
        "text": "authorized to act in the best interests of Fannie and Freddie or",
        "paragraph_id": "para_512"
      },
      {
        "text": "of itself and hence the public. The district court then explained",
        "paragraph_id": "para_513"
      },
      {
        "text": "that the FHFA could “still have violated the implied covenant",
        "paragraph_id": "para_514"
      },
      {
        "text": "of good faith and fair dealing if it exercised that authority in a",
        "paragraph_id": "para_515"
      },
      {
        "text": "way that arbitrarily or unreasonably violated plaintiffs’",
        "paragraph_id": "para_516"
      },
      {
        "text": "reasonable expectations under the contract” as amended by",
        "paragraph_id": "para_517"
      },
      {
        "text": "incorporation of the Act. The jury was thus allowed to consider",
        "paragraph_id": "para_518"
      },
      {
        "text": "the extent to which the Recovery Act informed the parties’ rea-",
        "paragraph_id": "para_519"
      },
      {
        "text": "sonable expectations, but it was not required to reject the claim",
        "paragraph_id": "para_520"
      },
      {
        "text": "based upon the FHFA’s statutory authority. That instruction",
        "paragraph_id": "para_521"
      },
      {
        "text": "was consistent with Perry, and nothing in Collins suggests a",
        "paragraph_id": "para_522"
      },
      {
        "text": "contrary result.",
        "paragraph_id": "para_523"
      },
      {
        "text": "Finally, we do not view this outcome as incompatible with",
        "paragraph_id": "para_524"
      },
      {
        "text": "the outcome in Collins. It is easy to understand how granting",
        "paragraph_id": "para_525"
      },
      {
        "text": "the statutory claim in Collins would have “restrain[ed] or",
        "paragraph_id": "para_526"
      },
      {
        "text": "affect[ed]” the FHFA’s exercise of its authority. § 4617(f).",
        "paragraph_id": "para_527"
      },
      {
        "text": "Holding that the FHFA lacked the authority to implement the",
        "paragraph_id": "para_528"
      },
      {
        "text": "Net Worth Sweep would have forced the Agency to abandon",
        "paragraph_id": "para_529"
      },
      {
        "text": "the Sweep and would have prevented it from implementing a",
        "paragraph_id": "para_530"
      },
      {
        "text": "future sweep. Awarding damages, on the other hand, does not",
        "paragraph_id": "para_531"
      },
      {
        "text": "require the FHFA to undo any action, nor does it restrain the",
        "paragraph_id": "para_532"
      },
      {
        "text": "FHFA from implementing a future sweep. After all, an implied",
        "paragraph_id": "para_533"
      },
      {
        "text": "covenant claim is based upon the reasonable expectations of",
        "paragraph_id": "para_534"
      },
      {
        "text": "the parties at the time of contracting. Nemec, 991 A.2d at 1126.",
        "paragraph_id": "para_535"
      },
      {
        "text": "Here the Plaintiffs introduced undisputed evidence that the Net",
        "paragraph_id": "para_536"
      },
      {
        "text": "Worth Sweep was “unprecedented” and therefore could not",
        "paragraph_id": "para_537"
      },
      {
        "text": "reasonably have been expected. If, however, the FHFA were",
        "paragraph_id": "para_538"
      },
      {
        "text": "now to sell new shares and afterwards implement a new sweep,",
        "paragraph_id": "para_539"
      },
      {
        "text": "then a future shareholder could no longer argue the sweep was",
        "paragraph_id": "para_540"
      },
      {
        "text": "unprecedented; the FHFA having demonstrated that it views",
        "paragraph_id": "para_541"
      },
      {
        "text": "19",
        "paragraph_id": "para_542"
      },
      {
        "text": "the Net Worth Sweep as a reasonable option would have",
        "paragraph_id": "para_543",
        "court_paragraph": 19
      },
      {
        "text": "informed that future shareholder’s expectations.",
        "paragraph_id": "para_544"
      },
      {
        "text": "In sum, Collins did not abrogate our holding in Perry that",
        "paragraph_id": "para_545"
      },
      {
        "text": "the Recovery Act does not bar “judicial review through cog-",
        "paragraph_id": "para_546"
      },
      {
        "text": "nizable actions for damages like breach of contract.” 864 F.3d",
        "paragraph_id": "para_547"
      },
      {
        "text": "at 614. We therefore reject the FHFA’s argument that Collins",
        "paragraph_id": "para_548"
      },
      {
        "text": "foreclosed the implied covenant claim as a matter of law.",
        "paragraph_id": "para_549"
      },
      {
        "text": "2. “Gap” in the shareholder agreements",
        "paragraph_id": "para_550"
      },
      {
        "text": "The FHFA next argues the implied covenant does not",
        "paragraph_id": "para_551"
      },
      {
        "text": "apply because the shareholder contracts “specify the scope of",
        "paragraph_id": "para_552"
      },
      {
        "text": "FHFA’s contractual discretion.” Under Delaware and Virginia",
        "paragraph_id": "para_553"
      },
      {
        "text": "law, a party “generally cannot base a claim for breach of the",
        "paragraph_id": "para_554"
      },
      {
        "text": "implied covenant on conduct authorized by the terms of the",
        "paragraph_id": "para_555"
      },
      {
        "text": "agreement.” Dunlap v. State Farm Fire & Cas. Co., 878 A.2d",
        "paragraph_id": "para_556"
      },
      {
        "text": "434, 441 (Del. 2005); see Ward’s Equip., Inc. v. New Holland",
        "paragraph_id": "para_557"
      },
      {
        "text": "N. Am., Inc., 493 S.E.2d 516, 520 (Va. 1997). As the FHFA",
        "paragraph_id": "para_558"
      },
      {
        "text": "puts it, the implied covenant cannot apply when there is no",
        "paragraph_id": "para_559"
      },
      {
        "text": "“gap” in the contract for it to fill. There is no gap here, says the",
        "paragraph_id": "para_560"
      },
      {
        "text": "FHFA, because the Recovery Act provides that the FHFA may",
        "paragraph_id": "para_561"
      },
      {
        "text": "act “in the best interests of the regulated entity or [of] the",
        "paragraph_id": "para_562"
      },
      {
        "text": "Agency.” § 4617(b)(2)(J)(ii). According to the Plaintiffs, how-",
        "paragraph_id": "para_563"
      },
      {
        "text": "ever, that provision “merely enhances the already broad",
        "paragraph_id": "para_564"
      },
      {
        "text": "discretion conferred” on the FHFA; it does not specify in any",
        "paragraph_id": "para_565"
      },
      {
        "text": "meaningful way how the FHFA should exercise that discretion.",
        "paragraph_id": "para_566"
      },
      {
        "text": "The Plaintiffs again have the better argument. When a con-",
        "paragraph_id": "para_567"
      },
      {
        "text": "tract authorizes a party to act in its “sole discretion,” we have",
        "paragraph_id": "para_568"
      },
      {
        "text": "recognized the party may still violate the implied covenant if it",
        "paragraph_id": "para_569"
      },
      {
        "text": "exercises that discretion “arbitrarily or unreasonably.” Perry,",
        "paragraph_id": "para_570"
      },
      {
        "text": "864 F.3d at 631. Delaware and Virginia law are clear on this",
        "paragraph_id": "para_571"
      },
      {
        "text": "point: “Terms that enhance the level of discretion . . . do not",
        "paragraph_id": "para_572"
      },
      {
        "text": "eliminate the implied duty. When a party has sole discretion to",
        "paragraph_id": "para_573"
      },
      {
        "text": "20",

      },
      {
        "text": "make a decision, that setting provides more reason for the",
        "paragraph_id": "para_575",
        "court_paragraph": 20
      },
      {
        "text": "implied covenant to apply, not less.” Cygnus Opportunity",
        "paragraph_id": "para_576"
      },
      {
        "text": "Fund, LLC v. Wash. Prime Grp., LLC, 302 A.3d 430, 460 (Del.",
        "paragraph_id": "para_577"
      },
      {
        "text": "Ch. 2023) (cleaned up); see Historic Green Springs, Inc. v.",
        "paragraph_id": "para_578"
      },
      {
        "text": "Brandy Farm, Ltd., No. 4872-C, 1993 WL 13029827, at *3",
        "paragraph_id": "para_579"
      },
      {
        "text": "(Va. Cir. Ct. Sept. 28, 1993); see also Drummond Coal Sales,",
        "paragraph_id": "para_580"
      },
      {
        "text": "3 F.4th at 611-12; Va. Vermiculite, Ltd. v. W.R. Grace & Co-",
        "paragraph_id": "para_581"
      },
      {
        "text": "Conn., 156 F.3d 535, 542 (4th Cir. 1998).",
        "paragraph_id": "para_582"
      },
      {
        "text": "This case is a perfect example of that sort. The Recovery",
        "paragraph_id": "para_583"
      },
      {
        "text": "Act does not specifically authorize the conduct giving rise to",
        "paragraph_id": "para_584"
      },
      {
        "text": "this appeal. Rather, the Recovery Act is “framed in terms of",
        "paragraph_id": "para_585"
      },
      {
        "text": "expansive grants of permissive, discretionary authority for",
        "paragraph_id": "para_586"
      },
      {
        "text": "[the] FHFA to exercise as the ‘Agency determines is in the best",
        "paragraph_id": "para_587"
      },
      {
        "text": "interests of the regulated entity or [of] the Agency.’” Perry, 864",
        "paragraph_id": "para_588"
      },
      {
        "text": "F.3d at 607 (quoting § 4617(b)(2)(J)(ii)). The FHFA claims the",
        "paragraph_id": "para_589"
      },
      {
        "text": "“best interests” phrase “defines the scope of [its] contractual",
        "paragraph_id": "para_590"
      },
      {
        "text": "discretion,” but that phrase does not render the implied cove-",
        "paragraph_id": "para_591"
      },
      {
        "text": "nant inapplicable. On the contrary, per the Supreme Court of",
        "paragraph_id": "para_592"
      },
      {
        "text": "Delaware, the implied covenant “encompasses the principle of",
        "paragraph_id": "para_593"
      },
      {
        "text": "contract construction that if one party is given discretion in",
        "paragraph_id": "para_594"
      },
      {
        "text": "determining whether a condition in fact has occurred, that party",
        "paragraph_id": "para_595"
      },
      {
        "text": "must use good faith in making that determination.” Baldwin v.",
        "paragraph_id": "para_596"
      },
      {
        "text": "New Wood Res. LLC, 283 A.3d 1099, 1116 (2022) (cleaned",
        "paragraph_id": "para_597"
      },
      {
        "text": "up). That is precisely the circumstance here: The FHFA",
        "paragraph_id": "para_598"
      },
      {
        "text": "unilaterally determined what was in the “best interests” of the",
        "paragraph_id": "para_599"
      },
      {
        "text": "Agency. As the Plaintiffs note, the statute does not contain any",
        "paragraph_id": "para_600"
      },
      {
        "text": "standard limiting how the FHFA is to make that determination.",
        "paragraph_id": "para_601"
      },
      {
        "text": "The FHFA relies upon three cases in which a court held",
        "paragraph_id": "para_602"
      },
      {
        "text": "the implied covenant did not apply, but those cases are inappo-",
        "paragraph_id": "para_603"
      },
      {
        "text": "site. In two of those cases, the relevant contracts provided a",
        "paragraph_id": "para_604"
      },
      {
        "text": "more specific process or standard that restrained the party’s",
        "paragraph_id": "para_605"
      },
      {
        "text": "discretion. See Policemen’s Annuity & Benefit Fund of Chi. v.",
        "paragraph_id": "para_606"
      },
      {
        "text": "DV Realty Advisors LLC, No. 7204, 2012 WL 3548206, at *3",
        "paragraph_id": "para_607"
      },
      {
        "text": "21",
        "paragraph_id": "para_608"
      },
      {
        "text": "(Del. Ch. Aug. 16, 2012) (agreement providing for removal of",
        "paragraph_id": "para_609",
        "court_paragraph": 21
      },
      {
        "text": "a general partner if “75% of the Limited Partnership Interests”",
        "paragraph_id": "para_610"
      },
      {
        "text": "consented to the removal and made a “good faith” determina-",
        "paragraph_id": "para_611"
      },
      {
        "text": "tion that removal was necessary for the partnership’s best",
        "paragraph_id": "para_612"
      },
      {
        "text": "interests); Khan v. Warburg Pincus, LLC, No. 2024-0523,",
        "paragraph_id": "para_613"
      },
      {
        "text": "2025 WL 1251237, at *6-7 (Del Ch. Apr. 30, 2025) (agreement",
        "paragraph_id": "para_614"
      },
      {
        "text": "allowing majority investors to “act exclusively in their own",
        "paragraph_id": "para_615"
      },
      {
        "text": "interests” provided that any amendment that “disproportion-",
        "paragraph_id": "para_616"
      },
      {
        "text": "ately affected” one class of investors “in a material and adverse",
        "paragraph_id": "para_617"
      },
      {
        "text": "manner” be supported by the “prior written consent of a major-",
        "paragraph_id": "para_618"
      },
      {
        "text": "ity of the affected class” (cleaned up)). The third case is even",
        "paragraph_id": "para_619"
      },
      {
        "text": "further afield because the agreement gave “both parties com-",
        "paragraph_id": "para_620"
      },
      {
        "text": "plete discretion in deciding whether” to execute a repurchase",
        "paragraph_id": "para_621"
      },
      {
        "text": "of a minority shareholder’s shares, which required approval by",
        "paragraph_id": "para_622"
      },
      {
        "text": "a majority of the board of directors or 70% of the shareholders.",
        "paragraph_id": "para_623"
      },
      {
        "text": "Blaustein v. Lord Balt. Cap. Corp., 84 A.3d 954, 959 (Del.",
        "paragraph_id": "para_624"
      },
      {
        "text": "2014). The Recovery Act does not contain any comparable fea-",
        "paragraph_id": "para_625"
      },
      {
        "text": "ture or limitation on the FHFA’s discretion. We see no reason",
        "paragraph_id": "para_626"
      },
      {
        "text": "the implied covenant does not apply under these circumstances.",
        "paragraph_id": "para_627"
      },
      {
        "text": "3. Anticipatory breach",
        "paragraph_id": "para_628"
      },
      {
        "text": "Lastly, the FHFA argues the implied covenant claim is",
        "paragraph_id": "para_629"
      },
      {
        "text": "really an “unripe claim for anticipatory breach.” “Anticipatory",
        "paragraph_id": "para_630"
      },
      {
        "text": "breach is a doctrine of accelerated ripeness” that “gives a",
        "paragraph_id": "para_631"
      },
      {
        "text": "plaintiff the option to have the law treat a promise to breach or",
        "paragraph_id": "para_632"
      },
      {
        "text": "an act rendering performance impossible as the breach itself.”",
        "paragraph_id": "para_633"
      },
      {
        "text": "Perry, 864 F.3d at 632-33 (cleaned up). In the FHFA’s view,",
        "paragraph_id": "para_634"
      },
      {
        "text": "the Plaintiffs raise a claim for anticipatory breach because they",
        "paragraph_id": "para_635"
      },
      {
        "text": "“claim that the Net Worth Sweep prevented [Fannie and",
        "paragraph_id": "para_636"
      },
      {
        "text": "Freddie] from possibly paying dividends at some unspecified",
        "paragraph_id": "para_637"
      },
      {
        "text": "point in the future.” The Plaintiffs dispute this characterization",
        "paragraph_id": "para_638"
      },
      {
        "text": "of their claim, arguing that they seek to hold the FHFA liable",
        "paragraph_id": "para_639"
      },
      {
        "text": "for a present breach of contract.",
        "paragraph_id": "para_640"
      },
      {
        "text": "22",
        "paragraph_id": "para_641"
      },
      {
        "text": "The FHFA’s argument misapprehends the nature of the",
        "paragraph_id": "para_642",
        "court_paragraph": 22
      },
      {
        "text": "Plaintiffs’ claim. The implied covenant imposes an ongoing",
        "paragraph_id": "para_643"
      },
      {
        "text": "obligation to act in good faith. It “requires a party in a",
        "paragraph_id": "para_644"
      },
      {
        "text": "contractual relationship to refrain from arbitrary or",
        "paragraph_id": "para_645"
      },
      {
        "text": "unreasonable conduct which has the effect of preventing the",
        "paragraph_id": "para_646"
      },
      {
        "text": "other party to the contract from receiving the fruits of the",
        "paragraph_id": "para_647"
      },
      {

        "text": "b (1981) (“Non-performance of a duty when performance is",
        "paragraph_id": "para_651"
      },
      {
        "text": "due is a breach whether the duty is imposed by a promise stated",
        "paragraph_id": "para_652"
      },
      {
        "text": "in the agreement or by a term supplied by the court, as in the",
        "paragraph_id": "para_653"
      },
      {
        "text": "case of the duty of good faith and fair dealing”). We therefore",
        "paragraph_id": "para_654"
      },
      {
        "text": "agree with the district court that the Plaintiffs “seek to hold",
        "paragraph_id": "para_655"
      },
      {
        "text": "defendants presently accountable for a present breach of an",
        "paragraph_id": "para_656"
      },
      {
        "text": "implied promise” rather than for a “future breach of an express",
        "paragraph_id": "para_657"
      },
      {
        "text": "provision.” Partial Reconsideration Order, at 3 (D.D.C. May",
        "paragraph_id": "para_658"
      },
      {
        "text": "16, 2019), Class Pls. ECF No. 104, Berkley Pls. ECF No. 99.",
        "paragraph_id": "para_659"
      },
      {
        "text": "The FHFA’s argument to the contrary rests upon its mis-",
        "paragraph_id": "para_660"
      },
      {
        "text": "placed emphasis on the future effect of the Net Worth Sweep.",
        "paragraph_id": "para_661"
      },
      {
        "text": "The Plaintiffs alleged the Net Worth Sweep deprived them of",
        "paragraph_id": "para_662"
      },
      {
        "text": "the opportunity to receive future dividends; they do not, how-",
        "paragraph_id": "para_663"
      },
      {
        "text": "ever, claim the FHFA breached a promise to pay them future",
        "paragraph_id": "para_664"
      },
      {
        "text": "dividends. Instead, they claim that by eliminating any possibil-",
        "paragraph_id": "para_665"
      },
      {
        "text": "ity of dividends, the FHFA violated its ongoing obligation to",
        "paragraph_id": "para_666"
      },
      {
        "text": "act in good faith. This is what distinguishes the implied cove-",
        "paragraph_id": "para_667"
      },
      {
        "text": "nant claim from the Plaintiffs’ claim for breach of their",
        "paragraph_id": "para_668"
      },
      {
        "text": "“contractual rights to receive a liquidation preference,” which",
        "paragraph_id": "para_669"
      },
      {
        "text": "alleged the FHFA had repudiated a future contractual obliga-",
        "paragraph_id": "para_670"
      },
      {
        "text": "tion and which the district court dismissed as a claim for",
        "paragraph_id": "para_671"
      },
      {
        "text": "anticipatory breach. MTD Opinion, 2018 WL 4680197, at *5-",
        "paragraph_id": "para_672"
      },
      {
        "text": "6. That the breach also had a future effect does not turn the",
        "paragraph_id": "para_673"
      },
      {
        "text": "implied covenant claim into a claim for anticipatory breach.",
        "paragraph_id": "para_674"
      },
      {
        "text": "We agree with the Plaintiffs that “what matters is when the",
        "paragraph_id": "para_675"
      },
      {

        "paragraph_id": "para_676"
      },
      {
        "text": "breach occurred, not whether the harm caused by the breach",
        "paragraph_id": "para_677",
        "court_paragraph": 23
      },
      {
        "text": "persists in the future.”",
        "paragraph_id": "para_678"
      },
      {
        "text": "The FHFA speculates that this conclusion will allow future",
        "paragraph_id": "para_679"
      },
      {
        "text": "plaintiffs to recast their claims of anticipatory breach as",
        "paragraph_id": "para_680"
      },
      {
        "text": "implied covenant claims. This matters, it says, because",
        "paragraph_id": "para_681"
      },
      {
        "text": "Virginia and Delaware law do not allow claims for anticipatory",
        "paragraph_id": "para_682"
      },
      {
        "text": "breach of unilateral contracts, see Fairfax-Falls Church Cmty.",
        "paragraph_id": "para_683"
      },
      {
        "text": "Servs. Bd. v. Herren, 337 S.E.2d 741, 744 (Va. 1985); cf. Meso",
        "paragraph_id": "para_684"
      },
      {
        "text": "Scale Diagnostics, LLC v. Roche Diagnostics GmbH, 62 A.3d",
        "paragraph_id": "para_685"
      },
      {
        "text": "62, 78 n.102 (Del. Ch. 2013), and the contracts here became",
        "paragraph_id": "para_686"
      },
      {
        "text": "unilateral when the shareholders completed their performance",
        "paragraph_id": "para_687"
      },
      {
        "text": "by purchasing the shares. We do not share this concern. The",
        "paragraph_id": "para_688"
      },
      {
        "text": "FHFA does not direct us to a single case in which a court has",
        "paragraph_id": "para_689"
      },
      {
        "text": "incorrectly conflated these claims. Even if a future plaintiff",
        "paragraph_id": "para_690"
      },
      {
        "text": "attempted this maneuver, it would still have to satisfy the",
        "paragraph_id": "para_691"
      },
      {
        "text": "standard for stating an implied covenant claim. We see no",
        "paragraph_id": "para_692"
      },
      {
        "text": "reason our holding today will cause courts to mistake an",
        "paragraph_id": "para_693"
      },
      {
        "text": "implied covenant claim for a claim of anticipatory breach",
        "paragraph_id": "para_694"
      },
      {
        "text": "involving a unilateral contract.",
        "paragraph_id": "para_695"
      },
      {
        "text": "B. Harm Caused by the Net Worth Sweep",
        "paragraph_id": "para_696"
      },
      {
        "text": "In order to prevail on their implied covenant claim, the",
        "paragraph_id": "para_697"
      },
      {
        "text": "Plaintiffs needed to demonstrate “both the existence of dam-",
        "paragraph_id": "para_698"
      },
      {
        "text": "ages provable to a reasonable certainty, and that the damages",
        "paragraph_id": "para_699"
      },
      {
        "text": "flowed from the defendant’s violation of the contract.” Base",
        "paragraph_id": "para_700"
      },
      {
        "text": "Optics Inc. v. Liu, No. 9803, 2015 WL 3491495, at *16 (Del.",
        "paragraph_id": "para_701"
      },
      {
        "text": "Ch. May 29, 2015); see Saks Fifth Ave., Inc. v. James. Ltd., 630",
        "paragraph_id": "para_702"
      },
      {
        "text": "S.E.2d 304, 311 (Va. 2006). Recall that the implied covenant",
        "paragraph_id": "para_703"
      },
      {
        "text": "claim proceeded to trial based upon a “lost-value theory” of",
        "paragraph_id": "para_704"
      },
      {
        "text": "harm, to wit, “that the Third Amendment, by eliminating any",
        "paragraph_id": "para_705"
      },
      {
        "text": "possibility of future dividends for [the Plaintiffs], deprived",
        "paragraph_id": "para_706"
      },
      {
        "text": "[their] shares of much of their value.” Summary Judgment",
        "paragraph_id": "para_707"
      },
      {
        "text": "Opinion, 2022 WL 4745970, at *11. The Plaintiffs pointed to",
        "paragraph_id": "para_708"
      },
      {
        "text": "24",
        "paragraph_id": "para_709"
      },
      {
        "text": "the $1.6 billion decrease in the value of Fannie and Freddie",
        "paragraph_id": "para_710",
        "court_paragraph": 24
      },
      {
        "text": "common and junior preferred shares outstanding on August 17,",
        "paragraph_id": "para_711"
      },
      {
        "text": "2012 — the day the Net Worth Sweep was announced — as",
        "paragraph_id": "para_712"
      },
      {
        "text": "their measure of harm.",
        "paragraph_id": "para_713"
      },
      {
        "text": "The FHFA offers three reasons the Plaintiffs failed to meet",
        "paragraph_id": "para_714"
      },
      {
        "text": "the standard of proof: The Plaintiffs (1) did not address",
        "paragraph_id": "para_715"
      },
      {
        "text": "increases in Fannie’s and Freddie’s share price in the weeks",
        "paragraph_id": "para_716"
      },
      {
        "text": "following the announcement of the Net Worth Sweep; (2) did",
        "paragraph_id": "para_717"
      },
      {
        "text": "not prove the Net Worth Sweep continued to harm the share",
        "paragraph_id": "para_718"
      },
      {
        "text": "value today; and (3) did not address possible alternative causes",
        "paragraph_id": "para_719"
      },
      {
        "text": "for the drop in the value of Fannie and Freddie on August 17,",
        "paragraph_id": "para_720"
      },
      {
        "text": "2012. None persuades us to set aside the verdict.‡",
        "paragraph_id": "para_721"
      },
      {
        "text": "First, the FHFA claims the Plaintiffs “introduced no",
        "paragraph_id": "para_722"
      },
      {
        "text": "evidence” regarding the rebound of Fannie’s and Freddie’s",
        "paragraph_id": "para_723"
      },
      {
        "text": "share price after the FHFA announced the Net Worth Sweep.",
        "paragraph_id": "para_724"
      },
      {
        "text": "The FHFA derives this “rebound” rule from securities fraud",
        "paragraph_id": "para_725"
      },
      {
        "text": "cases involving the Private Securities Litigation Reform Act. It",
        "paragraph_id": "para_726"
      },
      {
        "text": "does not cite a single case in which a court has applied that rule",
        "paragraph_id": "para_727"
      },
      {
        "text": "to a breach-of-contract claim.",
        "paragraph_id": "para_728"
      },
      {
        "text": "Even setting that aside, the Plaintiffs did introduce evi-",
        "paragraph_id": "para_729"
      },
      {
        "text": "dence — an event study prepared by the FHFA’s own",
        "paragraph_id": "para_730"
      },
      {
        "text": "expert — addressing the price increase. Although the event",
        "paragraph_id": "para_731"
      },
      {
        "text": "study showed that Fannie and Freddie shares recovered some",
        "paragraph_id": "para_732"
      },
      {
        "text": "of the losses incurred when the Net Worth Sweep was",
        "paragraph_id": "para_733"
      },
      {
        "text": "announced, the Plaintiffs note that it also listed several contem-",
        "paragraph_id": "para_734"
      },
      {
        "text": "poraneous events that may have contributed to that recovery.",
        "paragraph_id": "para_735"
      },
      {
        "text": "‡ The Plaintiffs argue the FHFA waived or forfeited certain",
        "paragraph_id": "para_736"
      },
      {
        "text": "objections to the evidence of harm presented at trial. The FHFA",
        "paragraph_id": "para_737"
      },
      {
        "text": "responds that the Plaintiffs forfeited most of their waiver and",
        "paragraph_id": "para_738"
      },
      {
        "text": "forfeiture arguments. We need not address these arguments because,",
        "paragraph_id": "para_739"
      },
      {
        "text": "in any event, the FHFA’s challenge to the sufficiency of the evidence",
        "paragraph_id": "para_740"
      },
      {
        "text": "fails on the merits.",
        "paragraph_id": "para_741"
      },
      {
        "text": "25",
        "paragraph_id": "para_742"
      },
      {
        "text": "For example, the event study reports five days in October 2012",
        "paragraph_id": "para_743",
        "court_paragraph": 25
      },
      {
        "text": "when Fannie and Freddie shares reported excess returns",
        "paragraph_id": "para_744"
      },
      {
        "text": "between 3.7% and 12.9%. Around the same time, Fannie",
        "paragraph_id": "para_745"
      },
      {
        "text": "released the results of a national housing survey reporting",
        "paragraph_id": "para_746"
      },
      {
        "text": "“increasing faith in the nascent housing recovery”; the FHFA",
        "paragraph_id": "para_747"
      },
      {
        "text": "released a four-year strategic plan on housing finance, as well",
        "paragraph_id": "para_748"
      },
      {
        "text": "as updated projections of Treasury draws by Fannie and",
        "paragraph_id": "para_749"
      },
      {
        "text": "Freddie that showed an “improved outlook”; and Freddie",
        "paragraph_id": "para_750"
      },
      {
        "text": "announced the dismissal of a securities fraud class-action",
        "paragraph_id": "para_751"
      },
      {
        "text": "lawsuit brought against it. This evidence allowed the jury to",
        "paragraph_id": "para_752"
      },
      {
        "text": "conclude that subsequent increases in the value of Fannie and",
        "paragraph_id": "para_753"
      },
      {
        "text": "Freddie were caused by something other than a market",
        "paragraph_id": "para_754"
      },
      {
        "text": "reevaluation of the Net Worth Sweep.",
        "paragraph_id": "para_755"
      },
      {
        "text": "Second, the FHFA erroneously contends that the Plaintiffs",
        "paragraph_id": "para_756"
      },
      {
        "text": "did not prove the Net Worth Sweep continues to harm the value",
        "paragraph_id": "para_757"
      },
      {
        "text": "of the shares today. The Plaintiffs’ expert witnesses and the",
        "paragraph_id": "para_758"
      },
      {
        "text": "then-Acting Director of the FHFA testified that Fannie and",
        "paragraph_id": "para_759"
      },
      {
        "text": "Freddie would have been better off if they could have retained",
        "paragraph_id": "para_760"
      },
      {
        "text": "some of their earnings to reinvest in their operations or to pro-",
        "paragraph_id": "para_761"
      },
      {
        "text": "vide protection during another economic downturn. The jury",
        "paragraph_id": "para_762"
      },
      {
        "text": "also heard testimony that Fannie and Freddie must still allocate",
        "paragraph_id": "para_763"
      },
      {
        "text": "100% of their now-substantial profits to the",
        "paragraph_id": "para_764"
      },
      {
        "text": "Treasury — through an increase in the Treasury’s liquidation",
        "paragraph_id": "para_765"
      },
      {
        "text": "preference. Perhaps most important, when the Plaintiffs’ expert",
        "paragraph_id": "para_766"
      },
      {
        "text": "Dr. Mason was asked whether the “$1.6 billion in damages",
        "paragraph_id": "para_767"
      },
      {
        "text": "from the Net Worth Sweep still persist today,” he replied",
        "paragraph_id": "para_768"
      },
      {
        "text": "unequivocally, “Yes.” Although the FHFA now characterizes",
        "paragraph_id": "para_769"
      },
      {
        "text": "his testimony as conclusory, the FHFA did nothing to rebut it.",
        "paragraph_id": "para_770"
      },
      {
        "text": "The jury was entitled to credit this testimony, and it is not our",
        "paragraph_id": "para_771"
      },
      {
        "text": "role to second-guess their determination or to reweigh the evi-",
        "paragraph_id": "para_772"
      },
      {
        "text": "dence. See Vasquez, 110 F.4th at 290.",
        "paragraph_id": "para_773"
      },
      {
        "text": "Third, the FHFA argues that the Plaintiffs did not address",
        "paragraph_id": "para_774"
      },
      {
        "text": "possible alternative causes for the one-day drop in the value of",
        "paragraph_id": "para_775"
      },
      {
        "text": "26",
        "paragraph_id": "para_776"
      },
      {
        "text": "Fannie and Freddie, namely the Third Amendment’s portfolio-",
        "paragraph_id": "para_777",
        "court_paragraph": 26
      },
      {
        "text": "reduction requirement. The record tells a different story. Dr.",
        "paragraph_id": "para_778"
      },
      {
        "text": "Mason testified that the Net Worth Sweep was “the overriding",
        "paragraph_id": "para_779"
      },
      {
        "text": "effect” of the Third Amendment, and he did not have “any",
        "paragraph_id": "para_780"
      },
      {
        "text": "reason to believe that anything besides the Net Worth Sweep",
        "paragraph_id": "para_781"
      },
      {
        "text": "could have caused the huge decline in [the] stock price on",
        "paragraph_id": "para_782"
      },
      {
        "text": "August 17th, 2012.” The FHFA says the jury could not rely",
        "paragraph_id": "para_783"
      },
      {
        "text": "upon this testimony because Dr. Mason formed this opinion",
        "paragraph_id": "para_784"
      },
      {
        "text": "based upon the event study, which did not evaluate the effect",
        "paragraph_id": "para_785"
      },
      {
        "text": "of the Net Worth Sweep separately from the effect of the",
        "paragraph_id": "para_786"
      },
      {
        "text": "portfolio-reduction requirement. Far from relying upon only",
        "paragraph_id": "para_787"
      },
      {
        "text": "the event study, however, Dr. Mason testified that he had also",
        "paragraph_id": "para_788"
      },
      {
        "text": "reviewed financial filings, FHFA reports, and other documents",
        "paragraph_id": "para_789"
      },
      {
        "text": "and testimony in this case. Nor was Dr. Mason alone in his",
        "paragraph_id": "para_790"
      },
      {
        "text": "characterization of the Net Worth Sweep. The Plaintiffs point",
        "paragraph_id": "para_791"
      },
      {
        "text": "us to testimony from other witnesses describing the Net Worth",
        "paragraph_id": "para_792"
      },
      {
        "text": "Sweep as “unprecedented” and “the key part of the Third",
        "paragraph_id": "para_793"
      },
      {
        "text": "Amendment,” whereas the portfolio-reduction requirement",
        "paragraph_id": "para_794"
      },
      {
        "text": "“didn’t have the same impact” and caused only a slight change.",
        "paragraph_id": "para_795"
      },
      {
        "text": "This testimony provided an ample basis for the jury to find that",
        "paragraph_id": "para_796"
      },
      {
        "text": "the Net Worth Sweep caused the drop in the value of Fannie",
        "paragraph_id": "para_797"
      },
      {
        "text": "and Freddie on August 17, 2012.",
        "paragraph_id": "para_798"
      },
      {
        "text": "At bottom, the FHFA asks us to reweigh the evidence and",
        "paragraph_id": "para_799"
      },
      {
        "text": "to discredit testimony heard by the jury. Because that exceeds",
        "paragraph_id": "para_800"
      },
      {
        "text": "the scope of our review, see Vasquez, 110 F.4th at 290, we",
        "paragraph_id": "para_801"
      },
      {
        "text": "reject the FHFA’s arguments.",
        "paragraph_id": "para_802"
      },
      {
        "text": "C. Standing of Post-Third Amendment Purchasers",
        "paragraph_id": "para_803"
      },
      {
        "text": "The FHFA’s final argument is that the Plaintiffs who pur-",
        "paragraph_id": "para_804"
      },
      {
        "text": "chased their shares after the FHFA announced the Third",
        "paragraph_id": "para_805"
      },
      {
        "text": "Amendment do not have standing to bring their implied cove-",
        "paragraph_id": "para_806"
      },
      {
        "text": "nant claim. As discussed earlier, the certified classes included",
        "paragraph_id": "para_807"
      },
      {
        "text": "shareholders at the time of certification or “their successors in",
        "paragraph_id": "para_808"
      },
      {
        "text": "27",
        "paragraph_id": "para_809"
      },
      {
        "text": "interest.” According to the FHFA, the implied covenant claim",
        "paragraph_id": "para_810",
        "court_paragraph": 27
      },
      {
        "text": "did not “travel with the shares” but remains with the seller, so",
        "paragraph_id": "para_811"
      },
      {
        "text": "the post-Third Amendment purchasers could not pursue their",
        "paragraph_id": "para_812"
      },
      {
        "text": "claim. The Plaintiffs argue their claim traveled with the shares",
        "paragraph_id": "para_813"
      },
      {
        "text": "under Delaware law, and Virginia courts would likely follow",
        "paragraph_id": "para_814"
      },
      {
        "text": "Delaware law.",
        "paragraph_id": "para_815"
      },
      {
        "text": "As an initial matter, the FHFA incorrectly frames its",
        "paragraph_id": "para_816"
      },
      {
        "text": "objection as raising a question of constitutional standing.",
        "paragraph_id": "para_817"
      },
      {
        "text": "“Contractual standing is distinct from Article III standing and",
        "paragraph_id": "para_818"
      },
      {
        "text": "does not implicate [the court’s] subject-matter jurisdiction.”",
        "paragraph_id": "para_819"
      },
      {
        "text": "SM Kids, LLC v. Google LLC, 963 F.3d 206, 211 (2d Cir.",
        "paragraph_id": "para_820"
      },
      {
        "text": "2020). “Article III standing speaks to the power of a court to",
        "paragraph_id": "para_821"
      },
      {
        "text": "adjudicate a controversy; contractual standing speaks to a",
        "paragraph_id": "para_822"
      },
      {
        "text": "party’s right to relief for breach of contract.” Id. Whether the",
        "paragraph_id": "para_823"
      },
      {
        "text": "post-Third Amendment purchasers have “a contractual right to",
        "paragraph_id": "para_824"
      },
      {
        "text": "bring this suit” is therefore “part of the inquiry into the merits",
        "paragraph_id": "para_825"
      },
      {
        "text": "of [their] claim.” Maxim Crane Works, L.P. v. Zurich Am. Ins.",
        "paragraph_id": "para_826"
      },
      {
        "text": "Co., 11 F.4th 345, 350 (5th Cir. 2020).",
        "paragraph_id": "para_827"
      },
      {
        "text": "Turning to the merits of the FHFA’s argument, we look to",
        "paragraph_id": "para_828"
      },
      {
        "text": "Delaware and Virginia law to determine whether the implied",
        "paragraph_id": "para_829"
      },
      {
        "text": "covenant claim traveled with the shares. Those states have",
        "paragraph_id": "para_830"
      },
      {
        "text": "identical statutes, drawn from § 8-302 of the Uniform",
        "paragraph_id": "para_831"
      },
      {
        "text": "Commercial Code, providing that “a purchaser of a . . . security",
        "paragraph_id": "para_832"
      },
      {
        "text": "acquires all rights in the security that the transferor had or had",
        "paragraph_id": "para_833"
      },
      {
        "text": "power to transfer.” 6 Del. Code § 8-302(a); Va. Code. § 8.8A-",
        "paragraph_id": "para_834"
      },
      {
        "text": "302(a). We hold that these provisions allowed the post-Third",
        "paragraph_id": "para_835"
      },
      {
        "text": "Amendment purchasers to bring their implied covenant claim.",
        "paragraph_id": "para_836"
      },
      {
        "text": "Start with Delaware law. “When a share of stock is sold,",
        "paragraph_id": "para_837"
      },
      {
        "text": "the property rights associated with the shares, including any",
        "paragraph_id": "para_838"
      },
      {
        "text": "claim for breach of those rights and the ability to benefit from",
        "paragraph_id": "para_839"
      },
      {
        "text": "any recovery or other remedy, travel with the shares.” In re",
        "paragraph_id": "para_840"
      },
      {
        "text": "Activision Blizzard, Inc. S’holder Litig., 124 A.3d 1025, 1050",
        "paragraph_id": "para_841"
      },
      {
        "text": "28",
        "paragraph_id": "para_842"
      },
      {
        "text": "(Del. Ch. 2015). Delaware courts have explained that “[t]he",
        "paragraph_id": "para_843",
        "court_paragraph": 28
      },
      {
        "text": "phrase ‘all rights in the security’” in § 8-302(a) distinguishes",
        "paragraph_id": "para_844"
      },
      {
        "text": "“between personal rights of the holder, on the one hand, and",
        "paragraph_id": "para_845"
      },
      {
        "text": "rights that inhere in the security itself, on the other.” Urdan v.",
        "paragraph_id": "para_846"
      },
      {
        "text": "WR Cap. Partners, LLC, 244 A.3d 668, 677 (Del. 2020). It is",
        "paragraph_id": "para_847"
      },
      {
        "text": "the latter sort of rights that travels with the shares.",
        "paragraph_id": "para_848"
      },
      {
        "text": "In order to determine whether a right “inhere[s] in the",
        "paragraph_id": "para_849"
      },
      {
        "text": "security itself,” Delaware courts look for a “close relationship",
        "paragraph_id": "para_850"
      },
      {
        "text": "between the stock and the claims asserted.” Id. A right “arising",
        "paragraph_id": "para_851"
      },
      {
        "text": "from the relationship among stockholder, stock and the",
        "paragraph_id": "para_852"
      },
      {
        "text": "company,” such as a “corporate charter violation,” therefore",
        "paragraph_id": "para_853"
      },
      {
        "text": "travels with the shares. Id.; see Yosaki Tr. v. Weber, No. 157,",
        "paragraph_id": "para_854"
      },
      {
        "text": "2025 WL 3632823, at *3-4 (Del. 2025) (applying Urdan and",
        "paragraph_id": "para_855"
      },
      {
        "text": "holding that shareholder claims of dilution of equity interests",
        "paragraph_id": "para_856"
      },
      {
        "text": "and diversion of consideration traveled with the shares). In",
        "paragraph_id": "para_857"
      },
      {

        "text": "rights” that do not travel with the shares include (1) breach of",

        "text": "an agreement to purchase or sell shares, and (2) a tort claim for",
        "paragraph_id": "para_861"
      },
      {
        "text": "fraud in connection with the purchase or sale of shares. In re",
        "paragraph_id": "para_862"
      },
      {
        "text": "Activision, 124 A.3d at 1056.",
        "paragraph_id": "para_863"
      },
      {
        "text": "We agree with the Plaintiffs that under Delaware law the",
        "paragraph_id": "para_864"
      },
      {
        "text": "implied covenant claim traveled with the shares. As the district",
        "paragraph_id": "para_865"
      },
      {
        "text": "court explained, the Net Worth Sweep “removed one of the",
        "paragraph_id": "para_866"
      },
      {
        "text": "most valuable sticks” from the bundle of rights that constitute",
        "paragraph_id": "para_867"
      },
      {
        "text": "the shares, namely, the possibility of future dividends. Rule",
        "paragraph_id": "para_868"
      },
      {
        "text": "50(b) Opinion, 2025 WL 823938, at *11. By “effectively",
        "paragraph_id": "para_869"
      },
      {
        "text": "eliminat[ing] the dividend rights that came with the shares,” the",
        "paragraph_id": "para_870"
      },
      {
        "text": "Net Worth Sweep diminished the value of those shares. Id. The",
        "paragraph_id": "para_871"
      },
      {
        "text": "implied covenant claim thus bears a “close relationship” to the",
        "paragraph_id": "para_872"
      },
      {
        "text": "stock. Urdan, 244 A.3d at 677.",
        "paragraph_id": "para_873"
      },
      {

      {
        "text": "The FHFA resists this conclusion by citing Sabby",
        "paragraph_id": "para_875",

        "text": "Volatility Warrant Master Fund Ltd. v. Jupiter Wellness, Inc.,",
        "paragraph_id": "para_876"
      },
      {
        "text": "No. 24-2777, 2025 WL 1363171 (2d Cir. May 12, 2025). There",
        "paragraph_id": "para_877"
      },
      {
        "text": "the Second Circuit held that “under Delaware law, the right to",
        "paragraph_id": "para_878"
      },
      {
        "text": "receive payment of a lawfully declared dividend is a separate",
        "paragraph_id": "para_879"
      },
      {
        "text": "property right of the record stockholders and, thus, is not a right",
        "paragraph_id": "para_880"
      },
      {
        "text": "in the security that transfers with the sale of shares.” Id. at *2",
        "paragraph_id": "para_881"
      },
      {
        "text": "(cleaned up). That holding does not apply here. As the",
        "paragraph_id": "para_882"
      },
      {
        "text": "Plaintiffs explain, “Sabby involved the right to recover a",
        "paragraph_id": "para_883"
      },
      {
        "text": "specific dividend that was due when [the] plaintiff owned his",
        "paragraph_id": "para_884"
      },
      {
        "text": "shares.” That specific dividend, rather than the general right to",
        "paragraph_id": "para_885"
      },
      {
        "text": "receive dividends, was what the Second Circuit deemed a",
        "paragraph_id": "para_886"
      },
      {
        "text": "“separate property right” that did not travel with the shares. Id.",
        "paragraph_id": "para_887"
      },
      {
        "text": "The failure to pay that dividend harmed the shareholder, but it",
        "paragraph_id": "para_888"
      },
      {
        "text": "would not affect the value of the share to a subsequent pur-",
        "paragraph_id": "para_889"
      },
      {
        "text": "chaser. See Urdan, 244 A.3d at 677.",
        "paragraph_id": "para_890"
      },
      {
        "text": "We think Delaware law is clear that the implied covenant",
        "paragraph_id": "para_891"
      },
      {
        "text": "claims involving Fannie traveled with the shares. Virginia law,",
        "paragraph_id": "para_892"
      },
      {
        "text": "however, is a different story. Neither party points us to a",
        "paragraph_id": "para_893"
      },
      {
        "text": "Virginia case addressing this question, nor are we aware of one.",
        "paragraph_id": "para_894"
      },
      {
        "text": "Still, we believe Virginia courts would follow Delaware’s",
        "paragraph_id": "para_895"
      },
      {
        "text": "approach. We therefore hold the claims involving Freddie also",
        "paragraph_id": "para_896"
      },
      {
        "text": "traveled with the shares.",
        "paragraph_id": "para_897"
      },
      {
        "text": "As the Plaintiffs point out, Virginia courts have long",
        "paragraph_id": "para_898"
      },
      {
        "text": "looked to Delaware for guidance on matters of corporate law.",
        "paragraph_id": "para_899"
      },
      {
        "text": "See, e.g., Pagliara v. Fed. Home Loan Mort. Corp., 203 F.",
        "paragraph_id": "para_900"
      },
      {
        "text": "Supp. 3d 678, 689 n.18 (E.D. Va. 2016) (“It is not uncommon",
        "paragraph_id": "para_901"
      },
      {
        "text": "for courts interpreting Virginia corporate law to look for guid-",
        "paragraph_id": "para_902"
      },
      {
        "text": "ance from other courts, especially Delaware corporate law”);",
        "paragraph_id": "para_903"
      },
      {
        "text": "Abella v. Universal Leaf Tobacco Co., 546 F. Supp. 795, 798-",
        "paragraph_id": "para_904"
      },
      {
        "text": "800 (E.D. Va. 1982) (relying upon Delaware law relevant to a",
        "paragraph_id": "para_905"
      },
      {
        "text": "shareholder derivative action); U.S. Inspect, Inc. v. McGreevy,",

      {
        "text": "No. 160966, 2000 WL 33232337, at *4-5 (Va. Cir. Ct. Nov. 27,",

      {
        "text": "merger interest in a company); Milstead v. Bradshaw, No. C96-",

        "text": "1498, 1997 WL 33616661, at *6 (Va. Cir. Ct. Oct. 3, 1997)",
        "paragraph_id": "para_912"
      },
      {
        "text": "(finding “great persuasive authority” in Delaware cases regard-",
        "paragraph_id": "para_913"
      },
      {
        "text": "ing the standing of equitable owners of stock to file derivative",
        "paragraph_id": "para_914"
      },
      {
        "text": "suits). That Virginia courts would look to Delaware law here",
        "paragraph_id": "para_915"
      },
      {
        "text": "seems particularly likely because, not only do Delaware and",
        "paragraph_id": "para_916"
      },
      {
        "text": "Virginia have identical provisions governing the rights that",
        "paragraph_id": "para_917"
      },
      {
        "text": "travel to a new owner, but the Supreme Court of Delaware has",
        "paragraph_id": "para_918"
      },
      {
        "text": "weighed in recently on the meaning of that provision. Compare",
        "paragraph_id": "para_919"
      },
      {
        "text": "6 Del. Code § 8-302(a), and Va. Code. § 8.8A-302(a); see",
        "paragraph_id": "para_920"
      },
      {
        "text": "Yosaki Tr., 2025 WL 3632823, at *3-4; Urdan, 244 A.3d at",
        "paragraph_id": "para_921"
      },
      {
        "text": "677-78; see also Abella, 546 F. Supp. at 798 (considering",
        "paragraph_id": "para_922"
      },
      {
        "text": "Delaware case law when “[t]he Code of Virginia contain[ed]",
        "paragraph_id": "para_923"
      },
      {
        "text": "provisions substantially the same as the Delaware provisions",
        "paragraph_id": "para_924"
      },
      {
        "text": "the [Supreme Court of Delaware had] construed”).",
        "paragraph_id": "para_925"
      },
      {
        "text": "To rebut this argument, the FHFA first invokes a different",
        "paragraph_id": "para_926"
      },
      {
        "text": "bit of Virginia law providing that only particular claims with",
        "paragraph_id": "para_927"
      },
      {
        "text": "respect to real or personal property are assignable. See Va.",
        "paragraph_id": "para_928"
      },
      {
        "text": "Code § 8.01-26 (“Only those causes of action for damage to",
        "paragraph_id": "para_929"
      },
      {
        "text": "real or personal property, whether such damage be direct or",
        "paragraph_id": "para_930"
      },
      {
        "text": "indirect, and causes of action ex contractu are assignable”).",
        "paragraph_id": "para_931"
      },
      {
        "text": "From this provision, the FHFA reasons “there is no automatic",
        "paragraph_id": "para_932"
      },
      {
        "text": "assignment” of shareholder rights under Virginia law. We",
        "paragraph_id": "para_933"
      },
      {
        "text": "doubt this general assignment law displaces the specific rule as",
        "paragraph_id": "para_934"
      },
      {
        "text": "to when a claim involving a security travels with it. In any",
        "paragraph_id": "para_935"
      },
      {
        "text": "event, Delaware law also provides that only some claims (those",
        "paragraph_id": "para_936"
      },
      {
        "text": "that inhere in the security itself) travel with the share, whereas",
        "paragraph_id": "para_937"
      },
      {
        "text": "others (those involving personal rights) do not.",
        "paragraph_id": "para_938"
      },
      {
        "text": "The FHFA next argues we should look to the common law",
        "paragraph_id": "para_939"
      },
      {
        "text": "rather than Delaware law because Virginia did not abrogate the",
        "paragraph_id": "para_940"
      },
      {
        "text": "common-law rule for the assignment of a claim to a purchaser.",
        "paragraph_id": "para_941"
      },
      {
        "text": "31",
        "paragraph_id": "para_942"
      },
      {
        "text": "Yet the only case the Agency cites does not discuss whether a",
        "paragraph_id": "para_943",
        "court_paragraph": 31
      },
      {
        "text": "claim travels with the share. See also 17 Williston on Contracts",
        "paragraph_id": "para_944"
      },
      {
        "text": "§ 51:4, Applicable Statutes — Article 8 of the Uniform",
        "paragraph_id": "para_945"
      },
      {
        "text": "Commercial Code (4th ed. updated May 2026) (recognizing the",
        "paragraph_id": "para_946"
      },
      {
        "text": "UCC “modified in many respects the[] common-law rules” and",
        "paragraph_id": "para_947"
      },
      {
        "text": "later citing the Supreme Court of Delaware’s holding in Urdan",
        "paragraph_id": "para_948"
      },
      {
        "text": "that claims involving “rights that inhere in the security” travel",
        "paragraph_id": "para_949"
      },
      {
        "text": "with the shares).",
        "paragraph_id": "para_950"
      },
      {
        "text": "The FHFA also seeks support from New York law.",
        "paragraph_id": "para_951"
      },
      {
        "text": "Although “New York and Delaware law are consistent” in that",
        "paragraph_id": "para_952"
      },
      {
        "text": "“[w]hen a security or bond is sold . . . any claims arising out of",
        "paragraph_id": "para_953"
      },
      {
        "text": "breach of the rights associated with” that security or bond travel",
        "paragraph_id": "para_954"
      },
      {
        "text": "with it, FDIC v. Citibank N.A., Nos. 15-cv-6574, 6560, 6570,",
        "paragraph_id": "para_955"
      },
      {
        "text": "2016 WL 8737356, at *4 (S.D.N.Y. Sept. 30, 2016), the FHFA",
        "paragraph_id": "para_956"
      },
      {
        "text": "says New York law in fact demonstrates that the Plaintiffs’",
        "paragraph_id": "para_957"
      },
      {
        "text": "claim does not travel with the shares under any state version of",
        "paragraph_id": "para_958"
      },
      {
        "text": "UCC § 8-302. The Agency’s argument goes like this: (1) New",
        "paragraph_id": "para_959"
      },
      {
        "text": "York has adopted UCC § 8-302. (2) New York has also enacted",
        "paragraph_id": "para_960"
      },
      {
        "text": "General Obligations Law § 13-107(1), which provides that a",
        "paragraph_id": "para_961"
      },
      {
        "text": "claim for damages travels with certain securities.§ (3) If that",
        "paragraph_id": "para_962"
      },
      {
        "text": "were already true under § 8-302, then New York would not",
        "paragraph_id": "para_963"
      },
      {
        "text": "have needed to enact § 13-107(1). In the FHFA’s telling, § 13-",
        "paragraph_id": "para_964"
      },
      {
        "text": "§ New York General Obligations Law § 13-107(1) states:",
        "paragraph_id": "para_965"
      },
      {
        "text": "Unless expressly reserved in writing, a transfer of",
        "paragraph_id": "para_966"
      },
      {
        "text": "any bond shall vest in the transferee all claims or",
        "paragraph_id": "para_967"
      },
      {
        "text": "demands of the transferrer, whether or not such",
        "paragraph_id": "para_968"
      },
      {
        "text": "claims or demands are known to exist, (a) for",
        "paragraph_id": "para_969"
      },
      {
        "text": "damages or rescission against the obligor on such",
        "paragraph_id": "para_970"
      },
      {
        "text": "bond, (b) for damages against the trustee or",
        "paragraph_id": "para_971"
      },
      {
        "text": "depositary under any indenture under which such",
        "paragraph_id": "para_972"
      },
      {
        "text": "bond was issued or outstanding, and (c) for damages",
        "paragraph_id": "para_973"
      },
      {
        "text": "against any guarantor of the obligation of such",
        "paragraph_id": "para_974"
      },
      {
        "text": "obligor, trustee or depositary.",
        "paragraph_id": "para_975"
      },
      {
        "text": "32",

      },
      {
        "text": "107(1) therefore was intended to address a shortcoming in § 8-",
        "paragraph_id": "para_977",
        "court_paragraph": 32
      },
      {
        "text": "302.",
        "paragraph_id": "para_978"
      },
      {
        "text": "This argument could be made only on the assumption that",
        "paragraph_id": "para_979"
      },
      {
        "text": "the court is too incurious or too lazy to notice that New York",
        "paragraph_id": "para_980"
      },
      {
        "text": "adopted the UCC and § 8-302 thereof long after it had enacted",
        "paragraph_id": "para_981"
      },
      {
        "text": "the original version of § 13-107(1) in 1950. See 1950 N.Y.",
        "paragraph_id": "para_982"
      },
      {
        "text": "Laws 2263-64 (codified at N.Y. Pers. Prop. Law § 41(4);",
        "paragraph_id": "para_983"
      },
      {
        "text": "reenacted in 1963 as N.Y. Gen. Oblig. Law § 13-107(1), see",
        "paragraph_id": "para_984"
      },
      {
        "text": "1963 N.Y. Laws 2223). New York did not adopt the UCC for",
        "paragraph_id": "para_985"
      },
      {
        "text": "another 12 years, and the current version of § 8-302(a) did not",
        "paragraph_id": "para_986"
      },
      {
        "text": "appear for another three decades after that. See 1962 N.Y. Laws",
        "paragraph_id": "para_987"
      },
      {
        "text": "2724 (relevant provision codified at N.Y. UCC § 8-301(1);",
        "paragraph_id": "para_988"
      },
      {
        "text": "repealed and replaced in 1997 and codified at § 8-302(a), see",
        "paragraph_id": "para_989"
      },
      {
        "text": "1997 N.Y. Laws 3287, 3303). So much for the General",
        "paragraph_id": "para_990"
      },
      {
        "text": "Obligations Law § 13-107(1) having been enacted to fill a gap",
        "paragraph_id": "para_991"
      },
      {
        "text": "in § 8-302.",
        "paragraph_id": "para_992"
      },
      {
        "text": "Finally, the FHFA asserts Delaware is an outlier, and the",
        "paragraph_id": "para_993"
      },
      {
        "text": "majority of jurisdictions hold a claim is not automatically",
        "paragraph_id": "para_994"
      },
      {
        "text": "assigned to a purchaser of a share. The FHFA refers to this as",
        "paragraph_id": "para_995"
      },
      {
        "text": "the “no-automatic-assignment rule,” which it derives primarily",
        "paragraph_id": "para_996"
      },
      {
        "text": "from cases involving federal securities fraud claims. Those",
        "paragraph_id": "para_997"
      },
      {
        "text": "cases get the FHFA nowhere because fraud claims under",
        "paragraph_id": "para_998"
      },
      {
        "text": "Delaware law, like fraud claims under federal securities laws,",
        "paragraph_id": "para_999"
      },
      {
        "text": "do not travel with the shares; they are “personal claims [that]",
        "paragraph_id": "para_1000"
      },
      {
        "text": "do not depend on the relationship between the stockholder and",
        "paragraph_id": "para_1001"
      },
      {
        "text": "the corporation or the existence of an underlying security.”",
        "paragraph_id": "para_1002"
      },
      {
        "text": "Urdan, 244 A.3d at 677; see also In re Activision Blizzard, 124",
        "paragraph_id": "para_1003"
      },
      {
        "text": "A.3d at 1056 (citing a “tort claim for fraud in connection with",
        "paragraph_id": "para_1004"
      },
      {
        "text": "the purchase or sale of shares” as a “[q]uintessential",
        "paragraph_id": "para_1005"
      },
      {
        "text": "example[]” of a personal claim that does not travel with the",
        "paragraph_id": "para_1006"
      },
      {
        "text": "shares). These cases tell us nothing about whether the type of",
        "paragraph_id": "para_1007"
      },
      {
        "text": "claim in this case, which “inhere[s] in the security itself,”",
        "paragraph_id": "para_1008"
      },
      {
        "text": "Urdan, 244 A.3d at 677, travels with the shares.",
        "paragraph_id": "para_1009"
      },
      {
        "text": "33",
        "paragraph_id": "para_1010"
      },
      {
        "text": "That leaves the FHFA with a smattering of cases that pro-",
        "paragraph_id": "para_1011",
        "court_paragraph": 33
      },
      {
        "text": "vide some support for its position, but they do not tip the scales",
        "paragraph_id": "para_1012"
      },
      {
        "text": "in its favor. In Royal Parks Investments SA/NV v. U.S. Bank",
        "paragraph_id": "para_1013"
      },
      {
        "text": "National Ass’n, for example, the court said “[t]he majority rule",
        "paragraph_id": "para_1014"
      },
      {
        "text": "is that there is no automatic assignment of an accompanying",
        "paragraph_id": "para_1015"
      },
      {
        "text": "litigation right or claim when transferring property.” 324 F.",
        "paragraph_id": "para_1016"
      },
      {
        "text": "Supp. 3d 387, 398 (S.D.N.Y. 2018). Yet the court did not cite",
        "paragraph_id": "para_1017"
      },
      {
        "text": "any cases in support of that assertion or even discuss UCC § 8-",
        "paragraph_id": "para_1018"
      },
      {
        "text": "302; it cited only the Restatement (Second) of Contracts § 324,",
        "paragraph_id": "para_1019"
      },
      {
        "text": "which also does not mention § 8-302. See id. The Supreme",
        "paragraph_id": "para_1020"
      },
      {
        "text": "Court of Ohio, to its credit, undertook a more detailed analysis",
        "paragraph_id": "para_1021"
      },
      {
        "text": "of how other jurisdictions apply § 8-302. See Paul Cheatham",
        "paragraph_id": "para_1022"
      },
      {
        "text": "I.R.A. v. Huntington Nat’l Bank, 137 N.E.3d 45, 51-57 (2019).",
        "paragraph_id": "para_1023"
      },
      {
        "text": "There the court held the Ohio version of § 8-302 “does not",
        "paragraph_id": "para_1024"
      },
      {
        "text": "operate to allow the automatic assignment of rights upon a",
        "paragraph_id": "para_1025"
      },
      {
        "text": "transfer of title.” Id. at 53. In so doing, however, the court dis-",
        "paragraph_id": "para_1026"
      },
      {
        "text": "tinguished the personal claim before it from the non-personal",
        "paragraph_id": "para_1027"
      },
      {
        "text": "claim considered by the Delaware Chancery Court in",
        "paragraph_id": "para_1028"
      },
      {
        "text": "Activision. See id. at 55-56. Moreover, that case was decided",
        "paragraph_id": "para_1029"
      },
      {
        "text": "before the Supreme Court of Delaware’s decision in Urdan,",
        "paragraph_id": "para_1030"
      },
      {
        "text": "and the FHFA has not provided us reason to think Virginia",
        "paragraph_id": "para_1031"
      },
      {
        "text": "would prefer Ohio’s approach to that of Delaware.",
        "paragraph_id": "para_1032"
      },
      {
        "text": "We therefore agree with the district court that the post-",
        "paragraph_id": "para_1033"
      },
      {
        "text": "Third Amendment purchasers had contractual standing to bring",
        "paragraph_id": "para_1034"
      },
      {
        "text": "their implied covenant claim under both Delaware and Virginia",
        "paragraph_id": "para_1035"
      },
      {
        "text": "law.",
        "paragraph_id": "para_1036"
      },
      {
        "text": "D. Cross-Appeal",
        "paragraph_id": "para_1037"
      },
      {
        "text": "Following our remand in Perry, the Plaintiffs stated in",
        "paragraph_id": "para_1038"
      },
      {
        "text": "their initial disclosures that they would seek “the highest of",
        "paragraph_id": "para_1039"
      },
      {
        "text": "either restitution, expectancy damages, or reliance damages.”",
        "paragraph_id": "para_1040"
      },
      {
        "text": "See Fed. R. Civ. P. 26(a)(1)(A)(iii) (requiring parties to dis-",
        "paragraph_id": "para_1041"
      },
      {
        "text": "34",
        "paragraph_id": "para_1042"
      },
      {
        "text": "close “a computation of each category of damages claimed”).",
        "paragraph_id": "para_1043",
        "court_paragraph": 34
      },
      {
        "text": "The district court concluded the Plaintiffs could not seek resti-",
        "paragraph_id": "para_1044"
      },
      {
        "text": "tution or reliance damages. In their cross-appeal, the Berkley",
        "paragraph_id": "para_1045"
      },
      {
        "text": "Plaintiffs argue that they should have been allowed to present",
        "paragraph_id": "para_1046"
      },
      {
        "text": "these damages theories to the jury.** We disagree and affirm",
        "paragraph_id": "para_1047"
      },
      {
        "text": "the decision of the district court.",
        "paragraph_id": "para_1048"
      },
      {
        "text": "1. Restitution",
        "paragraph_id": "para_1049"
      },
      {
        "text": "The Plaintiffs explained in their initial disclosures that",
        "paragraph_id": "para_1050"
      },
      {
        "text": "they sought restitution in an amount “equal to the prices",
        "paragraph_id": "para_1051"
      },
      {
        "text": "originally paid for [the] shares that Plaintiffs own in [Fannie",
        "paragraph_id": "para_1052"
      },
      {
        "text": "and Freddie], plus prejudgment interest.” The Plaintiffs’ expert",
        "paragraph_id": "para_1053"
      },
      {
        "text": "calculated restitution damages at approximately $48 billion.",
        "paragraph_id": "para_1054"
      },
      {
        "text": "The district court held § 4617(f) barred the Plaintiffs from",
        "paragraph_id": "para_1055"
      },
      {
        "text": "seeking that restitution. The court relied upon our statement in",
        "paragraph_id": "para_1056"
      },
      {
        "text": "Perry that § 4617 bars “judicial injunctions, declaratory",
        "paragraph_id": "para_1057"
      },
      {
        "text": "judgments, or other equitable relief” for actions the FHFA was",
        "paragraph_id": "para_1058"
      },
      {
        "text": "authorized to take. Summary Judgment Opinion, 2022 WL",
        "paragraph_id": "para_1059"
      },
      {
        "text": "4745970, at *11 (quoting 864 F.3d at 606). The district court",
        "paragraph_id": "para_1060"
      },
      {
        "text": "understood our reference to “other equitable relief” to mean",
        "paragraph_id": "para_1061"
      },
      {
        "text": "“remedies other than a money judgment or enforcement",
        "paragraph_id": "para_1062"
      },
      {
        "text": "thereof.” Id. Then, relying upon Dr. Mason’s testimony, the",
        "paragraph_id": "para_1063"
      },
      {
        "text": "court characterized the Plaintiffs’ request for restitution as a",
        "paragraph_id": "para_1064"
      },
      {
        "text": "request for rescission because the remedy would “require the",
        "paragraph_id": "para_1065"
      },
      {

        "paragraph_id": "para_1076"
      },
      {
        "text": "The Berkley Plaintiffs argue the district court erred in two",
        "paragraph_id": "para_1077"
      },
      {
        "text": "respects. First, they claim the district court misread our refer-",
        "paragraph_id": "para_1078"
      },
      {
        "text": "ence to “other equitable relief” in Perry; § 4617 does not bar",
        "paragraph_id": "para_1079"
      },
      {
        "text": "all equitable remedies, they say, but only those that would",
        "paragraph_id": "para_1080"
      },
      {
        "text": "interfere with the FHFA’s powers as conservator. Second, they",
        "paragraph_id": "para_1081"
      },
      {
        "text": "assert that granting restitution would not interfere with the",
        "paragraph_id": "para_1082"
      },
      {
        "text": "FHFA’s exercise of its powers.",
        "paragraph_id": "para_1083"
      },
      {
        "text": "Starting with Perry, we agree that the district court read",
        "paragraph_id": "para_1084"
      },
      {
        "text": "our reference to “other equitable relief” too broadly. That",
        "paragraph_id": "para_1085"
      },
      {
        "text": "phrase must be read in reference to what comes directly before",
        "paragraph_id": "para_1086"
      },
      {
        "text": "and after it: “The plain statutory text [of § 4617(f)] draws a",
        "paragraph_id": "para_1087"
      },
      {
        "text": "sharp line in the sand against litigative interference — through",
        "paragraph_id": "para_1088"
      },
      {
        "text": "judicial injunctions, declaratory judgments, or other equitable",
        "paragraph_id": "para_1089"
      },
      {
        "text": "relief — with FHFA’s statutorily permitted actions as conser-",
        "paragraph_id": "para_1090"
      },
      {
        "text": "vator or receiver.” 864 F.3d at 606. Viewed in context, our",
        "paragraph_id": "para_1091"
      },
      {
        "text": "reference to “other equitable relief” meant equitable relief that",
        "paragraph_id": "para_1092"
      },
      {
        "text": "amounted to interference with the FHFA’s actions as conser-",
        "paragraph_id": "para_1093"
      },
      {
        "text": "vator. As the Third Circuit put the point, “[t]he focus is not on",
        "paragraph_id": "para_1094"
      },
      {
        "text": "the form of requested relief, but its effect.” Jacobs, 908 F.3d at",
        "paragraph_id": "para_1095"
      },
      {
        "text": "895. The FHFA seems to agree. See Appellants’ Combined",
        "paragraph_id": "para_1096"
      },
      {
        "text": "Response and Reply Br. 35 (“The bar is functional: courts may",
        "paragraph_id": "para_1097"
      },
      {
        "text": "not take ‘any action’ — regardless of label — that would",
        "paragraph_id": "para_1098"
      },
      {
        "text": "restrain or affect the Conservator’s conduct”).",
        "paragraph_id": "para_1099"
      },
      {
        "text": "The district court’s error, however, is not reason enough to",
        "paragraph_id": "para_1100"
      },
      {
        "text": "grant the remand the Berkley Plaintiffs seek. For we agree with",
        "paragraph_id": "para_1101"
      },
      {
        "text": "the FHFA that regardless whether we characterize rescission as",
        "paragraph_id": "para_1102"
      },
      {
        "text": "equitable or legal, granting that remedy would restrain or affect",
        "paragraph_id": "para_1103"
      },
      {
        "text": "the FHFA’s exercise of its authority as conservator, in violation",
        "paragraph_id": "para_1104"
      },
      {
        "text": "of § 4617(f).",
        "paragraph_id": "para_1105"
      },
      {

      {
        "text": "Granting rescission would not, as the Berkley Plaintiffs",
        "paragraph_id": "para_1107",
        "court_paragraph": 36

        "text": "claim, simply require the FHFA to “write a check.” As the",
        "paragraph_id": "para_1108"
      },
      {
        "text": "district court explained, granting rescission in this case would",
        "paragraph_id": "para_1109"
      },
      {
        "text": "also require the FHFA to “terminate plaintiffs’ shareholder",
        "paragraph_id": "para_1110"
      },
      {
        "text": "contracts, extinguishing their ownership rights and forcing a",
        "paragraph_id": "para_1111"
      },
      {
        "text": "reorientation of [Fannie’s and Freddie’s] capital structure.”",
        "paragraph_id": "para_1112"
      },
      {
        "text": "Summary Judgment Opinion, 2022 WL 4745970, at *12; see",
        "paragraph_id": "para_1113"
      },
      {
        "text": "also 12 C.F.R. pt. 1240, subpt. B (setting “Capital",

      {
        "text": "Requirements and Buffers” for Fannie and Freddie); January 2,",

      },
      {
        "text": "2025 Letter Agreements, https://perma.cc/6WC4-FGCY",

      },
      {
        "text": "(agreements between the FHFA and the Treasury to amend the",
        "paragraph_id": "para_1117"
      },
      {
        "text": "PSPAs by requiring Fannie and Freddie to “comply with the",
        "paragraph_id": "para_1118"
      },
      {
        "text": "Enterprise Regulatory Capital Framework” set forth in 12",
        "paragraph_id": "para_1119"
      },
      {
        "text": "C.F.R. pt. 1240). Moreover, the Plaintiffs’ own expert admitted",
        "paragraph_id": "para_1120"
      },
      {
        "text": "that granting rescission would require the Defendants to",
        "paragraph_id": "para_1121"
      },
      {
        "text": "“disgorge the net benefits they have received under the con-",
        "paragraph_id": "para_1122"
      },
      {
        "text": "tracts” and would result in an “unwinding [of] the [shareholder]",
        "paragraph_id": "para_1123"
      },
      {
        "text": "contracts in their entirety.” Summary Judgment Opinion, 2022",
        "paragraph_id": "para_1124"
      },
      {
        "text": "WL 4745970, at *12. Section 4617(f) bars us from granting that",
        "paragraph_id": "para_1125"
      },
      {
        "text": "relief. Accord Jacobs, 908 F.3d at 895-96 (holding that",
        "paragraph_id": "para_1126"
      },
      {
        "text": "§ 4617(f) barred the court from granting “damages,",
        "paragraph_id": "para_1127"
      },
      {
        "text": "disgorgement, and restitution” that would “unravel the Third",
        "paragraph_id": "para_1128"
      },
      {
        "text": "Amendment, reverse the monetary payments made under it,",
        "paragraph_id": "para_1129"
      },
      {
        "text": "and prevent or at least deter the Agency from implementing it",
        "paragraph_id": "para_1130"
      },
      {
        "text": "further”).",
        "paragraph_id": "para_1131"
      },
      {
        "text": "2. Reliance damages",
        "paragraph_id": "para_1132"
      },
      {
        "text": "The Plaintiffs also explained in their initial disclosures that",
        "paragraph_id": "para_1133"
      },
      {
        "text": "they would seek reliance damages equal to “the original price",
        "paragraph_id": "para_1134"
      },
      {
        "text": "of Plaintiffs’ shares, plus prejudgment interest.” They did not,",
        "paragraph_id": "para_1135"
      },
      {
        "text": "however, assert that theory of damages again until after the",
        "paragraph_id": "para_1136"
      },
      {
        "text": "district court had dismissed their request for restitution. The",
        "paragraph_id": "para_1137"
      },
      {
        "text": "Plaintiffs then moved to amend their pretrial statement to",
        "paragraph_id": "para_1138"
      },
      {
        "text": "include a request for reliance damages. The district court",
        "paragraph_id": "para_1139"
      },
      {
        "text": "37",
        "paragraph_id": "para_1140"
      },
      {
        "text": "denied that motion for two reasons. First, the court explained",
        "paragraph_id": "para_1141",
        "court_paragraph": 37
      },
      {
        "text": "that allowing the amendment “on the eve of trial” would",
        "paragraph_id": "para_1142"
      },
      {
        "text": "prejudice the FHFA or force a delay to the start of the trial.",
        "paragraph_id": "para_1143"
      },
      {
        "text": "Pretrial Amend. Opinion I, 2022 WL 11110548, at *3. Second,",
        "paragraph_id": "para_1144"
      },
      {
        "text": "the court believed that the Delaware and Virginia courts would",
        "paragraph_id": "para_1145"
      },
      {
        "text": "not allow the Plaintiffs to seek “reliance damages so far in",
        "paragraph_id": "para_1146"
      },
      {
        "text": "excess of ascertainable expectation damages that they would",
        "paragraph_id": "para_1147"
      },
      {
        "text": "necessarily place those plaintiffs in a better position than they",
        "paragraph_id": "para_1148"
      },
      {
        "text": "would have been in had the contract been performed.” Id. at *4.",
        "paragraph_id": "para_1149"
      },
      {
        "text": "After the jury in the first trial hung, the Berkley Plaintiffs filed",
        "paragraph_id": "para_1150"
      },
      {
        "text": "a similar motion before the second trial. The district court",
        "paragraph_id": "para_1151"
      },
      {
        "text": "acknowledged that its concern about the first motion coming",
        "paragraph_id": "para_1152"
      },
      {
        "text": "“on the eve of trial” did not apply to this second motion, but it",
        "paragraph_id": "para_1153"
      },
      {
        "text": "again held that reliance damages were unavailable because they",
        "paragraph_id": "para_1154"
      },
      {
        "text": "far exceeded ascertainable expectation damages. Pretrial",
        "paragraph_id": "para_1155"
      },
      {
        "text": "Amend. Opinion II, 2023 WL 3790739, at *5. The district court",
        "paragraph_id": "para_1156"
      },
      {
        "text": "also invoked “its inherent ‘trial-management discretion’” to",
        "paragraph_id": "para_1157"
      },
      {
        "text": "deny the motion, reasoning that “it would be fundamentally",
        "paragraph_id": "para_1158"
      },
      {
        "text": "unfair to defendants to require the presentation of evidence and",
        "paragraph_id": "para_1159"
      },
      {
        "text": "arguments on an entirely new and substantial issue at the",
        "paragraph_id": "para_1160"
      },
      {
        "text": "second trial simply because the jury hung at the first.” Id. at *6.",
        "paragraph_id": "para_1161"
      },
      {
        "text": "The Berkley Plaintiffs argue that the district court erred by",
        "paragraph_id": "para_1162"
      },
      {
        "text": "holding reliance damages unavailable as a matter of law and",
        "paragraph_id": "para_1163"
      },
      {
        "text": "that it abused its discretion by denying their motions based",
        "paragraph_id": "para_1164"
      },
      {
        "text": "upon other considerations. As to the first issue, we agree with",
        "paragraph_id": "para_1165"
      },
      {
        "text": "the district court’s decision to reject the Berkley Plaintiffs’",
        "paragraph_id": "para_1166"
      },
      {
        "text": "motions as a matter of law. The district court relied upon",
        "paragraph_id": "para_1167"
      },
      {
        "text": "Delaware and Virginia cases holding that expectation damages",
        "paragraph_id": "para_1168"
      },
      {
        "text": "are the standard remedy in contract cases. See, e.g., Duncan v.",
        "paragraph_id": "para_1169"
      },
      {
        "text": "Theratx, Inc., 775 A.2d 1019, 1022 (Del. 2001); Est. of Taylor",
        "paragraph_id": "para_1170"
      },
      {
        "text": "v. Flair Prop. Assocs., 448 S.E.2d 413, 416 (Va. 1994). The",
        "paragraph_id": "para_1171"
      },
      {
        "text": "district court also cited decisions from other courts holding that",
        "paragraph_id": "para_1172"
      },
      {
        "text": "plaintiffs may not “pursue — let alone recover — reliance",
        "paragraph_id": "para_1173"
      },
      {
        "text": "damages in excess of ascertainable expectation damages.”",
        "paragraph_id": "para_1174"
      },
      {
        "text": "38",

      {
        "text": "Spring Creek Expl. & Prod. Co., LLC v. Hess Bakken Inv., II,",

        "text": "LLC, 887 F.3d 1003, 1026-27 (10th Cir. 2018) (applying",
        "paragraph_id": "para_1177"
      },
      {
        "text": "Colorado law); see also Merry Gentleman, LLC v. George &",

      },
      {
        "text": "Leona Prods., Inc., 799 F.3d 827, 830, 832 (7th Cir. 2015)",

      },
      {
        "text": "(applying Illinois law).",
        "paragraph_id": "para_1180"
      },
      {
        "text": "Here the Plaintiffs seek reliance damages of approximately",
        "paragraph_id": "para_1181"
      },
      {
        "text": "$48 billion, the same amount they had claimed as restitution",
        "paragraph_id": "para_1182"
      },
      {
        "text": "damages and 30 times their expectation damages of $1.6",
        "paragraph_id": "para_1183"
      },
      {
        "text": "billion — the decrease in the value of Fannie and Freddie",
        "paragraph_id": "para_1184"
      },
      {
        "text": "shares on August 17, 2012. The Berkley Plaintiffs have not",
        "paragraph_id": "para_1185"
      },
      {
        "text": "provided us any reason to think Delaware or Virginia courts",
        "paragraph_id": "para_1186"
      },
      {
        "text": "would allow a plaintiff to seek reliance damages so far in",
        "paragraph_id": "para_1187"
      },
      {
        "text": "excess of ascertainable expectation damages. See Berkley Pls.’",
        "paragraph_id": "para_1188"
      },
      {
        "text": "Br. 19 (describing the “paradigmatic use of reliance damages”",
        "paragraph_id": "para_1189"
      },
      {
        "text": "as “when the full extent of expectation damages is not",
        "paragraph_id": "para_1190"
      },
      {
        "text": "quantifiable”).††",
        "paragraph_id": "para_1191"
      },
      {
        "text": "Rather than dispute this general rule, the Berkley Plaintiffs",
        "paragraph_id": "para_1192"
      },
      {
        "text": "argue that, because the district court rejected one of their",
        "paragraph_id": "para_1193"
      },
      {
        "text": "theories of expectation damages, the full amount of their",
        "paragraph_id": "para_1194"
      },
      {
        "text": "expectation damages was “too uncertain” to quantify. Recall",
        "paragraph_id": "para_1195"
      },
      {
        "text": "that the district court held the Plaintiffs could not seek damages",
        "paragraph_id": "para_1196"
      },
      {
        "text": "based upon their “lost-dividends theory” — i.e., that the Net",
        "paragraph_id": "para_1197"
      },
      {
        "text": "Worth Sweep deprived them of dividends they eventually",
        "paragraph_id": "para_1198"
      },
      {
        "text": "would have received. According to the Berkley Plaintiffs, this",
        "paragraph_id": "para_1199"
      },
      {
        "text": "†† Many jurisdictions similarly hold that expectation damages are the",
        "paragraph_id": "para_1200"
      },
      {
        "text": "preferred remedy when they can be calculated with reasonable",
        "paragraph_id": "para_1201"
      },
      {
        "text": "certainty. See, e.g., ATACS Corp. v. Trans World Comms., Inc., 155",
        "paragraph_id": "para_1202"
      },
      {
        "text": "F.3d 659, 669 (3d Cir. 1998) (applying Pennsylvania law); Nashville",
        "paragraph_id": "para_1203"
      },
      {
        "text": "Lodging Co. v. Resolution Tr. Corp., 59 F.3d 236, 245-46 (D.C. Cir.",
        "paragraph_id": "para_1204"
      },
      {
        "text": "1995) (applying Tennessee law); Scapa Tapes N. Am., Inc. v. Avery",
        "paragraph_id": "para_1205"
      },
      {
        "text": "Dennison Corp., 384 F. Supp. 2d 544, 552 (D. Conn. 2005) (applying",

        "text": "means their expectation damages were too uncertain, thus mak-",

        "text": "ing their request for reliance damages appropriate after all.",
        "paragraph_id": "para_1210"
      },
      {
        "text": "This argument proceeds from the faulty premise that the",
        "paragraph_id": "para_1211"
      },
      {
        "text": "district court rejected the lost-dividends theory because the cal-",
        "paragraph_id": "para_1212"
      },
      {
        "text": "culation of expectation damages was too uncertain. In fact, the",
        "paragraph_id": "para_1213"
      },
      {
        "text": "court held the theory of harm was altogether too speculative.",
        "paragraph_id": "para_1214"
      },
      {
        "text": "See Summary Judgment Opinion, 2022 WL 4745970, at *9-10.",
        "paragraph_id": "para_1215"
      },
      {
        "text": "As the district court and the FHFA have explained, the Berkley",
        "paragraph_id": "para_1216"
      },
      {
        "text": "Plaintiffs “confuse the fact of harm with the measure of dam-",
        "paragraph_id": "para_1217"
      },
      {
        "text": "ages.” Pretrial Amend. Opinion I, 2022 WL 11110548, at *4.",
        "paragraph_id": "para_1218"
      },
      {
        "text": "As to the second issue, the district court did not abuse its",
        "paragraph_id": "para_1219"
      },
      {
        "text": "discretion by denying the Plaintiffs’ motions under its trial-",
        "paragraph_id": "para_1220"
      },
      {
        "text": "management discretion. The Berkley Plaintiffs argue that the",
        "paragraph_id": "para_1221"
      },
      {
        "text": "district court should have allowed them to amend their pretrial",
        "paragraph_id": "para_1222"
      },
      {
        "text": "statement because their failure to include a request for reliance",
        "paragraph_id": "para_1223"
      },
      {
        "text": "damages amounted to “excusable neglect.” In concluding",
        "paragraph_id": "para_1224"
      },
      {
        "text": "otherwise, the district court not only cited concerns about",
        "paragraph_id": "para_1225"
      },
      {
        "text": "timing, prejudice to the FHFA, and fairness; it also noted that",
        "paragraph_id": "para_1226"
      },
      {
        "text": "the Berkley Plaintiffs had “made no subsequent effort in the",
        "paragraph_id": "para_1227"
      },
      {
        "text": "four years” after their initial disclosure to develop their theory",
        "paragraph_id": "para_1228"
      },
      {
        "text": "of reliance damages. Id. at *3; see Pretrial Amend. Opinion II,",
        "paragraph_id": "para_1229"
      },
      {
        "text": "2023 WL 3790739, at *6. These are relevant considerations",
        "paragraph_id": "para_1230"
      },
      {
        "text": "under Supreme Court precedent defining “excusable neglect.”",
        "paragraph_id": "para_1231"
      },
      {
        "text": "See Pioneer Inv. Servs. Co. v. Brunswick Assocs., Ltd. P’Ship,",
        "paragraph_id": "para_1232"
      },
      {
        "text": "507 U.S. 380, 395 (1993) (discussing the risk of prejudice, the",
        "paragraph_id": "para_1233"
      },
      {
        "text": "delay of judicial proceedings, and the reason for the delay as",
        "paragraph_id": "para_1234"
      },
      {
        "text": "relevant considerations); see also D.D.C. L. Civ. R. 16.5(a)(2)",
        "paragraph_id": "para_1235"
      },
      {
        "text": "(allowing an amendment to a pretrial statement based upon",
        "paragraph_id": "para_1236"
      },
      {
        "text": "“excusable neglect”). We will not disturb the district court’s",
        "paragraph_id": "para_1237"
      },
      {
        "text": "weighing of these considerations. See United States v. Mathis-",
        "paragraph_id": "para_1238"
      },
      {
        "text": "Gardner, 783 F.3d 1286, 1288 (D.C. Cir. 2015) (“Our review",
        "paragraph_id": "para_1239"
      },
      {
        "text": "for abuse of discretion does not permit us to substitute our judg-",
        "paragraph_id": "para_1240"
      },
      {
        "text": "ment for that of the trial court” (cleaned up)).",
        "paragraph_id": "para_1241"
      },
      {
